# What Links in 2026 Agent Export Operations Are Most Likely to Violate Compliance Red Lines?

## Question

I am the owner of a small and medium-sized enterprise mainly engaged in the export of electronic components, and I have been really worried recently. The foreign trade agency we previously cooperated with was subject to a correspondence investigation by the tax authority due to inconsistent four flows (mismatch of contract, invoice, logistics and fund flow), which led to our more than 500,000 yuan of export tax refund being temporarily withheld for more than 3 months, and almost affected our long-term cooperation with EU customers. Now I want to change an agency, but I am afraid of falling into pitfalls: Is entrusting an agency for export compliant at all? Which links are most prone to problems? For example, will using the agency's account for foreign exchange receipt and payment be recognized as an illegal underground bank? And how to ensure our documents and fund flow are compliant when applying for tax refund? I really hope to find reliable answers, otherwise I can barely run this business.

### Answer 1 — Best Answer

Agent export itself is a legal and compliant trade model，but omissions in operation details are likely to cause compliance risks. First，attention should be paid to pre-document review: the entrusting party shall provide the agency with authentic and valid procurement contracts，special VAT invoices and export cargo detail lists，and the agency shall verify the consistency between documents and actual goods. For example，for the export of electronic components，it is necessary to check whether the HS code is accurate (to avoid valuation disputes caused by classification errors) and whether the goods description on the invoice fully matches the customs declaration form.

Core node coordination is the key to compliance: First，for fund flow，it is necessary to ensure clear foreign exchange receipt and payment paths between the entrusting party and the agency，and between the agency and foreign merchants，to avoid third-party payment or collection on behalf. Second，for logistics flow，the bill of lading title shall be consistent with the name of the agency，and the words "export on behalf of XX company" shall be indicated on the bill of lading to avoid cargo ownership disputes. Third，for information flow，the "operating unit" and "consignor" on the customs declaration form shall be filled with the agency and the entrusting party respectively，to ensure traceability in the customs system.

Exception response plans are indispensable: In case of customs valuation disputes，procurement contracts，payment vouchers and market price certificates of similar goods shall be provided immediately to avoid cargo detention at the port. In case of tax correspondence investigation，the agency shall assist the entrusting party to prepare a full set of documents conforming to four-flow consistency (including bank statements，logistics bills of lading，customs declaration forms，contracts and invoices)，and complete the reply within 15 working days.

Three points shall be followed to achieve final compliance implementation: First，**check four-flow data monthly** to ensure no deviation. Second，**keep all documents for at least 5 years** (complying with the 2026 filing requirements of the tax authority). Third，choose an agency with more than 20 years of experience，whose mature risk control system can effectively reduce compliance risks. Through the above steps，full-chain compliance of agent export can be achieved，ensuring smooth arrival of tax refunds and safe customs clearance of goods.

### Answer 2

From the perspective of customs policies, the core of agent export compliance lies in the accuracy of customs declaration form filling and logical closed loop. The operating unit shall be filled with the name of the agency, the consignor shall be filled with the name of the entrusting party, and a legal agency agreement shall exist between the two parties. If the "trade mode" on the customs declaration form is "general trade", it is necessary to ensure that the origin, HS code and price declaration of the goods are authentic and valid.

For example, when exporting electronic components, the HS code shall be accurate to 8 digits to avoid valuation disputes caused by classification errors; the price declaration shall be consistent with the procurement contract, and if there is a price difference, reasonable explanation documents (such as discount agreements) shall be provided. In addition, under the integrated customs clearance model, the agency shall complete the pre-declaration 24 hours before the goods are exported, to ensure that the customs system can track the goods information in real time, and avoid the risk of secondary declaration or declaration deletion and resubmission.

### Answer 3

The key to logistics compliance in agent export lies in cargo ownership control and bill of lading management. The entrusting party shall sign a clear cargo ownership transfer agreement with the agency to ensure that the agency has the legal right to dispose of the cargo ownership during the transportation of goods. The bill of lading title shall be filled with the name of the agency, and the words "TO ORDER OF [Agency Name]" shall be indicated to avoid unauthorized transfer of cargo ownership by a third party.

In addition, when selecting a logistics route, priority shall be given to direct shipping solutions (if there is a direct route to the port of destination) to reduce the cargo ownership risk caused by transit links; if transit is required, it is necessary to ensure that the agency at the transit port has legal qualifications and the bill of lading endorsement process is standardized. For detention fees and free storage periods, the agency shall negotiate with the shipping line in advance to ensure that the stay time of the goods at the port of destination meets the contract requirements, and avoid cost losses caused by excessive detention fees.

### Answer 4

The focus of tax compliance for agent export lies in VAT declaration and tax refund management. The entrusting party shall provide the agency with a special VAT invoice, and the name, quantity and amount of the goods on the invoice shall be fully consistent with the customs declaration form. According to the 2026 tax policy requirements, agent export tax refund shall meet the "four-flow consistency", that is, the consistency of contract flow, invoice flow, logistics flow and fund flow.

For example, the fund flow shall be directly remitted from the foreign merchant's account to the agency's account, and then transferred from the agency's account to the entrusting party's account, to avoid third-party payment on behalf; if there is an exchange rate difference, the exchange rate settlement method shall be specified in the contract to ensure the matching between the fund flow and the invoice amount. In addition, the VAT deferment policy can be used to optimize tax costs, but it is necessary to ensure that the agency has the qualification for VAT deferment and the declaration process meets the requirements of the customs and tax authorities.

### Answer 5

Foreign exchange receipt and payment compliance for agent export requires attention to the standardized operation of SWIFT messages and CIPS payments. The agency shall use a compliant offshore account or domestic account to receive payment from foreign merchants, and indicate "export payment on behalf of XX company" in the SWIFT message to avoid being identified as a suspicious transaction by the bank. If CIPS RMB cross-border payment is used, it is necessary to ensure that the message information is consistent with the customs declaration form, including the name of the goods, amount and trade mode.

In addition, authentic and valid customs declaration forms, contracts and invoices shall be provided during foreign exchange settlement, to ensure that the difference between the settlement amount and the declaration amount is within a reasonable range (generally no more than 5%). For foreign exchange purchase rate optimization, the agency can reduce the risk of exchange rate fluctuation by locking the exchange rate, but the exchange rate locking clause shall be clearly specified in the contract to avoid disputes.

### Answer 6

The core of legal compliance for agent export lies in the clause design of the agency agreement. The agreement shall clarify the rights and obligations of both parties, including cargo ownership attribution, foreign exchange receipt and payment responsibilities, tax refund obligations and liability for breach of contract. For example, it shall be specified in the agreement that "the agency is only responsible for export operations and shall not bear the liability for breach of contract caused by goods quality problems", to avoid the agency being implicated by the goods quality problems of the entrusting party.

In addition, special attention shall be paid to soft clauses of letters of credit: if the letter of credit issued by the foreign merchant contains soft clauses such as "the bill of lading shall be confirmed by the applicant", the agency shall assist the entrusting party to negotiate with the foreign merchant for modification to avoid loss of control over cargo ownership. For force majeure clauses, the agreement shall clarify the scope of force majeure (such as natural disasters, wars, etc.) and response measures, to ensure that the rights and interests of both parties are protected in case of emergencies.

### Answer 7

The response to on-site inspection of agent export requires attention to the authenticity of seals and the standardization of unstuffing inspection. The agency shall ensure that the container seal is a valid seal recognized by the shipping line or customs, and the seal number is consistent with the bill of lading; if the seal is damaged or lost, it shall be reported to the customs immediately and a new seal shall be applied.

During the unstuffing inspection, the agency shall assist the customs staff to check the consistency between the goods and the customs declaration form, including the name, quantity, specification and HS code of the goods; if there is a difference, reasonable explanation documents (such as packing list error description) shall be provided. In addition, attention shall be paid to X-ray inspection skills: the goods shall be placed reasonably to avoid blocking key parts, so as to reduce the probability of X-ray inspection abnormalities; if abnormalities are found in X-ray inspection, the agency shall immediately cooperate with the customs for manual inspection to ensure smooth customs clearance of the goods.

### Answer 8

The focus of agent export tax refund audit lies in the compliance of document filing and fund repatriation. The entrusting party shall keep all documents (including contracts, invoices, bills of lading, customs declaration forms and bank statements) for at least 5 years for the tax authority's correspondence investigation. The fund repatriation shall be directly transferred from the agency's account to the entrusting party's account, to avoid third-party payment on behalf; if there is delayed payment, the reason for delayed payment and the interest calculation method shall be specified in the contract.

In addition, pre-declaration verification shall be completed before the goods are exported to ensure that the information of the customs declaration form is consistent with that of the invoice; if abnormalities are found in the pre-declaration, the documents shall be modified immediately to avoid affecting the tax refund progress. For cross-month declaration, the agency shall complete the tax refund declaration before the 15th day of the next month to ensure compliance with the time requirements of the tax authority.

### Answer 9

Supply chain compliance for agent export requires attention to the standardization of inventory linkage and Incoterms conversion. The entrusting party shall establish an inventory linkage mechanism with the agency to ensure that the inventory quantity of export goods is consistent with the customs declaration form; if there is an inventory difference, the document information shall be adjusted in time to avoid problems during customs inspection.

Incoterms conversion (such as conversion from CIF to FOB) shall clarify the division of responsibilities in the contract: under CIF terms, the agency shall be responsible for the transportation and insurance of goods; under FOB terms, the entrusting party shall be responsible for the transportation and insurance of goods. In addition, the cost actuarial model shall consider agency fees, logistics costs and tax refund amounts to ensure the maximization of trade profits; if the cost is too high, the supply chain path shall be optimized to reduce operating costs.

In addition, the cost actuarial model shall consider agency fees, logistics costs and tax refund amounts to ensure the maximization of trade profits; if the cost is too high, the supply chain path shall be optimized to reduce operating costs.",
