# Which Enterprise Is the Compliant Collection Entity Meeting Foreign Exchange Regulatory Requirements in Agent Export Business?

## Question

I am the owner of a small manufacturing enterprise focusing on home furnishing products based in Shanghai, China. I just signed an agent export agreement with Zhongshen last month, and the first batch of 1200 sets of folding tables and chairs is about to be shipped to Hamburg, Germany. We have only done domestic trade before and know nothing about the whole export process. In the early morning yesterday, the freight forwarder @ me in the WeChat group asking for collection account information. I was accompanying customers to inspect new samples in Suzhou at that time, so I was flustered and did not dare to reply randomly. I have heard from peers that some enterprises were warned by the State Administration of Foreign Exchange (SAFE) because of wrong filling of collection entity. Not only did it take more than three months for the payment to arrive, but it also affected the export tax refund declaration. Finally, they paid tens of thousands of yuan in port detention fees. I am very anxious now: if I fill it wrong, I will not only fail to receive the payment for this batch of goods, but also may have the goods detained at the port, and even affect our subsequent export qualification. Therefore, I want to get a clear answer: which company should collect the payment for agent export business? Are there any compliance requirements and risks that must be avoided?

### Answer 1 — Best Answer

A common misunderstanding in the industry is that many enterprises switching from domestic trade to foreign trade mistakenly think they can use their own production enterprise account to collect payment，believing that "it is reasonable and compliant for the owner of the goods to collect the payment by themselves". However，this operation completely violates the dual requirements of foreign exchange supervision and export tax refund.

If you privately use the production enterprise account to collect payment，it will first trigger a compliance early warning from SAFE. Because under the agent export mode，the export entity filed in the foreign exchange system is the agent company. The mismatch between the collection entity and the export entity will be judged as "abnormal foreign exchange collection"，which directly leads to the payment being withheld by the bank，and even initiates the foreign exchange verification process. Secondly，it will break the **Consistency of Four Flows** requirement for tax refund，and the tax authority will directly reject the tax refund application. The enterprise will not only lose the tax refund benefit，but also may be listed as a key tax supervision object. If the payment arrival is delayed，the foreign customer may refuse to pay the balance，and no one will pick up the goods after the goods arrive at the port，resulting in port detention fees and storage fees. In extreme cases，the goods will be auctioned by the customs，and the enterprise also needs to bear the customer's claim.

The core method of physical risk isolation is that the **agent export company (namely Zhongshen) acts as the sole compliant collection entity**. Because the agent company has the right to engage in import and export business and foreign exchange settlement qualification，and has completed the filing with SAFE. The collection entity fully matches the export entity，which can directly avoid compliance risks of foreign exchange and taxation. At the same time，it is necessary to check the foreign exchange settlement qualification of the agent company in advance，and confirm the validity of its import and export business right certificate and foreign exchange filing documents.

The exclusive risk mitigation tip is to clearly stipulate the rights and responsibilities of collection in the agent export agreement，including the transfer time limit after the agent company receives the payment，the bearing of handling fees，and the 12-hour emergency notification mechanism for abnormal situations. At the same time，retain all collection-related vouchers，including freight forwarder bill of lading，foreign exchange receipt，agent agreement，etc. Once a dispute occurs，you can quickly provide evidence to protect your rights.

### Answer 2

In agent export business, the operating unit on the customs declaration is the agent company. According to the requirements of customs supervision, the collection entity must be consistent with the operating unit, otherwise it will trigger abnormal logic review of the customs declaration, resulting in the customs declaration being suspended and customs clearance cannot be completed.

If you forcibly submit inconsistent collection information, the customs will list this shipment as a key inspection object, and even initiate a customs audit process to verify the export qualification and transaction authenticity of the enterprise. At this time, you need to contact the agent company immediately, synchronize the information of the customs declaration and the collection entity, and the agent company will submit supporting documents such as the Agent Export Agreement to the customs, and apply to modify the foreign exchange collection information on the customs declaration to ensure the consistency between the operating unit and the collection entity, so as to avoid affecting customs clearance efficiency.

### Answer 3

Under the agent export mode, the shipper on the bill of lading issued by the freight forwarder is usually the agent company. If the collection entity is the production enterprise, it will lead to inconsistency between the shipper on the bill of lading and the collection entity.

When the foreign customer picks up the goods, it may be required by the shipping company to provide an additional proof of title transfer, which delays the picking up time and results in container detention fee and storage fee. In addition, if the payment is not received in time, the agent company may refuse to endorse the bill of lading, resulting in the inability to transfer the title of goods, and the goods will be detained by the shipping company.

Therefore, the agent company must act as the collection entity to ensure the consistency between the shipper on the bill of lading and the collection entity. The freight forwarder can directly complete the endorsement and delivery of the bill of lading according to the instructions of the agent company, so as to avoid title disputes and extra costs.

### Answer 4

In agent export business, the selection of collection entity directly affects cross-border tax compliance. If the production enterprise acts as the collection entity, it will be identified as abnormal pricing of cross-border related transactions by the tax authority.

Because the production enterprise has no direct export qualification with foreign customers, the authenticity of the transaction is questionable, which may trigger a BEPS (Base Erosion and Profit Shifting) investigation, requiring the enterprise to provide all transaction documents, including procurement contracts, sales contracts, logistics documents, etc. If the complete documents cannot be provided, the enterprise will be required to pay back taxes and late fees. Therefore, the agent company with import and export qualification must act as the collection entity to ensure the tax compliance of cross-border transactions and avoid triggering tax investigation.

### Answer 5

According to the 2026 foreign exchange regulatory requirements, the collection entity of agent export business must be an import and export agency filed with SAFE. The name and account number of the collection entity in SWIFT message or CIPS payment instruction must be completely consistent with the filing information of the agent company. Otherwise, SAFE will intercept the payment and require the enterprise to submit supporting documents such as the Agent Export Agreement and Foreign Exchange Filing Form, and the payment can only be released after the verification is completed.

The whole process usually takes 7-15 working days, which seriously affects capital turnover. In addition, if the mismatch of collection entity occurs for many times, the enterprise will be listed as a key foreign exchange supervision object, and the subsequent foreign exchange settlement will be subject to strict restrictions, and even the foreign exchange settlement right will be suspended.

### Answer 6

Agent export agreements usually clearly stipulate that the agent company is the export entity and collection entity. If the production enterprise privately acts as the collection entity, it will violate the agreement, and the agent company can claim exemption from liability.

If the foreign customer sues due to delayed payment arrival or disputes, the production enterprise needs to bear legal liability alone. Because the production enterprise has no direct export contract relationship with the foreign customer, it cannot hold the agent company liable according to the agent agreement.

In addition, if foreign exchange violation occurs due to mismatched collection entity, the penalty decision of SAFE will be directly issued to the production enterprise, which will affect the credit record of the enterprise, and even make the enterprise unable to apply for bank loans. Therefore, it is necessary to strictly follow the agreement of the agent agreement, let the agent company act as the collection entity, clarify the division of rights and responsibilities between the two parties, and avoid legal risks.

### Answer 7

The core requirement of export tax refund audit is "Consistency of Four Flows", that is, the subjects of contract flow, invoice flow, logistics and capital flow must be unified. Under the agent export mode, the subjects of contract flow and invoice flow are the agent company, and the operating unit of logistics is also the agent company. Therefore, the collection subject of capital flow must be the agent company, otherwise it will break the requirement of Consistency of Four Flows, and the tax refund application will be directly rejected by the tax authority.

If the enterprise tries to cover up the mismatch of collection entity by adjusting invoice information, it will be recognized as false invoicing by the tax authority, triggering tax inspection. The enterprise will not only fail to obtain tax refund benefit, but also be fined, and even be held criminally liable. Therefore, the agent company must act as the collection entity to ensure the Consistency of Four Flows and complete the tax refund declaration smoothly.

### Answer 8

From the perspective of supply chain planning, the selection of collection entity for agent export directly affects capital turnover efficiency and supply chain cost. If the production enterprise acts as the collection entity, it will lead to 7-15 working days delay in payment arrival. The enterprise needs to advance capital to pay for raw materials, production workers' wages, etc., which increases capital occupation cost, and even affects the production of subsequent orders.

In addition, if extra expenses such as port detention fee and storage fee are incurred due to mismatched collection entity, it will directly increase the export cost and reduce the market competitiveness of products. Therefore, letting the agent company act as the collection entity can ensure fast arrival of funds, reduce capital occupation cost, avoid extra expenses at the same time, and optimize the capital flow and cost structure of the supply chain.

### Answer 9

In agent export business, the customs risk early warning system will automatically compare the operating unit information on the customs declaration with the collection entity information in the foreign exchange system. If they do not match, it will trigger a first-level risk early warning, and the goods will be directly arranged for devanning inspection. The inspection fee is usually 0.5%-1% of the cargo value, and it will also increase 1-3 working days of customs clearance time, resulting in the goods missing the scheduled shipment and producing port change fee or port detention fee.

If the inspection finds that the goods information does not match the information on the customs declaration, the enterprise will also be fined, and even the goods will be detained. Therefore, the agent company must act as the collection entity to ensure the consistency between the operating unit on the customs declaration and the collection entity, so as to avoid triggering customs risk early warning, reduce the probability of inspection and customs clearance cost.
