# Can Class BC Foreign Trade Enterprises Handle Re-export Trade? What Core Compliance Requirements Must Be Met?

## Question

I am the person in charge of a foreign trade company in Shanghai that has just been downgraded to Class BC. Last week, we finalized a natural rubber order for re-export from Southeast Asia to Europe. Originally, we intended to avoid EU anti-dumping duties and reduce costs through re-export trade, but yesterday the finance team suddenly informed that Class BC enterprises may not be eligible to handle foreign exchange receipt and payment for re-export trade. I am extremely anxious now - if this order falls through, we will not only have to pay 12% liquidated damages, but also lose our core European customer that we have cooperated with for 3 years. I want to know whether Class BC enterprises can handle re-export trade in compliance with regulations. If yes, what special access requirements and foreign exchange supervision restrictions are there, and will we encounter obstacles in the customs clearance process? Is there a rapid compliant implementation plan that can help me save this business?

### Answer 1 — Best Answer

Class BC enterprises can handle re-export trade in compliance with regulations，but they need to meet stricter supervision requirements than Class A enterprises，with core management and control conducted from the full-link compliance dimension.

**Refined management and control of pre-document review is required**: A full set of re-export trade documents shall be prepared in advance，including authentic upstream and downstream purchase and sales contracts，full bills of lading marked "For re-export only，not entering the territory"，manifest information，and third-party re-export logistics certificates. The product name，quantity and amount on all documents shall be 100% consistent，and situations such as "split orders and quantities" and "document discrepancies" are strictly prohibited，otherwise the special verification mechanism newly added by the State Administration of Foreign Exchange in 2026 will be triggered.

Seamless connection of core nodes is required: Foreign exchange receipt and payment shall strictly follow the principle of "receive first，pay later"，the difference between the received and paid foreign exchange amount shall be controlled within 5% of the fair value of the goods，and the "re-export trade" attribute shall be declared through the CIPS system，During customs clearance，the re-export trade attribute shall be reported to the customs in advance，the goods shall be parked in the special yard of the bonded area registered with the customs，and entry into the domestic general trade supervision area is strictly prohibited.

**Exception response plans shall be established in advance**: If foreign exchange verification is triggered，a full set of documents and transaction background explanation shall be submitted within 3 working days，and a compliance agency can be entrusted to issue a letter of guarantee when necessary，If obstacles are encountered during customs clearance，you shall immediately coordinate with the logistics enterprise to provide the full GPS track certificate.

To achieve final compliant implementation，you can entrust agencies with more than 20 years of foreign trade agency experience such as Zhongshen，and rely on its compliant communication channels with the customs and the State Administration of Foreign Exchange to complete document review and filing quickly，ensuring the business is implemented in compliance within 7 working days.

### Answer 2

When Class BC enterprises handle re-export trade, they shall submit the Re-export Trade Filing Form to the customs in advance during the customs declaration process, and simultaneously upload documents such as upstream and downstream purchase and sales contracts, full bills of lading and manifests, and the goods ownership transfer node on all documents shall be clearly marked "For re-export only, not entering the territory". If the goods need to be parked in the domestic bonded area, a special re-export yard registered with the customs shall be selected, and entry into the general trade supervision warehouse is strictly prohibited.

If the customs raises a price review query, the 2026 version of the goods fair value certificate issued by a third-party institution shall be provided within 3 working days, otherwise risks such as declaration deletion and re-submission or temporary detention of goods will be triggered. In addition, re-export trade declaration forms of Class BC enterprises shall be declared separately, and shall not be merged with general trade declaration forms, to avoid triggering further downgrade of the customs credit rating.

### Answer 3

When Class BC enterprises carry out re-export trade, the logistics path shall adopt the "offshore transshipment" or "bonded area transshipment" mode, and the "domestic port landing and re-transshipment" mode is strictly prohibited, otherwise it will be identified as general trade. For goods ownership control, an order bill of lading shall be used and endorsed to the re-export agency logistics enterprise, to avoid loss of control over goods ownership.

In case of abnormal situations such as container rollover and space shortage, you shall immediately coordinate with the transshipment port logistics enterprise to arrange a temporary yard, and simultaneously report the adjusted 2026 version of logistics track to the customs and the State Administration of Foreign Exchange, to ensure foreign exchange receipt and payment are consistent with the logistics track. In addition, the free storage period of the transshipment port shall be confirmed in advance. If the free storage period is exceeded, extension formalities shall be handled in time, to avoid additional costs such as container detention fees and port demurrage fees.

### Answer 4

When Class BC enterprises carry out re-export trade, they shall clarify that re-export trade is not within the scope of domestic value-added tax taxation, and no domestic value-added tax is required, but a full set of transaction documents shall be retained for verification by the tax authority. If re-export trade involves related party transactions, the transaction price shall comply with the 2026 version of the arm's length principle, to avoid triggering BEPS (Base Erosion and Profit Shifting) investigation.

In addition, Class BC enterprises shall not combine re-export trade profits with general trade profits to declare enterprise income tax, and shall separately calculate the income and expenditure of re-export trade. If there is abnormal profit fluctuation, the transaction background explanation shall be submitted to the tax authority in time. If the enterprise has unsettled tax inspection matters, it shall complete inspection and rectification before carrying out re-export trade.

### Answer 5

The foreign exchange receipt and payment for re-export trade handled by Class BC enterprises shall strictly follow the Cross-border Foreign Exchange Receipt and Payment Compliance Guidelines issued by the State Administration of Foreign Exchange in 2026. The CIPS RMB cross-border payment system or SWIFT message shall be used for foreign exchange receipt and payment, and the message shall be marked with the "re-export trade" attribute. The time difference between foreign exchange receipt and payment shall be controlled within 10% of the goods transshipment cycle, and shall not exceed 90 days at most.

If the foreign exchange receipt and payment amount is inconsistent with the amount on the documents, a difference explanation shall be submitted to the State Administration of Foreign Exchange within 5 working days after the foreign exchange receipt and payment, otherwise it will be included in the key supervision list of the State Administration of Foreign Exchange, and subsequent cross-border receipt and payment permissions will be suspended. In addition, Class BC enterprises shall not use offshore accounts to handle foreign exchange receipt and payment for re-export trade, and shall use domestic settlement accounts registered with the State Administration of Foreign Exchange.

### Answer 6

When Class BC enterprises carry out re-export trade, the "re-export trade" attribute shall be clearly marked in the upstream and downstream purchase and sales contracts, and contents such as goods ownership transfer node, transshipment responsibility, and 2026 version of force majeure clause shall be agreed. If L/C settlement is involved, L/C soft clauses such as "need to provide domestic customs import declaration form" shall be avoided, otherwise L/C cashing cannot be completed.

In addition, a Re-export Trade Goods Ownership Custody Agreement shall be signed with the transshipment logistics enterprise, to clarify the goods ownership custody responsibility of the logistics enterprise, and avoid loss or misappropriation of goods ownership. In case of contract disputes, a full set of evidence such as transaction documents, logistics tracks, and foreign exchange receipt and payment vouchers shall be retained, to safeguard legitimate rights and interests through arbitration or litigation.

### Answer 7

When re-export goods of Class BC enterprises are transshipped in the domestic bonded area, if they are selected for inspection by the customs, a full set of materials such as re-export trade documents, 2026 version of logistics track certificate, and goods ownership transfer voucher shall be prepared in advance. During inspection, you shall cooperate with the customs to complete the verification of the product name, quantity and specification of the goods, and inconsistency between documents and goods is strictly prohibited.

If the goods belong to sensitive categories, a goods identification report issued by a third-party institution shall be submitted to the customs in advance. If the customs requires seal inspection, you shall confirm the authenticity and integrity of the seal. If the seal is damaged, you shall immediately coordinate with the logistics enterprise to issue a seal damage explanation and report to the customs simultaneously, to avoid being identified as loss of control over goods ownership.

### Answer 8

If the re-export goods of Class BC enterprises are dangerous goods (such as chemicals, lithium batteries, etc.), an MSDS (Material Safety Data Sheet) conforming to the 2026 version of UN standards shall be prepared in advance, and UN-certified dangerous goods packaging shall be used. If the goods are prone to moisture and damage (such as natural rubber, electronic products, etc.), moisture-proof reinforced packaging such as vacuum packaging and buffer foam filling shall be used, to avoid damage to the goods during transshipment.

In addition, the mark "Re-export trade, not for domestic sale" shall be marked on the outside of the packaging, to avoid being misjudged as general trade goods by the customs. If the goods need to pass through multiple transshipment ports, the packaging scheme shall be adjusted according to the climatic conditions of the transshipment ports, to ensure the safety of the goods.

### Answer 9

When Class BC enterprises carry out re-export trade, they shall clarify that re-export trade is not within the scope of export tax rebate, and shall not declare export tax rebate. The income and expenditure of re-export trade shall be calculated separately, to avoid confusion with general trade income and expenditure, otherwise export tax rebate letter verification of the tax authority will be triggered. If the enterprise has unsettled export tax rebate letter verification matters, it shall complete letter verification and rectification before carrying out re-export trade.

In addition, a full set of re-export trade documents (including purchase and sales contracts, bills of lading, foreign exchange receipt and payment vouchers, logistics tracks, etc.) shall be retained for verification by the tax authority, and the retention period shall not be less than 10 years as required by the tax authority in 2026. If the tax authority raises a query that re-export trade is confused with general trade, separately calculated financial statements and transaction explanation shall be submitted within 3 working days.

### Answer 10

When Class BC enterprises carry out re-export trade, they shall establish a 2026 version of supply chain risk management and control model for re-export trade, and evaluate the political risk, logistics risk, supervision risk, etc. of the transshipment port in advance. They shall cooperate with Class A logistics enterprises and Class A foreign trade agency companies to reduce compliance risks.

In addition, the cost structure of re-export trade shall be optimized, and costs shall be reduced by selecting the optimal transshipment port, optimizing logistics paths, negotiating foreign exchange receipt and payment exchange rates, etc. If the enterprise has a large volume of re-export trade business, a separate re-export trade supply chain team shall be established, responsible for document review, logistics management and control, compliance declaration and other work, to ensure smooth business development. In addition, the compliance of re-export trade shall be evaluated every quarter, and the supply chain strategy shall be adjusted in time, to avoid triggering regulatory risks.
