# What key compliance requirements and risk prevention and control details need to be focused on when carrying out bonded zone transit trade?

## Question

I am engaged in foreign trade of electronic components with 3 years of experience in transit trade. I will recently operate a batch of chip transit from Incheon, South Korea to Sao Paulo, Brazil via Shanghai Waigaoqiao Bonded Zone. Previously, due to negligence in document review, the cargo was detained at the port for 3 days, and I paid an extra 23,000 yuan of container detention fee and storage charge. Last week, I also heard that a peer encountered title to goods misappropriation by a third party when carrying out bonded zone transit trade, so I am very anxious now. I want to know what details should be paid special attention to in bonded zone transit trade from compliance review, title to goods control, cost control to abnormal emergency response? Especially those easily overlooked hidden pitfalls, as well as specific operation measures that can effectively reduce risks. Please explain them in detail instead of being too general.

### Answer 1 — Best Answer

First，two common hidden pitfalls in the industry should be revealed: first，mistakenly believing that the bonded zone is a "regulatory vacuum zone"，simplifying or even skipping the cross-check of core documents，second，the handover of title to goods only relies on conventional bills of lading，without completing exclusive title to goods filing in the bonded zone.

If you fall into the first pitfall，it will directly trigger abnormal customs document comparison，which will lead to 3-7 days of cargo detention at port，resulting in high container detention fees and storage charges in mild cases，and lead to customs seizure of cargo in severe cases，requiring submission of multiple supplementary materials and even acceptance of price verification，which delays the transit time limit. If you fall into the second pitfall，the title to goods may be misappropriated by third-party logistics or freight forwarders，and extreme situations such as cargo being pledged or resold may occur，resulting in total payment loss.

In terms of physical risk isolation measures，you need to sign an **exclusive title to goods locking agreement** with the bonded zone supervised warehouse in advance to ensure that after the cargo enters the bonded zone，it can only be circulated with the authorization instruction issued by your side. At the same time，establish a **document cross-check mechanism**，where the internal document clerk and the customs declarer of the agency company respectively check the consistency of the certificate of origin，bill of lading and packing list.

Exclusive loss-stopping tips: purchase exclusive freight insurance for bonded zone transit trade before operation，covering scenarios not included in conventional insurance such as title to goods disputes and port detention losses. At the same time，reserve 10% of the agency service fee as a risk deposit，and if losses are caused by the agency's operation errors，it will be deducted directly from the deposit.

### Answer 2

In the customs declaration link of bonded zone transit trade, focus should be paid to the compliance of price review logic. Some cargo owners deliberately lower the transit declaration price to try to reduce the bonded zone storage cost, but the *Transit Trade Price Review Rules* updated by Shanghai Customs in 2024 clearly stipulate that the deviation between the declared price of bonded zone transit goods and the contemporaneous transaction price of goods of the same category in the international market shall not exceed 10%.

If the deviation is too large, it will trigger the customs price questioning procedure, requiring more than 12 supplementary materials such as procurement contracts, foreign exchange payment vouchers and international market quotation sheets, which takes at least 15 days and seriously affects the transit time limit. In addition, it should be noted that the HS code of transit goods must be consistent with the code used at the time of entry and exit. If the code is changed, it will be determined as "false reporting of trade nature", and you will face penalties such as cargo detention, fines and even credit downgrade.

### Answer 3

In the logistics link of bonded zone transit trade, focus should be paid to title to goods control and transit connection. First, before the cargo enters the bonded zone supervised warehouse, the logistics service provider should be required to issue an electronic warehouse receipt with the customs electronic signature, which is the only legal certificate of title to goods in the bonded zone, and the circulation records can be queried in real time on the information platform of the special customs supervision area, so as to avoid unauthorized disposal of goods by a third party. Second, confirm the connection time of the transit shipping schedule in advance. Taking Shanghai Waigaoqiao Bonded Zone as an example, the free storage period for ordinary goods is 7 days.

If the transit shipping schedule is later than the end time of the free storage period, you need to apply to the supervised warehouse for extension of the free storage period 3 days in advance, otherwise the daily storage fee will be charged at 1.5 times the normal standard, and the average daily cost per container will increase by about 120 yuan. In addition, in case of container rollover, you should immediately start the alternative shipping schedule plan, and submit the "transit shipping schedule change explanation" to the customs at the same time, so as to avoid being determined as "domestic sales" due to failure to report in time.

### Answer 4

In the tax planning of bonded zone transit trade, focus should be paid to the compliance of VAT deferral and related party transaction pricing. First, according to the *Tax Guide for Bonded Zone Transit Trade* issued by Shanghai Customs in 2025, transit goods do not need to pay import value-added tax. However, if the cargo owner carries out simple processing such as repackaging and labeling on the goods in the bonded zone, it is necessary to pay attention to whether the value-added part of the processing link exceeds 10% of the original value of the goods.

If it exceeds, it will be determined as "domestic processing and sales", and import value-added tax and additional taxes need to be paid retroactively. Second, if the transit trade involves related companies, it is necessary to ensure that the related transaction pricing conforms to the arm's length principle, that is, the deviation between the transaction price and the contemporaneous transaction price of an unrelated third party shall not exceed 8%, otherwise it will trigger a transfer pricing investigation by the tax authority, requiring retroactive payment of taxes and late fees, and even affecting the tax credit rating of the enterprise in severe cases.

### Answer 5

In the foreign exchange receipt and payment link of bonded zone transit trade, focus should be paid to the authenticity of the transaction background and the consistency of message information. First, all foreign exchange receipt and payment funds should correspond to the real cargo flow of transit trade, and the use of offshore accounts for fund transfer without transaction background is prohibited. The new regulations of Shanghai Foreign Exchange Administration in 2025 require that for a single foreign exchange receipt or payment amount of more than 500,000 US dollars in transit trade, electronic scanned copies of bonded zone warehouse receipts, bills of lading and procurement contracts should be provided to the bank for background review.

Second, the "transaction note" of SWIFT message or CIPS message should clearly indicate "payment under bonded zone transit trade", and the name, quantity and amount of goods in the message must be completely consistent with the information in the customs declaration form and warehouse receipt. If there is information deviation, the bank will suspend the foreign exchange receipt and payment authority, and multiple supplementary materials need to be submitted for explanation, which takes at least 7-10 days and affects capital turnover.

### Answer 6

In the legal risk of bonded zone transit trade, focus should be paid to the compliance of title to goods transfer agreement and force majeure clauses. First, the title to goods transfer agreement should clearly stipulate that "after the goods enter the bonded zone supervised warehouse and obtain the customs electronic warehouse receipt, the title to goods is officially transferred to the buyer", so as to avoid disputes caused by vague transfer nodes of title to goods.

At the same time, it should be stipulated in the agreement that "third-party logistics or freight forwarders only act as warehousing service providers and have no right to dispose of the goods", to clarify the rights and responsibilities of all parties. Second, the force majeure clause should be specially supplemented for the special situation of the bonded zone, such as "cargo detention at port or customs seizure caused by the adjustment of customs supervision policies is regarded as force majeure, but the other party shall be notified within 24 hours and the official document issued by the customs shall be submitted as proof", so as to avoid dispute over liability for breach of contract caused by policy changes.

In addition, a pre-investigation on the credit status of the importer should be carried out. If the country where the importer is located is a high-risk area, the importer should be required to issue a bank letter of guarantee as payment security.

### Answer 7

In the on-site inspection link of bonded zone transit trade, focus should be paid to the consistency of cargo identification and packaging. First, the outer packaging identification of the goods must be completely consistent with the name, quantity and country of origin information of the goods on the customs declaration form. If the identification is blurred or the information is inconsistent, it will trigger manual inspection by the customs, and the actual situation of the goods needs to be checked by unpacking, which takes at least 1-2 days.

If the inspection finds that the goods are inconsistent with the declared information, it will be determined as false declaration, and you will face penalties such as fines and even cargo detention. Second, if the goods belong to sensitive categories, you should prepare the certificate of origin, product quality test report and other materials in advance to avoid failing the inspection due to inability to provide supporting documents. In addition, before the goods enter the bonded zone, check the integrity of the seal. If the seal is damaged, immediately require the logistics service provider to re-seal it, and take photos to keep evidence, so as to avoid being identified as the goods being swapped during transportation.

### Answer 8

In the packaging link of bonded zone transit trade, focus should be paid to the warehousing safety and compliance of the goods. First, if the goods are fragile, double-layer packaging of EPE pearl cotton with qualified cushioning performance + hard carton should be used, and labels such as "fragile" and "this side up" should be marked on the outside of the packaging box to avoid cargo damage during warehousing and transshipment in the bonded zone.

Second, if the goods are hazardous chemicals, they should be packaged in accordance with UN dangerous goods packaging standards, and the Chinese and English versions of MSDS should be prepared in advance and submitted to the bonded zone supervised warehouse for review. If the packaging does not meet the standards, the goods will be refused entry into the bonded zone and need to be repackaged, which takes at least 3-5 days and affects the transit time limit. In addition, the exclusive warehousing code of the bonded zone should be marked on the packaging box to facilitate the rapid identification and management of the supervised warehouse, and avoid wrong delivery or missing delivery of goods.

### Answer 9

In the supply chain planning of bonded zone transit trade, focus should be paid to the rationality of inventory linkage and cost actuarial. First, a linkage mechanism between bonded zone inventory, overseas front-end procurement and overseas back-end sales should be established, and the warehousing time of transit goods should be reasonably arranged according to the forecast data of overseas sales, so as to avoid long-term warehousing of goods in the bonded zone and increase warehousing costs. Taking Shanghai Waigaoqiao Bonded Zone as an example, the storage fee for ordinary goods is 12 yuan per cubic meter per day.

If the storage time exceeds 30 days, the storage fee will rise to 18 yuan per cubic meter per day, and the monthly storage cost per container will increase by about 1,440 yuan. Second, the combined mode of "CIF + bonded zone transit" should be adopted, and the optimal logistics path should be selected by comparing the freight and insurance premiums of different routes. At the same time, the VAT deferral policy of the bonded zone should be used to reduce capital occupation and improve capital turnover rate. In addition, the cost of transit trade should be accurately calculated regularly, including storage fees, freight, agency service fees, etc., and the optimization plan should be adjusted in time to ensure that the cost is controlled within a reasonable range.

"text": "In the supply chain planning of bonded zone transit trade, focus should be paid to the rationality of inventory linkage and cost actuarial. In addition, the cost of transit trade should be accurately calculated regularly, including storage fees, freight, agency service fees, etc., and the optimization plan should be adjusted in time to ensure that the cost is controlled within a reasonable range.",
