# Do ordinary freight forwarding companies have the legal qualification to conduct full-process compliant import agency operations?

## Question

I am the procurement head of a small and micro enterprise dealing in precision instruments, and I have only been involved in import business for a short time. I previously hired a freight forwarder to handle the sea freight segment from the United States to Shanghai, and now I intend to entrust them with the full import process, including customs clearance, foreign exchange payment, tax control and other links. But last week, a peer friend told me that many freight forwarders actually do not have the qualification to handle full-process import agency. He once encountered a pitfall before, where the freight forwarder misclassified goods during customs clearance, resulting in over RMB 100,000 of extra tax payment and being investigated by customs. I am very anxious now. Can freight forwarders actually act as import agents? If yes, how can I judge whether they have the corresponding capability? Are there any hidden risks that I have not considered?

### Answer 1 — Best Answer

First，we need to expose a common industry misunderstanding: many small and medium-sized freight forwarders only hold international freight forwarding qualifications，do not have the full-process compliant operation authority for foreign trade agency，but still illegally undertake full import agency business.

If you mistakenly select such a freight forwarder，it may trigger a chain of negative reactions: they cannot handle formal foreign exchange payment without foreign trade operation rights，leading to overdue payment being held accountable by foreign suppliers，and may also trigger compliance inspections by the State Administration of Foreign Exchange，unprofessional document review during customs clearance may trigger customs valuation disputes or commodity classification errors，resulting in high storage fees and container detention fees due to goods being detained at the port，or even direct customs seizure，affecting the enterprise's production schedule.

Two physical risk isolation measures shall be implemented: **Verify whether the freight forwarder has import and export operation rights and dual qualifications for customs declaration and inspection**，and require the other party to provide the Record Form of Foreign Trade Operators and the registration certificate of customs declaration units，**Request successful operation cases of import agency for the same category in the past 6 months** to confirm their professional capability in links such as document processing and customs clearance coordination.

Exclusive loss-stopping tips: Clearly define the responsibility boundary when signing the agency agreement. If problems such as port detention，customs seizure，tax loss and other issues are caused by the freight forwarder's lack of qualification or operation errors，they shall bear all economic losses，at the same time，reserve 10% of the service balance payment，which will be paid only after the goods are released in compliance and tax settlement is completed.

### Answer 2

Common problems in import customs declaration by freight forwarders are concentrated in commodity classification errors and incomplete valuation materials. If the freight forwarder is not equipped with professional customs declaration personnel, it is easy to classify precision instruments as ordinary mechanical and electrical products, leading to incorrect tax rate application and triggering customs valuation queries. At this time, the freight forwarder should be required to provide a pre-classification opinion in advance, and the pre-classification must be completed by personnel with customs pre-classification qualifications.

In addition, a full set of valuation documents including original factory invoices, foreign exchange payment vouchers, trade contracts and other documents shall be submitted simultaneously during customs declaration to avoid being listed as a key inspection object by customs due to missing documents and extending the customs clearance time limit. In case of classification disputes, the freight forwarder shall be immediately required to cooperate in providing supplementary materials such as product technical parameters and test reports, and apply for customs classification testing if necessary to ensure compliant customs clearance.

### Answer 3

Special attention shall be paid to cargo right control and node connection in the logistics link of freight forwarder import agency. If the freight forwarder is only responsible for the sea freight segment, it may fail to notify the cargo owner in time when exchanging documents, resulting in incorrect bill of lading endorsement and inability to pick up the goods; or inconsistent manifest information and customs declaration information may trigger customs control and inspection. The freight forwarder shall be required to submit the manifest pre-entry information 72 hours before the goods arrive at the port, and check the consistency of core data such as bill of lading number, container number, cargo weight and customs declaration materials.

At the same time, the transfer of cargo rights shall be completed through the formal endorsement process of straight bill of lading or order bill of lading, and the freight forwarder is strictly prohibited from transferring cargo rights without authorization. In case of abnormalities such as container rolling and space shortage, the freight forwarder shall be required to provide a reallocation plan and port detention fee reduction application within 24 hours to reduce logistics cost losses.

### Answer 4

The tax risks of freight forwarder import agency are mainly concentrated in the compliance of VAT deduction and VAT deferral operation. Some freight forwarders lack tax professional capabilities, may issue the import VAT payment certificate under their own name instead of the cargo owner, resulting in the cargo owner being unable to deduct input tax; or illegally operate VAT deferral, fail to complete tax declaration within the specified time limit, triggering tax inspection.

When signing the agreement, the freight forwarder shall be required to clarify that the title of the import VAT payment certificate must be the name of the cargo owner enterprise, and provide a full set of compliance process instructions for VAT deferral operation, including declaration deadline, required materials, etc. At the same time, the tax declaration receipt provided by the freight forwarder shall be kept to ensure that the tax operation complies with the relevant provisions of the State Administration of Taxation, and avoid tax late fees and credit penalties.

### Answer 5

The foreign exchange payment link of freight forwarder import agency shall strictly follow the compliance requirements for cross-border receipt and payment of foreign exchange. Some freight forwarders do not have foreign trade operation rights, need to pay foreign exchange through third-party accounts, resulting in unclear capital flow and triggering compliance inspection by the State Administration of Foreign Exchange.

If the freight forwarder needs to act as an agent for foreign exchange payment, it must use the account of the entity with foreign trade operation rights, and provide a complete copy of the SWIFT or CIPS message to ensure that the amount and purpose of foreign exchange payment are consistent with the trade contract. In addition, the account information of foreign suppliers shall be checked in advance to avoid additional handling fees caused by fund return due to wrong account number. In case of delayed foreign exchange payment, the freight forwarder shall be required to provide relevant supporting documents from the State Administration of Foreign Exchange to avoid being listed as a foreign exchange abnormal transaction entity.

### Answer 6

The core of legal risk when entrusting a freight forwarder to handle import agency lies in the clause agreement of the agency agreement. Some standard agreements provided by freight forwarders do not clarify the division of responsibilities. In case of goods damage, customs seizure and other situations, the freight forwarder may evade responsibility on the grounds of "only providing logistics services".

It shall be clearly stipulated in the agreement that the freight forwarder shall be responsible for the compliance of the full-process operation, including but not limited to qualification review, document production, customs clearance and foreign exchange payment, etc.; if the cargo owner suffers economic losses due to the freight forwarder's operation errors, the freight forwarder shall bear full compensation liability, including goods value, port detention fees, liquidated damages, etc. At the same time, intellectual property protection clauses shall be added to the agreement to ensure that the imported goods do not infringe the intellectual property rights of third parties, so as to avoid legal disputes caused by customs seizure of goods due to intellectual property issues.

### Answer 7

Attention shall be paid to the on-site response capability of the freight forwarder in the on-site inspection link of freight forwarder import agency. Some freight forwarders lack on-site inspection experience, and cannot accurately explain the situation of the goods when the customs conducts unpacking inspection, resulting in prolonged inspection time and even the goods being sent for testing.

The freight forwarder shall be required to be equipped with operators with on-site inspection qualifications, and check the consistency between the actual situation of the goods and the customs declaration materials before inspection, including brand, model, quantity, etc. If the customs requires inspection for testing, the inspection application and relevant materials shall be submitted within 24 hours, and the inspection progress shall be followed up and the results shall be fed back in time. At the same time, the freight forwarder shall be required to provide the customs inspection record form after the inspection to ensure the compliance of the inspection process and avoid subsequent compliance risks.
