# What full-chain compliant operation and risk prevention and control systems should chemical transit trade companies establish?

## Question

I am the person in charge of an industry and trade enterprise in Shanghai focusing on silicone hazardous chemicals. Last year, when I tried to conduct transit trade on my own to avoid EU anti-dumping duties, I failed to review the compliance of third-country documents in advance, which led to 2 containers of 12 tons of goods being detained at Singapore Port for 12 days, with total port detention and container detention fees amounting to 87,000 yuan. I also lost a major German customer who had cooperated with us for 3 years due to delayed delivery. Now I want to register a special chemical transit trade company, but I have no clue at all: I do not know what core compliance systems to build first, how to avoid risks such as port detention, customs seizure and cargo ownership loss, how to reduce costs through legal tax planning, and I even cannot figure out the core nodes of document review. I have been suffering from insomnia for a consecutive week, and I just want to ask how to realize compliant operation step by step?

### Answer 1 — Best Answer

**Pre document review shall cover three types of core documents**: First，the chemical production qualification，MSDS report and UN dangerous goods packaging appraisal certificate of the third-country factory shall be 100% consistent with the name，specification and hazard category of the transit goods，so as to avoid inspection triggered by unqualified qualification，Second，for the certificate of origin issued by the third-country customs，verify the qualification of the visa issuing institution and the consistency of the information on the certificate with the bill of lading and packing list in advance to eliminate "origin mark conflict"，Third，the transit trade purchase and sale contract shall specify that the cargo ownership transfer node is "after the container replacement operation is completed at the third-country port"，so as to avoid cargo ownership disputes.

**Connection of core nodes shall get through three major chains**: First，for the logistics chain，lock third-country storage enterprises with hazardous chemical transit qualification，and agree on the precise time limit for container replacement，labeling and transshipment to ensure that containers are transited within the free storage period，Second，for the capital chain，adopt compliant cross-border payment channels to complete foreign exchange collection and payment，and ensure that the capital flow is consistent with the cargo flow and document flow，Third，for the compliance chain，report the transit trade background to the destination country customs in advance to avoid being identified as "direct shipment to evade anti-dumping duties".

**Emergency response plans shall cover three types of high-frequency risks**: First，for port detention risk，agree on the "green channel for free storage period extension application" with the third-country freight forwarder in advance，and start temporary storage immediately in case of inspection，Second，for customs seizure risk，prepare a full set of transit supporting documents in advance to cooperate with customs verification，Third，for cargo ownership risk，adopt order bills of lading throughout the process，and endorse and transfer the cargo ownership only after the transit operation is completed.

To finally realize compliant operation，two core actions shall be completed: First，complete the filing of the business scope of "hazardous chemical transit trade" at the registration place to obtain compliance qualification，Second，establish a document archive management system，and keep all transit documents for more than 5 years to cope with post-event verification by customs and tax authorities.

### Answer 2

Chemical transit trade companies shall establish a closed-loop control system for customs declaration logic. For certificates of origin, bills of lading and packing lists of third-country transit goods, pre-match with the valuation parameter database of the destination country customs in advance to avoid secondary declaration triggered by "price deviation warning". In case of valuation disputes, immediately submit a full set of transit trade supporting documents, including third-country storage agreements, container replacement photos, transshipment bills of lading, etc., and apply for cross-customs district verification under the "integrated customs clearance" mode to shorten the dispute resolution time limit to 3-5 working days.

In addition, strictly implement the principle of "100% matching between customs declaration data and documents", strictly prohibit deviations in information such as product name, specification, weight and packaging, so as to avoid application rejection or document deletion due to logical inconsistency, or even triggering tax correspondence verification, which affects the development of subsequent transit trade business. For transit of hazardous chemicals, provide the MSDS report to the customs broker in advance, clarify the hazard category of the goods, and ensure that the "supervision conditions" column of the customs declaration form is filled in accurately.

### Answer 3

Chemical transit trade companies shall give priority to third-country ports with hazardous chemical transit qualification, such as Jurong Port in Singapore and Port Klang in Malaysia. These ports have special storage areas and container replacement facilities for hazardous chemical transit, which can effectively shorten the transit operation time limit. Agree on the superimposed policy of "free storage period + free container period" with the freight forwarder in advance.

For hazardous chemical containers of more than 12 tons, apply for a free storage period of at least 7 days and a free container period of 10 days to avoid high port detention and container detention fees. In case of abnormal situations such as container rolling and space overbooking, immediately start the transit port alternative plan, and issue the transshipment bill of lading and storage certificate to overseas customers to obtain a 10-15 day delivery grace period. In addition, adopt the cargo ownership control mode of "telex release bill of lading + endorsement transfer", and release the cargo ownership only after the transit operation is completed, so as to avoid losses caused by early transfer of cargo ownership.

### Answer 4

Chemical transit trade companies can adopt the legal tax planning path of "VAT deferral + cross-border related party transaction pricing". For third-country transit goods, they can apply for the VAT deferral policy of the destination country, delay the VAT payment time point to after the goods are sold to end customers, and ease the capital pressure of the enterprise. At the same time, establish a compliant cross-border related party transaction pricing system, set the purchase and sale price of transit trade in accordance with the "arm's length principle", and avoid triggering BEPS investigation due to price deviation from the reasonable range.

In addition, establish affiliated enterprises for overseas transit warehouses in the third country, reduce the overall tax cost through reasonable profit distribution, and keep all documents, contracts and payment vouchers of related party transactions to cope with verification by tax authorities. For export transit goods, report the transit trade background to the tax department in advance to obtain compliant tax recognition.

### Answer 5

Chemical transit trade companies shall establish a compliance control system for cross-border foreign exchange receipt and payment, and give priority to using the CIPS RMB cross-border payment channel to complete foreign exchange collection and payment, so as to avoid capital freezing caused by compliance problems of SWIFT messages. Strictly implement the principle of "three flows consistency", ensure the consistency of capital flow, cargo flow and document flow, and the subject of capital receipt and payment shall be completely consistent with the signing subject of the purchase and sale contract, so as to avoid triggering verification by the State Administration of Foreign Exchange due to suspicion of "capital return".

In addition, establish a daily control mechanism for offshore accounts, conduct regular compliance self-inspection on the transaction flow of offshore accounts, and avoid account freezing by banks due to abnormal transactions. For large amount foreign exchange receipt and payment (single transaction exceeding 500,000 US dollars), report the transit trade background to the State Administration of Foreign Exchange in advance to obtain the confirmation letter of compliant foreign exchange receipt and payment.

### Answer 6

The transit trade purchase and sale contract for chemical products shall specify that the cargo ownership transfer node is "after the completion of container replacement and labeling operations at the third-country port", so as to avoid losses caused by early transfer of cargo ownership. Set up a force majeure clause as a fallback, and clarify that no breach of contract liability shall be borne for delivery delays caused by force majeure events such as third-country customs inspection, port strikes, natural disasters, etc. In addition, handle intellectual property customs protection filing in advance.

For patented chemical products, complete the filing at the third-country customs and the destination country customs to avoid customs seizure due to intellectual property infringement. For orders settled by letter of credit, strictly review the L/C clauses to avoid "soft clauses", such as unfulfillable clauses requiring "certificate of no transit issued by the destination country customs". In case of soft clauses, immediately require the issuing bank to modify them.

### Answer 7

Chemical transit trade companies shall master the inspection rules of the third-country customs in advance. For semi-hazardous chemicals such as silicone, the third-country customs usually adopts the inspection mode of "machine inspection + unpacking random inspection". Prepare MSDS report, UN dangerous goods packaging appraisal certificate and other documents in advance to cooperate with customs inspection. Pay attention to the authenticity identification of seals.

The new seal after container replacement shall be an intelligent seal with a unique identification code to avoid inspection caused by seal tampering. In case of inspection and appraisal, establish a cooperative relationship with the chemical appraisal institution of the third country in advance to shorten the appraisal time limit to 3-5 working days, and keep the original copy of the appraisal report as supporting documents for subsequent customs clearance. In addition, interpret the content of the inspection notice in advance, clarify the scope and requirements of the inspection, and avoid prolonged inspection time due to improper response.

### Answer 8

Chemical transit trade companies shall formulate compliant packaging schemes for different types of chemicals. For semi-hazardous chemicals such as silicone, UN dangerous goods packaging shall be used, and the packaging category shall be consistent with the hazard category specified in the MSDS report to avoid customs seizure due to non-compliant packaging.

Carry out moisture-proof reinforcement treatment on the packaging in advance, especially in third-country ports with high humidity, use moisture-proof films, desiccants and other buffer packaging materials to avoid goods from being damp and deteriorated. In addition, paste dangerous goods labels in strict accordance with the regulations of the International Maritime Organization (IMO).

The position and size of the labels shall meet the requirements to avoid inspection in the logistics link due to inconsistent labels. Keep the inspection report and appraisal certificate of the packaging as supporting documents for subsequent customs clearance.

### Answer 9

Chemical transit trade companies shall establish an inventory linkage strategy. For end customers with stable demand, they can reserve a certain amount of commonly used chemicals in the third-country transit warehouse to shorten the delivery time limit of transit trade to 7-10 days. Adopt a cost actuarial model, calculate the full-chain costs including logistics fees, storage fees and customs declaration fees for different transit routes and third-country ports, and select the optimal transit plan, which can reduce the full-chain cost by 10%-15%.

In addition, flexibly switch CIF/FOB trade terms, select appropriate trade terms according to the needs of different end customers, and transfer risks such as logistics and insurance. Establish a supply chain risk early warning system, monitor changes in political, economic and customs policies of the third country in real time, and adjust the transit trade strategy in advance to avoid losses caused by policy changes.

Establish a supply chain risk early warning system, monitor changes in political, economic and customs policies of the third country in real time, and adjust the transit trade strategy in advance to avoid losses caused by policy changes.",
