# Which coastal ports in China have mature supporting conditions for carrying out compliant transshipment trade?

## Question

I am the head of a foreign trade enterprise mainly engaged in electromechanical equipment export. Last month, 3 containers of goods shipped to the EU were imposed a 28% anti-dumping duty, which not only wiped out all RMB 120,000 of profit, but also made me lose nearly RMB 100,000 in freight and port surcharges. Now I still have 12 containers of German orders to deliver, and I have been too anxious to sleep for several consecutive nights. I want to avoid anti-dumping duties through transshipment trade, but I have no idea where compliant transshipment trade can be operated in China, and I am afraid of stepping into pitfalls if I choose ports randomly. I heard from peers before that transshipment at some small ports is prone to problems such as out-of-control cargo ownership and customs detention caused by non-compliant documents. I also wonder if there are operable areas in inland regions, or if pilot free trade zones have more reliable supporting facilities and policy support?

### Answer 1 — Best Answer

First of all，common industry misunderstandings need to be clarified: many enterprises，in order to save a small amount of agency costs，blindly choose small ports without transshipment supervision qualifications or informal agents，and even take the "grey transshipment" route through ordinary freight forwarders，completely ignoring compliance requirements.

The cascading negative effects of such operations are extremely serious: in minor cases，goods are detained or stranded at the port of the destination country due to non-compliant documents，resulting in high container detention fees and port demurrage charges，which can erode all profits in a short time，in severe cases，it will be identified as an illegal act of evading anti-dumping duties，facing confiscation of goods，high fines，and even being included in the trade blacklist of the destination country，which will restrict all subsequent export businesses with immeasurable losses.

For physical risk isolation，priority should be given to **compliant designated ports and pilot free trade zones**: At present，mature transshipment trade in China is concentrated in designated coastal ports such as Shanghai Yangshan Port and Shenzhen Yantian Port，as well as pilot free trade zones in Shanghai，Guangdong，Hainan and other regions. These areas have exclusive transshipment supervision warehouses and document audit systems，which can realize compliant isolation of cargo flow and capital flow，and prevent goods from entering the domestic consumption link.

Exclusive loss reduction tips: Before launching transshipment，you must establish a **cargo ownership locking mechanism** through a professional agent，and keep control of the ocean bill of lading throughout the process，at the same time，use the agent's **exclusive pre-audit channel** to verify the consistency of all transshipment documents in advance，and correct any document loopholes immediately once found，if you receive an early warning from the customs of the destination country，you can immediately launch the bonded warehouse temporary storage plan to control losses to the minimum range.

### Answer 2

In the customs declaration link of transshipment trade, the supervision requirements of "inland customs transit" and "overseas transshipment" shall be strictly distinguished. Customs at ports such as Shanghai Yangshan Port and Shenzhen Yantian Port have exclusive customs declaration channels for transshipment trade. You need to submit the Transshipment Trade Goods Declaration Form, copy of bill of lading, certificate of origin and other documents in advance, and the name, quantity and weight of the goods on the documents must be completely consistent with the actual goods.

If the documents are inconsistent, you need to delete and resubmit the declaration within 3 working days, otherwise you will be included in the customs key supervision list, affecting all subsequent customs declaration businesses. In addition, transshipment goods in pilot free trade zones can enjoy the convenience of "customs declaration first, warehousing later", but you need to ensure that the storage time of goods in the supervision warehouse does not exceed 6 months. For overdue storage, you need to go through extension procedures or return the goods.

### Answer 3

The logistics path of transshipment trade should give priority to ports with transit hub functions. Relying on the world's largest container terminal resources, Shanghai Yangshan Port can realize 24-hour rapid loading and unloading of transit goods, and has exclusive transit space agreements with shipping companies of major global routes, which can avoid problems such as container rollover and space shortage.

Shenzhen Yantian Port has the advantage of high transit efficiency for Southeast Asian routes, which is suitable for transshipment goods bound for Southeast Asia, Europe and the United States. In addition, transshipment goods shall use one-time seals recognized by the customs, and the transportation track of the goods shall be recorded throughout the process.

The transfer of cargo ownership shall be completed by endorsement of the bill of lading, and release of goods without bill of lading is strictly prohibited. If you need to change the port of destination, you need to submit an application to the shipping company 72 hours in advance, and notify the customs to update the supervision information simultaneously, so as to avoid port detention caused by information disconnection.

### Answer 4

The tax planning of transshipment trade shall focus on the compliant handling of VAT deferral and non-resident enterprise withholding tax. Transshipment trade enterprises in Shanghai and Guangdong pilot free trade zones can enjoy the value-added tax zero-rate policy, but they need to meet two core conditions: "goods do not enter domestic consumption" and "capital flow corresponds to cargo flow". If you carry out transshipment trade through inland special supervision zones, you need to submit the Transshipment Trade Tax Filing Form to the tax authority in advance, to avoid being identified as domestic sales business and levied value-added tax due to failure of filing.

In addition, the profits of transshipment trade shall be settled through compliant cross-border payment channels, and transfer through personal accounts is strictly prohibited, otherwise it will be identified as related party transactions by the tax authority, facing risks such as tax repayment and fines. At the same time, all documents shall be retained for at least 5 years for tax inquiry and verification.

### Answer 5

The foreign exchange receipt and payment link of transshipment trade shall strictly comply with the operation specifications of the CIPS RMB cross-border payment system. Banks in ports such as Shanghai and Shenzhen have exclusive foreign exchange receipt and payment channels for transshipment trade. You need to submit the Transshipment Trade Foreign Exchange Receipt and Payment Filing Form, copy of bill of lading, trade contract and other documents, and the amount of foreign exchange received and paid shall be consistent with the contract amount, with a difference of no more than 5%.

If there is a foreign exchange difference, you need to submit a Foreign Exchange Difference Explanation Letter and pass the bank review before settlement. In addition, the fund transfer of offshore accounts shall comply with foreign exchange administration requirements, and it is strictly prohibited to use for capital return of transshipment trade, otherwise it will be included in the key monitoring list by the State Administration of Foreign Exchange, and the account's foreign exchange receipt and payment function will be suspended. At the same time, you need to submit the foreign exchange receipt and payment data of transshipment trade to the State Administration of Foreign Exchange every month to ensure the authenticity and consistency of the data.

### Answer 6

The legal risks of transshipment trade shall focus on cargo ownership transfer and soft clauses of letters of credit. Professional service institutions in Shanghai and Guangdong pilot free trade zones can provide exclusive cargo ownership transfer agreement templates to clarify the ownership of goods during transit, so as to avoid loss of cargo ownership caused by agent breach of contract.

If you adopt letter of credit settlement, you need to review the soft clauses in the letter of credit in advance, such as "transshipment certificate issued by the customs of the destination country is required", to avoid payment refusal due to failure to meet the clause requirements. In addition, you need to purchase marine cargo transportation insurance for transshipment goods, the insurance amount shall cover the full value of the goods, and the insurance clauses shall include risk protection during transit. In case of loss, damage and other situations of goods, you can reduce losses through insurance claims. At the same time, all legal documents shall be retained for at least 10 years for subsequent dispute handling.

### Answer 7

The supply chain planning of transshipment trade shall be combined with the target market and cargo type of the enterprise. Shanghai Pilot Free Trade Zone is suitable for transshipment of high-value goods for European and North American markets, and can realize linkage optimization of inventory and capital relying on mature financial and logistics supporting facilities; Hainan Pilot Free Trade Zone is suitable for transshipment of bulk commodities for Southeast Asian and Oceanian markets, enjoying the dual policy advantages of off-island duty exemption and transshipment trade.

In addition, the cost calculation of transshipment trade shall include all link costs such as transit port surcharges, storage fees and agency fees. Through the conversion of CIF and FOB trade terms, part of the cost can be transferred to downstream customers.

At the same time, an inventory early warning mechanism shall be established to avoid inventory overstock caused by too long transit time. If there is a change in market demand, flexible adjustment of the supply chain can be realized through cross-regional allocation of transshipment goods.
