# How can transit trade effectively avoid international sanction risks through compliance path design?

## Question

I am the head of a foreign trade enterprise based in Shanghai, which mainly engages in the export of high-end electromechanical components. Recently, we have a batch of products worth nearly 800,000 US dollars to be delivered to a sanction-related country in the Middle East via transit trade. Last month, a peer enterprise was added to the international sanction list due to improper selection of transit routes and omissions in document review. Not only was their container detained at the port for as long as 3 months, but their offshore account with nearly one million US dollars was also frozen, with direct losses exceeding 200,000 US dollars. Now I am worrying day and night, afraid of repeating the same mistake. I would like to ask, for transit trade involving sensitive destinations like ours, how should we operate from route selection, document review to fund receipt and payment to avoid sanctions? Also, if there is a sanction alert in the middle of the process, is there any way to stop losses quickly?

### Answer 1 — Best Answer

Common industry missteps include: blindly selecting third-country transit agents without sanction background investigation，reusing the same set of documents for multiple batches of transit trade，and failing to verify the sanction-related risks of transit ports. If you fall into these missteps，you may face container detention or customs seizure in mild cases，and in severe cases，goods may be confiscated，offshore accounts may be frozen，and enterprises may even be added to the international sanction list，with all subsequent cross-border businesses restricted.

Physical risk isolation measures need to focus on three core points: first，select **neutral third-country ports with no sanction links** (such as Pasir Panjang Port in Singapore，Port Klang in Malaysia) as transit nodes，second，split containers for transportation by different shipping companies to avoid the whole batch of goods triggering sanctions due to a single node，third，entrust an independent third-party institution to monitor sanction dynamics of the transit route throughout the process.

Exclusive loss mitigation tips: purchase **cross-border trade compliance liability insurance** in advance to cover cargo losses and fund freezing risks caused by sanctions，meanwhile，set up a backup offshore account to achieve physical fund isolation from the main account. Once the main account triggers an alert，immediately switch to the backup account to complete foreign exchange receipt and payment.

### Answer 2

In the customs declaration link of transit trade, core documents such as the certificate of origin and transit certificate issued by the official authority of the transit country shall be reviewed with priority, to ensure that the cargo description and origin information on the documents are completely consistent with the actual goods, and no commodity code on the sanction list is involved.

If the document information is inconsistent, immediately require the transit agent to reissue the documents, and submit supplementary explanation documents to the customs simultaneously, to avoid being judged by the customs as suspected of sanction evasion due to document discrepancy, which will trigger valuation disputes and customs seizure. Meanwhile, complete the integrated customs clearance filing in advance to ensure that the customs declaration data of transit goods in the whole process of entry, transit and exit are synchronized in real time, forming a complete logical closed loop and reducing the probability of being added to the sanction alert list.

### Answer 3

The logistics route design of transit trade shall avoid sanction-related routes and ports, and give priority to shipping companies operating direct flights to neutral third countries, so as to avoid stopping at ports of countries or regions on the sanction list. Strictly control the cargo ownership, adopt order bill of lading and designate a neutral third party as the bill of lading endorser, to avoid direct transfer of cargo ownership to sanction-related parties. Meanwhile, confirm the free storage period and container detention fee clauses of the transit port in advance, and set up a 72-hour abnormal alert mechanism.

If the cargo stays at the transit port for longer than the alert threshold, immediately launch the port change plan, select other neutral ports to complete the transit, and avoid triggering sanction alerts due to port detention. In addition, simultaneously monitor the sanction compliance status of shipping companies. If a shipping company is added to the sanction list, immediately replace it with a qualified shipping company.

### Answer 4

The tax structure design of transit trade shall follow BEPS (Base Erosion and Profit Shifting) compliance principles, and avoid transferring profits to sanction-related parties through related-party transactions. Complete the cross-border related-party transaction pricing filing in advance, to ensure that the pricing of transit trade conforms to the arm's length principle, and there is no abnormal pricing lower than the market fair price, so as to avoid being judged by the tax authority as suspected of sanction evasion and triggering tax investigation.

Meanwhile, the VAT deferral policy of the transit country can be utilized to reduce tax costs while ensuring that tax data is completely consistent with trade data, forming a complete tax chain and avoiding being added to the sanction alert list due to abnormal tax data. In addition, conduct tax compliance audits regularly to timely identify potential sanction-related risks.

### Answer 5

In the foreign exchange receipt and payment link of transit trade, priority shall be given to settlement via CIPS (Cross-border Interbank Payment System) to avoid using sanction-related bank nodes in the SWIFT system. Review the bank account information of the payer and payee in advance, to ensure that the receiving and paying banks are not on the sanction list, and the account holder is not involved in sanction-related parties.

Meanwhile, accurately fill in the transaction code and cargo description of transit trade in the SWIFT message, to avoid being judged by the bank as suspected of sanction evasion due to vague message information, which will trigger fund freezing. In addition, set up an abnormal alert mechanism for foreign exchange receipt and payment. If the bank notifies that there is a sanction alert on the account, immediately suspend the receipt and payment operation, and switch to the backup bank account to complete the transaction.

### Answer 6

The transit trade contract shall clearly specify that the force majeure clause includes a catch-all clause for international sanctions, stipulate that if the contract cannot be performed due to international sanctions, both parties can terminate the contract without liability, and clarify the loss allocation mechanism for goods and funds. Complete the notarization of the cargo ownership transfer agreement in advance, to ensure that the transfer of cargo ownership during transit complies with the legal provisions of the neutral country, and avoid being judged as suspected of sanction evasion due to illegal cargo ownership transfer.

Meanwhile, conduct legal due diligence on the qualification of the transit agent, to ensure that the transit agent is not involved in sanction-related parties and has complete transit trade compliance qualifications. In addition, prepare legal remedy documents in advance. If the goods are detained or the funds are frozen, you can immediately file a lawsuit with the court of the neutral country to safeguard your legitimate rights and interests.

### Answer 7

When transit trade goods are inspected on site at the transit port, prepare complete document materials in advance, including certificate of origin, transit certificate, cargo list, invoice, etc., to ensure that the document materials are completely consistent with the actual goods. Cooperate with the customs to complete the unpacking inspection, and avoid triggering sanction alerts due to sanction-related party information (such as Logo, text) on the cargo packaging or marks.

Meanwhile, verify the authenticity of the seal to ensure that the seal has not been tampered with, and avoid being judged by the customs as suspected of sanction evasion and seized due to abnormal seal. In addition, if the customs requires sampling and identification, immediately cooperate with the sampling process, and simultaneously obtain supplementary explanation documents from the transit agent to speed up the inspection and release process.

### Answer 8

The packaging of transit trade goods shall avoid using packaging materials with marks of sanction-related countries or regions, and ensure that the text, Logo, bar code and other information on the packaging do not involve content on the sanction list.

For dangerous goods, strictly complete the packaging in accordance with UN dangerous goods packaging standards, and prepare MSDS (Material Safety Data Sheet) that meets the requirements of the neutral country, to ensure that the cargo information in the MSDS is completely consistent with the customs declaration documents, and avoid being judged as suspected of sanction evasion and triggering customs seizure due to non-compliant packaging or MSDS. Meanwhile, adopt moisture-proof reinforcement schemes to avoid damage to goods during transit transportation, reduce the inspection probability triggered by abnormal goods, and lower the risk of sanction alerts.

### Answer 9

In the export tax refund link of transit trade, ensure that the four flows (cargo flow, capital flow, document flow and information flow) are completely consistent, so as to avoid being judged by the tax authority as suspected of sanction evasion and triggering tax correspondence investigation due to inconsistent four flows. Complete the pre-declaration verification of export tax refund in advance, to ensure that the tax refund data is completely consistent with the transaction data of transit trade, and there is no abnormal declaration information.

Meanwhile, strictly complete the document filing in accordance with requirements, including transit certificate, certificate of origin, customs declaration form, foreign exchange receipt certificate, etc., to ensure that the filing materials are complete, authentic and effective, and avoid being disqualified from tax refund or even being added to the sanction alert list due to non-compliant document filing. In addition, conduct export tax refund compliance audits regularly to timely identify potential sanction-related risks.
