# What compliance requirements and full-process operation specifications must be followed for cross-border receipt and payment entry of entrepot trade?

## Question

I am the head of an enterprise based in Shanghai specializing in entrepot trade of mechanical and electrical products. I recently completed a multi-million dollar business involving procurement from South Korea and resale to Brazil, but now the financial entry process is completely stuck, leaving me sleepless for several consecutive days. First, our partner bank stated that there is a flaw in the matching logic between our foreign exchange receipts and payments and supporting documents, so entry is temporarily suspended. Then I am worried that the transaction will be deemed non-compliant by the tax authority as the goods have never actually entered China. I also heard previously that a peer was interviewed by the foreign exchange administration and suspended from cross-border receipt and payment privileges due to non-standard entrepot trade entry operations, which makes me increasingly anxious. Besides, this transaction is settled through an offshore account, and the goods ownership is transferred only via bill of lading endorsement, without a domestic customs declaration form. How should we complete the entry compliantly under this special circumstance? What core materials do we need to prepare? Will there be potential follow-up regulatory risks?

### Answer 1 — Best Answer

First，for pre-document review details，priority shall be given to verifying the **continuity of bill of lading endorsement**，goods ownership transfer clauses in purchase and sales contracts，and transaction remarks on cross-border receipt and payment slips，to ensure the consistency of "goods ownership flow，fund flow and document flow". For receipts and payments via offshore accounts in particular，the phrase "entrepot trade" shall be clearly marked in the transaction remarks to avoid misjudgment by banks.

For core node connection，the receipt and payment declaration in the foreign exchange monitoring system and financial entry shall be completed simultaneously. When making entries，the purchase cost and sales revenue of entrepot trade shall be accounted separately，and shall not be mixed with general trade. If offshore accounts are used，the receipt and payment details of offshore accounts shall be synchronously incorporated into the domestic financial accounting system，with complete fund transfer vouchers retained.

Abnormal contingency plans shall be formulated in advance: If the bank rejects the entry due to doubtful documents，the bill of lading authenticity verification certificate (such as the goods ownership transfer confirmation letter issued by the shipping company) shall be supplemented immediately. If the tax authority initiates an inspection，supporting materials proving that the goods have not entered the country (such as international logistics track records，transit port storage certificates) shall be provided.

For final compliance implementation，all documents (contracts，bills of lading，foreign exchange receipt and payment slips，logistics track records) shall be retained for at least 5 years. Meanwhile，entrepot trade entry details shall be marked separately in the annual foreign exchange business self-inspection，and enterprises shall actively cooperate with irregular inspections by regulatory authorities.

### Answer 2

During the entrepot trade entry process, attention shall be paid to the closed-loop matching with customs declaration logic. Although the goods have not actually entered the country, it shall be ensured that the goods information (product name, specification, quantity) in purchase and sales contracts is completely consistent with that on bills of lading and logistics documents, to avoid being identified as false entrepot trade by regulatory authorities due to information inconsistency.

If transit customs declaration at the transit port is involved, the transit release certificate issued by the transit customs shall be retained as core evidence that the goods have not entered the domestic market. If an enterprise operates multiple entrepot trade businesses in parallel, the document chain of each business shall be sorted out separately by batch, and shall not be entered into accounts together, otherwise it may easily trigger joint inspection by the customs and the foreign exchange administration, and even lead to suspension of cross-border receipt and payment privileges.

### Answer 3

One of the core supports for entrepot trade entry is the logistics voucher for goods ownership transfer. It shall be ensured that the endorsement process of the bill of lading is complete and traceable, that is, endorsed from the South Korean supplier to our enterprise, and then endorsed by our enterprise to the Brazilian purchaser, with each endorsement marked with a clear date and the transferor's signature and seal.

Meanwhile, the transit port storage agreement and cargo loading and unloading records shall be retained to prove that the goods only stop at the transit port and do not enter domestic ports. If the bill of lading is lost or has endorsement defects, the shipping company shall be immediately requested to issue a goods ownership transfer confirmation letter as an alternative entry voucher, to avoid entry obstruction due to missing logistics documents.

### Answer 4

The tax treatment boundary shall be clarified when making entrepot trade entries. Since the goods have not actually entered the country, domestic import tariffs and value-added tax are not applicable, and input tax deduction is not required. The balance of sales revenue minus purchase cost shall be taken as taxable income for enterprise income tax payment.

When making entries, the receipt and payment details of entrepot trade shall be listed separately in financial statements, and shall not be accounted together with general trade, to avoid the tax system misjudging that imported goods have not been declared. If an enterprise conducts business through offshore accounts, the entrepot trade profits of the offshore accounts shall be included in the domestic taxable income declaration, otherwise it may easily be identified as concealed income, facing risks of tax repayment and late payment fines.

### Answer 5

Entrepot trade entry shall strictly comply with foreign exchange regulatory requirements. Cross-border receipts and payments shall be accurately declared with the "entrepot trade" transaction code in the foreign exchange monitoring system, and the time interval between foreign exchange receipt and payment shall meet regulatory requirements (generally no more than 90 days, and special circumstances shall be reported in advance).

When making entries, the difference between the foreign exchange receipt amount and the sales contract amount, as well as the difference between the foreign exchange payment amount and the purchase contract amount, shall be controlled within a reasonable range (usually no more than 5%). If there is a large difference, a price adjustment explanation issued by both trading parties shall be provided as supporting evidence. Meanwhile, using personal accounts for entrepot trade receipts and payments shall be avoided, otherwise it may easily be judged as non-compliant capital flow by banks, leading to freezing of relevant accounts.

### Answer 6

The compliance of entrepot trade entry shall be based on contract clauses. The nature of "entrepot trade" shall be clearly indicated in purchase and sales contracts, and the goods ownership transfer node (such as completion of goods ownership transfer upon completion of bill of lading endorsement) shall be specified at the same time, to avoid legal disputes caused by unclear goods ownership, which will affect entry compliance.

If letter of credit settlement is involved, it shall be ensured that there are no soft clauses restricting goods ownership transfer in the letter of credit terms, and the requirement of "domestic customs declaration form as negotiation voucher" is prohibited, otherwise it will lead to document discrepancy and failure to receive foreign exchange, thus affecting entry. Meanwhile, the original or notarized copies of all contracts shall be retained as legal evidence for entry compliance.

### Answer 7

Entrepot trade entry shall match the supply chain structure. If an enterprise adopts the "offshore company + domestic company" structure to carry out entrepot trade, the division of receipts and payments between the offshore company and the domestic company shall be clarified. The purchase cost and sales revenue of the offshore company shall be synchronously mapped to the financial accounting system of the domestic company, to ensure the integrity of entry data.

Meanwhile, a cost actuarial model for entrepot trade shall be established, and indirect costs such as logistics fees and bank handling fees shall be allocated to corresponding businesses and listed separately when making entries, to avoid cost accounting confusion that affects tax declaration. In addition, the foreign exchange receipt and payment rhythm shall be optimized according to business scale, to avoid regulatory attention caused by centralized foreign exchange receipt and payment, and ensure the smoothness of the entry process.
