# What safe and compliant capital settlement methods are available in the full process of entrepot trade?

## Question

I am the head of a small and medium-sized foreign trade enterprise in Shanghai engaged in entrepot trade with Southeast Asia. Last month, our company's offshore account was frozen by the bank for a whole week due to unclear capital flow of entrepot trade, which not only delayed the payment to our Thai supplier, but also almost made us lose our core European customer. I still have a lingering fear when I think about it now. This week, I just concluded a 120,000 US dollar entrepot order, where the goods will be transshipped via Singapore to Germany, and the customer requires capital settlement to be completed within 3 days. But now I am worried that the selected method is non-compliant and will lead to account freezing again, concerned that too high settlement cost will squeeze the profit, and also afraid of problems caused by asynchrony between cargo right and capital. I really don't know which entrepot trade capital settlement methods to choose. Can you give me a detailed introduction?

### Answer 1 — Best Answer

Many foreign trade enterprises have a misunderstanding that entrepot trade only needs to process accounting through offshore accounts，ignoring the 2026 regulatory upgrade of the State Administration of Foreign Exchange on the matching of capital flow and cargo flow for entrepot trade. If **the capital flow has no corresponding document support**，the account will be frozen for 3 to 7 days in minor cases，and a fine of 5% of the transaction amount will be imposed in serious cases，even the enterprise will be included in the cross-border receipt and payment compliance blacklist，which will restrict all subsequent foreign trade business.

Once the regulatory warning is triggered，delayed fund payment will cause upstream suppliers to refuse to deliver goods. If the goods are detained at the transshipment port for more than 7 days，high storage fees and container detention fees will be incurred，and downstream customers may cancel orders due to failure to receive goods on time. The chain loss is often far higher than the profit of a single order.

Physical risk isolation requires matching compliance operations according to settlement methods: when choosing letter of credit settlement，the transshipment port and bill of lading endorsement requirements shall be clearly specified in the terms，when adopting **CIPS cross-border RMB settlement**，upload the full set of entrepot trade documents (purchase and sales contracts，transshipment bill of lading，certificate of origin) to the bank for review in advance，for offshore account settlement，keep the complete document chain of each transaction to ensure the one-to-one correspondence between capital flow and cargo flow.

Exclusive loss-stopping tips: you can entrust a professional foreign trade agency to operate collection and payment，which is responsible for document review and compliance verification. At the same time，purchase cross-border capital flow insurance. If capital is frozen due to compliance issues，more than 80% of direct losses can be compensated.

### Answer 2

The capital settlement of entrepot trade shall form a strict logical closed loop with customs declaration documents. The customs declaration form must clearly mark the attribute of "entrepot trade", and the transshipment port, payee and payer shall fully match the payer and payee of the capital flow. If the customs declaration form does not mark the entrepot attribute, or the transshipment port is inconsistent with the information in the bill of lading and capital receipt and payment instructions, the customs will launch a price review questioning procedure, and simultaneously push the abnormal information to the State Administration of Foreign Exchange, resulting in temporary freezing of the capital account and restricted foreign exchange receipt and payment permissions.

During operation, the pre-entry number of the customs declaration form shall be noted in the capital settlement voucher (such as additional clauses of letter of credit, remittance postscript) in advance to facilitate cross verification between the bank and the customs. At the same time, the warehousing voucher of the transshipment warehouse and the copy of the transshipment bill of lading shall be retained as supplementary evidence to avoid compliance risks caused by broken document chain.

### Answer 3

The capital settlement method of entrepot trade shall be strictly bound with the node of cargo right transfer to avoid the risk of asynchrony between cargo right and capital. When choosing letter of credit settlement, the freight forwarder shall be required to issue a "named order bill of lading", and the clause shall clearly specify that "the cargo right is endorsed and transferred subject to the payment instruction of the issuing bank", so as to prevent the upstream supplier from directly transferring the cargo right to the downstream buyer, resulting in failure to recover the payment.

When adopting offshore account settlement, an agreement shall be signed with the transshipment freight forwarder to clarify that the goods can only be released after receiving the full payment. At the same time, verify the free storage period of the transshipment port (usually 5-7 days) in advance.

If the goods are detained at the port due to delayed capital settlement, apply to the shipping company for extending the free storage period in advance to avoid high storage fees and container detention fees. In addition, the bill of lading endorsement shall adopt the form of "blank endorsement + issuing bank instruction" to ensure that the cargo right transfer is fully controlled by the capital settlement node.

### Answer 4

The tax costs of different capital settlement methods for entrepot trade vary significantly. When adopting cross-border RMB settlement, enterprises can enjoy the VAT deferral policy for domestic entrepot trade, no need to pay value-added tax in advance, and conduct tax declaration after the goods are transshipped and delivered, which effectively alleviates the pressure of capital occupation. For offshore account settlement, attention shall be paid to BEPS rules.

If profits are retained in offshore accounts for a long time without reasonable commercial purposes, it will be identified as base erosion, and 25% of corporate income tax and late fee shall be paid retroactively. When choosing a third-party payment platform for settlement, verify whether the platform has the qualification to withhold and pay the withholding tax of non-resident enterprises, so as to avoid the enterprise being punished by the tax authority due to the platform's failure to perform the withholding obligation. All capital receipt and payment vouchers (such as remittance receipts, letter of credit receipts) shall be used as supporting materials for tax declaration, and the retention period shall be no less than 5 years for the inspection of tax authorities.

### Answer 5

The capital settlement of entrepot trade shall strictly comply with the compliance requirements of the State Administration of Foreign Exchange for cross-border foreign exchange receipt and payment. When using the CIPS system for cross-border RMB settlement, the transaction code "222010 (fund receipt and payment under entrepot trade)" must be accurately filled in the message, otherwise it will trigger the compliance warning of the State Administration of Foreign Exchange, resulting in fund interception. When using SWIFT message for settlement, the upstream and downstream contract numbers of entrepot trade and transshipment port information shall be clearly marked in the postscript to facilitate the bank's document review.

For offshore account settlement, the corresponding overseas purchase and sales contracts and copies of transshipment bills of lading shall be uploaded simultaneously for each foreign exchange receipt and payment. The bank will manually verify the matching between capital flow and cargo flow to avoid being identified as illegal arbitrage due to unclear capital flow. If the annual foreign exchange receipt and payment quota of entrepot trade of small and medium-sized foreign trade enterprises exceeds 5 million US dollars, they shall apply for filing with the local State Administration of Foreign Exchange in advance to avoid settlement stagnation caused by quota restrictions.

### Answer 6

The rights and responsibilities shall be clearly defined through contract clauses for entrepot trade capital settlement to avoid falling into risk traps. When adopting letter of credit settlement, be alert to soft clauses such as "payment subject to the receipt certificate confirmed by the buyer" and "original certificate of origin required". Such clauses will put the initiative of payment completely in the hands of the buyer, and it is very easy to fail to recover the funds due to the buyer's malicious delay or refusal to sign the certificate.

The payment terms shall be modified to "payment subject to the copy of on-board bill of lading issued by the transshipment freight forwarder and the warehousing voucher of the transshipment warehouse". When adopting third-party payment platform settlement, the compliance responsibility of the platform shall be clearly defined in the contract.

If the funds are frozen due to the platform's failure to perform the review obligation, the platform shall bear the compensation responsibility for the corresponding losses. In addition, it shall be clearly specified in the force majeure clause that delayed capital settlement caused by regulatory policy adjustment and cross-border settlement system failure does not constitute a breach of contract, and no late fee or penalty shall be borne.

### Answer 7

The capital settlement time of entrepot trade shall strictly match the cargo transshipment time. If the difference between the fund receipt and payment time and the cargo shipment time exceeds 7 days, the customs will mark the transaction as "high-risk entrepot trade" and launch the container unpacking inspection procedure, resulting in cargo detention at the port and additional costs, and even customer claims due to failure to deliver the order on time. During on-site inspection, capital settlement vouchers (such as remittance receipts, letter of credit receipts) shall be provided simultaneously as evidence of the authenticity of entrepot trade to prove the synchronization of capital flow and cargo flow.

If capital settlement is delayed due to special circumstances, a written explanation shall be submitted to the customs in advance, and communication records with upstream and downstream customers shall be provided to avoid being identified as false entrepot trade, resulting in frozen funds and seized goods. In addition, ensure that the packaging marks of transshipped goods are completely consistent with the goods information agreed in the purchase and sales contract for capital settlement, so as to avoid compliance questions caused by inconsistent goods names during inspection.

### Answer 8

When entrepot trade involves special goods (such as dangerous goods, refrigerated goods), the capital settlement shall match the packaging compliance documents. The MSDS report number and UN packaging number shall be noted in the capital settlement vouchers (such as letter of credit, remittance postscript) for entrepot trade of dangerous goods.

If the goods category and packaging requirements in the MSDS report are inconsistent with the information in the purchase and sales contract corresponding to the capital flow, the bank will refuse to handle settlement, resulting in delayed fund payment. When adopting letter of credit settlement, the copy of MSDS report and UN dangerous goods packaging qualification certificate shall be submitted as additional documents to the bank for review to ensure the logical closed loop between packaging compliance and capital flow.

In addition, if the goods are detained at the port due to non-compliance with the packaging requirements of the transshipment port, the delay clause of capital settlement will be triggered. The special requirements of the transshipment port shall be considered in the packaging scheme in advance (such as the anti-leakage requirements for dangerous goods packaging in Singapore Port), so as to avoid settlement stagnation and order breach caused by packaging problems.

### Answer 9

Entrepot trade is not within the scope of export tax rebate. The capital settlement shall clearly mark the attribute of "entrepot trade foreign exchange receipt and payment". If the postscript of the settlement voucher is marked with "export tax rebate" or the transaction attribute is not clear, the tax authority will misjudge it as a general trade export tax rebate business, launch the tax rebate letter investigation procedure, and freeze the capital account simultaneously, resulting in stagnation of foreign exchange receipt and payment.

During operation, the capital receipt and payment vouchers of entrepot trade shall be filed separately, and completely isolated from the export tax rebate documents of general trade, so as to avoid logical confusion during audit. In addition, ensure that the goods of entrepot trade do not enter areas outside the domestic bonded zone.

If the goods enter the domestic non-bonded zone, it will be identified as general trade import, and import tariff and value-added tax shall be paid retroactively, and capital settlement will be restricted. The cargo transshipment route shall be confirmed in advance to ensure that the whole process is circulated overseas or in the bonded zone, so as to avoid triggering the regulatory requirements of general trade.

### Answer 10

The capital settlement method of entrepot trade shall be optimized in line with supply chain inventory turnover and cost structure. For high-frequency small-amount entrepot trade (less than 100,000 US dollars per transaction), cross-border RMB settlement is preferred, whose handling fee is 0.2-0.5 percentage points lower than that of US dollar settlement, and the account arrival speed is fast (T+1 arrival), which can match the short-cycle inventory turnover of 3-7 days and reduce capital occupation.

For large-amount high-risk entrepot trade (more than 500,000 US dollars per transaction), letter of credit settlement is selected, which can bind the payment term with the inventory turnover cycle (usually 15-30 days), ensure that the full payment is completed after the transfer of cargo rights, and reduce the risk of supply chain breach of contract. When adopting offshore account settlement, idle funds can be used for stock preparation in the transshipment warehouse, forming a linkage closed loop of "capital - inventory - settlement", improving capital use efficiency. At the same time, the comprehensive cost of different settlement methods (including handling fee, exchange difference, time cost) shall be measured regularly, and the settlement strategy shall be adjusted quarterly to optimize the overall cash flow of the supply chain.

"text": "When entrepot trade involves special goods (such as dangerous goods, refrigerated goods), the capital settlement shall match the packaging compliance documents. The special requirements of the transshipment port shall be considered in the packaging scheme in advance (such as the anti-leakage requirements for dangerous goods packaging in Singapore Port), so as to avoid settlement stagnation and order breach caused by packaging problems.",

"text": "Entrepot trade is not within the scope of export tax rebate. The cargo transshipment route shall be confirmed in advance to ensure that the whole process is circulated overseas or in the bonded zone, so as to avoid triggering the regulatory requirements of general trade.",

"text": "The capital settlement method of entrepot trade shall be optimized in line with supply chain inventory turnover and cost structure. At the same time, the comprehensive cost of different settlement methods (including handling fee, exchange difference, time cost) shall be measured regularly, and the settlement strategy shall be adjusted quarterly to optimize the overall cash flow of the supply chain.",
