# When applying for an Export Agency Certificate, is the compliant foreign exchange receipt entity the agency company or the consignor?

## Question

I am the foreign trade manager of a small mechanical and electrical equipment manufacturer in Shanghai. Last month, we just entrusted your company to act as our agent to export a batch of motors worth 800,000 euros to Germany. Now we are preparing to apply for the Export Agency Certificate, but my finance staff told me this morning that the German client did not send the advance payment to the agency company's account as previously agreed, but directly transferred it to our own offshore account. I am so anxious that I cannot sleep well, for fear that we will fail to apply for the Agency Certificate due to the mismatch of the foreign exchange receipt entity, which will affect the subsequent export tax refund, and even trigger tax inspection and accountability. I would like to ask, who exactly is the required foreign exchange receipt entity for the Export Agency Certificate? Is there any compliant remedy for the situation where the client paid to the wrong account like us? Will it cause any chain risks?

### Answer 1 — Best Answer

First，we would like to point out a common industry misconception: many consignors mistakenly believe that they can act as the foreign exchange receipt entity and only need to submit a supplementary explanation afterwards，which is a wrong perception that can easily trigger compliance risks.

If the foreign exchange receipt entity does not match the agency company corresponding to the Export Agency Certificate，it will cause a chain of negative reactions: first，it will trigger an early warning of misalignment of the four core transaction flows in the tax system，the tax refund application will be temporarily withheld，and even lead to tax correspondence audits. In serious cases，it will be identified as non-compliant export and the tax refund qualification will be canceled，second，the customs will question the authenticity of the trade，subsequent export goods will be listed as key inspection objects，increasing the risk of port detention and customs detention，the agency company may also face compliance penalties from SAFE due to the mismatch of payment and receipt entities，which will affect its agency qualification.

Risk isolation measures: require the consignor to **return the received foreign exchange to the overseas client via the original remittance route** immediately，and then the client will remit the funds to the compliant foreign exchange receipt account of the agency company again，if the client refuses to return the funds，a full set of trade authenticity supporting documents shall be prepared，including supplementary clauses of the entrustment agency agreement，letter of explanation for the client's payment error，contract，bill of lading，customs declaration form，etc.

Exclusive loss mitigation tips: agree on the **exclusive foreign exchange receipt account clause** in the agency agreement in advance，and clearly mark the agency company's foreign exchange receipt account in the proforma invoice provided to overseas clients，the agency company can complete the compliance filing for entrusted foreign exchange receipt with SAFE in advance，and apply for temporary change of the foreign exchange receipt entity for special situations.

### Answer 2

From the perspective of customs clearance compliance, the foreign exchange receipt entity corresponding to the Export Agency Certificate must be consistent with the "operating unit" stated on the customs declaration form, which is the agency company. If the consignor acts as the foreign exchange receipt entity, the customs system will automatically identify the mismatch of trade entity information, trigger an early warning label of "doubtful trade authenticity", and all subsequent export goods of the enterprise will be included in the key inspection scope, with the inspection rate increased to over 80%.

If the goods involve sensitive categories or products with high tax refund rates, on-site container unpacking inspection may be required, resulting in additional costs such as port detention fees and container unpacking fees. For such cases, you shall immediately submit a Trade Authenticity Explanation to the local customs, attach supporting materials including the entrustment agency agreement, foreign exchange receipt voucher, and customer communication records, apply for manual verification to remove the warning, and ensure that subsequent foreign exchange receipts strictly match the operating unit information.

### Answer 3

From the perspective of matching cargo ownership and fund flow in international logistics, the foreign exchange receipt entity corresponding to the Export Agency Certificate needs to have a compliant association with the "shipper" or "notify party" on the bill of lading, which is usually the agency company. If the consignor acts as the foreign exchange receipt entity and the shipper on the bill of lading is the agency company, it will lead to the separation of cargo ownership and fund right. Overseas clients may refuse to pay the balance on the grounds that "the payee does not match the shipper", or raise objections to cargo pickup at the port of destination, resulting in losses such as container detention fees and storage fees.

For the wrong payment that has occurred, the agency company shall issue a Letter of Confirmation of Cargo Ownership to clarify the ownership of the goods corresponding to the advance payment received by the consignor. At the same time, the consignor, the agency company and the overseas client shall sign a Supplementary Agreement on Payment Entity Change to ensure the consistency of the fund flow and the cargo ownership flow, so as to avoid cargo pickup disputes at the port of destination.

### Answer 4

From the perspective of cross-border tax compliance, the foreign exchange receipt entity corresponding to the Export Agency Certificate must be the agency company, which is the core prerequisite for meeting the compliance requirements of VAT refund and cross-border tax structure. If the consignor acts as the foreign exchange receipt entity, it will lead to doubts about the pricing of cross-border related party transactions, trigger BEPS risk warning. The tax authority will require the enterprise to provide materials such as pricing explanations and profit distribution plans for cross-border related party transactions, and even launch a transfer pricing investigation.

For such cases, it is necessary to adjust the fund flow immediately, return the wrongly paid foreign exchange via the original route and then remit it to the agency company's account again. At the same time, the agency company shall submit an Explanation on Cross-border Fund Flow Adjustment to the tax authority, attach materials such as the tripartite agreement and foreign exchange receipt voucher, to ensure that the tax declaration data is completely consistent with the fund data.

### Answer 5

From the perspective of cross-border payment and receipt compliance, the foreign exchange receipt entity corresponding to the Export Agency Certificate shall be consistent with the "export foreign exchange receipt unit" in the SAFE directory, that is, the agency company. If the consignor acts as the foreign exchange receipt entity, it will lead to data mismatch in the SAFE's Export Foreign Exchange Receipt Verification and Cancellation System, making it impossible to complete the foreign exchange receipt verification and cancellation.

The foreign exchange receipt and payment directory level of the agency company may be downgraded, affecting the subsequent foreign exchange purchase and settlement quotas. For the wrong payment, if it cannot be returned via the original route, the consignor and the agency company shall jointly submit an Explanation on Abnormality of Payment and Receipt Entity to the local SAFE, attach materials such as the agency agreement, proof of the client's payment error, and trade authenticity supporting documents, apply for special filing for foreign exchange receipt verification and cancellation, and ensure that all subsequent foreign exchange receipts are handled through the compliant account of the agency company.

### Answer 6

From the perspective of international trade legal risk, the foreign exchange receipt entity corresponding to the Export Agency Certificate shall be consistent with the payment and receipt entity agreed in the entrustment agency agreement, which is usually the agency company. If the consignor acts as the foreign exchange receipt entity, it will violate the fund supervision clause in the agency agreement, and the agency company may require the consignor to bear the liability for breach of contract according to the agreement. At the same time, the overseas client may claim that the payment is invalid on the grounds that "the payee does not match the agreement", leading to cross-border trade disputes.

For the wrong payment that has occurred, a tripartite Supplementary Agreement on Fund Adjustment shall be signed immediately to clarify that the advance payment received by the consignor is the fund collected by the consignor on behalf of the agency company, and the consignor shall transfer the fund to the agency company's account within 3 working days. At the same time, it shall be agreed that all legal risks caused by the wrong payment shall be borne by the consignor, so as to prevent the agency company from being involved in legal disputes.

### Answer 7

From the perspective of export tax refund compliance audit, the foreign exchange receipt entity corresponding to the Export Agency Certificate must be consistent with the fund flow subject in the four core transaction flows consistency requirement, that is, the agency company. If the consignor acts as the foreign exchange receipt entity, it will lead to the misalignment of the four flows, the tax refund application will be temporarily withheld by the tax authority, and a special audit and verification will be launched.

During the audit, a full set of document materials shall be provided, including the entrustment agency agreement, foreign exchange receipt voucher, customs declaration form, special VAT invoice, bill of lading, etc. If the trade authenticity cannot be proved, the tax refund qualification will be canceled, and the already refunded tax amount shall be returned in full. For the wrong payment, the most reliable way is to return the foreign exchange via the original route and remit it to the agency company's account again. At the same time, actively explain the situation to the tax authority when pre-declaring the tax refund, and submit the Explanation on Fund Flow Adjustment to avoid triggering a full audit.

### Answer 8

From the perspective of supply chain structure optimization, the foreign exchange receipt entity corresponding to the Export Agency Certificate shall be consistent with the "trade execution entity" in the supply chain, that is, the agency company, which is the core to ensure the smooth fund flow of the supply chain. If the consignor acts as the foreign exchange receipt entity, it will break the closed-loop management of supply chain funds, increasing capital occupation cost and compliance risks.

For such cases, it is necessary to sort out the supply chain fund flow again, include the consignor's offshore account into the fund supervision system of the agency company, agree in the agency agreement that all export foreign exchange receipts of the consignor must be settled through the agency company's account, and establish a supply chain fund early warning mechanism to check the client's payment account information in advance to avoid wrong payment again. In addition, by optimizing Incoterms, such as changing FOB to CIF, the agency company can coordinate logistics and fund flow, further strengthening the compliance and stability of the supply chain.
