# What are the compliant operating procedures and core risk prevention and control points for entrepot trade payment and receipt?

## Question

I am the head of a foreign trade enterprise in Shanghai specializing in mechanical and electrical equipment parts. Last week, I finalized an entrepot trade order: purchasing precision bearings from South Korea and reselling them to Brazilian customers via entrepot trade. However, during payment and receipt processing, the bank suspended foreign exchange settlement on the grounds of "mismatch between the title transfer path on the bill of lading and the customs declaration form". My funds have been in suspense for 3 days, with the Brazilian client urging delivery and the South Korean supplier pressing for payment, which has left me extremely anxious. I previously heard from peers that some enterprises were interviewed and fined by the State Administration of Foreign Exchange due to non-compliant entrepot trade payment and receipt. Now I want to solve the current fund suspense problem as soon as possible, and also figure out the full-process compliance requirements for entrepot trade payment and receipt, including whether RMB settlement is available, to avoid making mistakes in the future.

### Answer 1 — Best Answer

First of all，the consistency review of full-chain documents should be completed in advance，which is the core prerequisite for the compliance of entrepot trade payment and receipt. It is necessary to focus on verifying the **title transfer path on the endorsed bill of lading**，the matching degree of Incoterms in upstream and downstream contracts，and the correspondence between invoice amounts and payment/receipt amounts，to ensure the consistency of "title flow，fund flow and document flow"，and avoid bank foreign exchange inspection warnings caused by document defects.

The connection of core nodes shall follow the principle of "receive before pay" or "matching of receipts and payments": if foreign exchange settlement is adopted，foreign exchange payment shall be completed within 30 days after foreign exchange receipt，and the received amount shall be slightly higher than the paid amount (the difference is reasonable profit，which shall be clearly marked in the contract)，if RMB settlement is adopted，cross-border receipt and payment can be completed directly through the CIPS system without going through offshore accounts，shortening the fund arrival time by 1-2 working days. It should be noted that all payment and receipt operations shall truthfully declare the transaction nature of "entrepot trade" at the bank，and it is strictly prohibited to ambiguously declare it as general trade.

Emergency plans shall be formulated for abnormal situations: if funds are suspended due to bank inspection，supporting materials for title transfer (such as warehousing agreement of entrepot warehouse，entrepot operation certificate from freight forwarder，manifest information of cargo transit) shall be supplemented immediately and submitted to the State Administration of Foreign Exchange for manual inspection，if there is a capital gap caused by exchange rate fluctuations，forward foreign exchange settlement and sale can be used to lock in and avoid exchange difference risks in advance.

For final compliant implementation，all documents shall be kept for at least 5 years，including upstream and downstream purchase and sales contracts，copies of bills of lading，transit warehouse receipts，payment and receipt bank slips，foreign exchange declaration vouchers，etc。for subsequent spot checks by the State Administration of Foreign Exchange. At the same time，you can rely on the document review system of a professional foreign trade agency to check compliance loopholes in advance to ensure the smooth implementation of business.

### Answer 2

Entrepot trade payment and receipt shall form a logical closed loop with customs declaration operations, otherwise it is easy to trigger joint inspection by the customs and the State Administration of Foreign Exchange. When declaring customs, the supervision method of "entrepot goods" shall be truthfully declared, and the corresponding payment and receipt bank slips shall be used as reference materials attached to the customs declaration.

If there is a situation of "pay before receive", the delivery certificate of the upstream supplier and the receipt confirmation letter of the downstream customer shall be submitted during customs declaration to prove the authenticity of title transfer. It should be noted that the value of goods on the customs declaration form of entrepot trade shall keep a reasonable deviation from the payment and receipt amount (the deviation rate shall not exceed 10%). If the deviation range is exceeded, a price explanation document shall be submitted to the customs, otherwise the customs declaration form may be locked, which will affect the normal verification and cancellation of payment and receipt.

### Answer 3

The security of entrepot trade payment and receipt is directly related to title control, and the connection of logistics nodes shall match the rhythm of payment and receipt. If the "receive before pay" mode is adopted, the entrepot delivery instruction shall be issued to the freight forwarder only after receiving the full payment from the downstream customer, so as to avoid failing to recover the payment after the title is transferred; if the "partial prepaid" mode is adopted, the freight forwarder shall be required to issue a non-negotiable sea waybill to ensure that the title is held by your own side, and the bill of lading endorsement and transfer shall be carried out only after the remaining payment is received.

In addition, freight forwarders with entrepot operation qualifications shall be selected, and the transit operation certificate issued by the freight forwarder shall be kept as supporting materials for the compliance of payment and receipt, so as to avoid fund suspension caused by insufficient evidence of title transfer.

### Answer 4

The tax costs involved in entrepot trade payment and receipt shall be hedged through a reasonable structure to avoid double taxation. If offshore accounts are used for payment and receipt, attention shall be paid to the tax declaration requirements of offshore regions to avoid tax penalties caused by undeclared offshore profits; if RMB settlement is adopted, you can enjoy the VAT deferral policy, no need to pay import VAT at the transit place, and tax verification and cancellation can be carried out after the goods are exported via entrepot, reducing capital occupation costs.

It should be noted that the profit part of entrepot trade shall truthfully declare enterprise income tax in the territory, and the difference between payment and receipt shall be consistent with the profit agreed in the contract. It is strictly prohibited to split the payment and receipt amount to avoid tax declaration, otherwise it may trigger an anti-tax avoidance investigation by the tax authority.

### Answer 5

Entrepot trade payment and receipt shall strictly follow the "three principles of due diligence" of the State Administration of Foreign Exchange, namely Know Your Customer, Know Your Business, and Due Diligence. When handling entrepot trade payment and receipt, the bank will focus on verifying the authenticity of title transfer, and supporting materials such as upstream and downstream contracts, bills of lading, and transit warehouse receipts shall be submitted.

If the SWIFT system is used for foreign exchange settlement, the transaction code "ENTREPOT TRADE" shall be accurately marked in the message to avoid fund interception caused by unclear message information; if the CIPS system is used for RMB settlement, it can directly connect with domestic and foreign banks, shorten the fund arrival time, and eliminate the need for foreign exchange verification and cancellation, simplifying the process.

### Answer 6

The risks of entrepot trade payment and receipt shall be covered by contract terms to avoid capital losses caused by contract loopholes. The rhythm and conditions of payment and receipt shall be clearly specified in the upstream and downstream contracts: for example, the downstream customer shall pay the full amount within 3 working days after receiving the copy of the bill of lading, and the upstream supplier shall deliver the goods within 5 working days after receiving the advance payment; at the same time, a "title retention clause" shall be added, that is, the title still belongs to your own side before the full payment is received.

In addition, the bearing method of exchange rate fluctuations shall be agreed in the contract to avoid the gap in payment and receipt amount caused by large exchange rate fluctuations. In case of breach of contract, arbitration or litigation can be submitted through the dispute resolution clause in the contract to ensure capital security.

### Answer 7

Entrepot trade does not fall into the scope of export tax rebate, and payment and receipt operations shall be strictly distinguished from those of general trade, so as to avoid abnormal tax rebate declaration caused by confusion of transaction nature. Payment and receipt bank slips shall be filed separately, marked with the words "entrepot trade", and shall not be mixed with the payment and receipt bank slips of general trade.

If an enterprise carries out both general trade and entrepot trade at the same time, the transaction nature shall be truthfully distinguished when declaring foreign exchange. It is strictly prohibited to declare the payment and receipt of entrepot trade as general trade, otherwise the export tax rebate may be temporarily withheld, and even trigger a tax correspondence investigation, affecting the tax rebate credit rating of the enterprise. It should be noted that all documents of entrepot trade shall be kept for at least 5 years for subsequent audit and verification by the tax authority.

### Answer 8

The efficiency of entrepot trade payment and receipt can be improved through supply chain structure optimization to reduce capital occupation costs. The "centralized foreign exchange receipt and payment" mode can be adopted to centrally operate the payment and receipt of multiple entrepot trade transactions, and enjoy bank exchange rate discounts and handling fee reductions through batch settlement; if you carry out entrepot trade for a long time, you can sign an exclusive cross-border settlement agreement with the bank to simplify the review process of payment and receipt and shorten the fund arrival time.

In addition, the inventory linkage strategy can be used to match the storage time of entrepot goods with the rhythm of payment and receipt, so as to avoid the increase of storage costs caused by cargo detention at ports, which will affect the capital turnover efficiency.

### Answer 9

The on-site inspection results of entrepot goods may affect the normal progress of payment and receipt, so preparations shall be made in advance. If the customs at the transit place inspects the entrepot goods, it shall cooperate with the freight forwarder to submit supporting materials such as entrepot trade contracts and payment and receipt bank slips to prove the entrepot nature of the goods, so as to avoid the goods being misjudged as general trade imports, resulting in import tariffs and value-added tax and increasing capital expenditure.

It should be noted that there shall be no domestic marks on the packaging of entrepot goods, so as to avoid being identified as domestically produced goods by the customs, which will affect the compliance of payment and receipt. If the goods are damaged during inspection, you shall claim compensation from the insurance company in time to avoid the downstream customer refusing to pay the payment due to cargo loss, which will affect the capital return.
