# What types of companies hold valid and compliant business qualifications to carry out transshipment trade operations?

## Question

I am the person in charge of a foreign trade enterprise mainly engaged in the export of hardware products. Last month, the EU suddenly imposed a 45% anti-dumping duty on our products, and our customer directly canceled two container orders. We finally negotiated to use transshipment trade to circumvent the barriers, but we have never been involved in this type of business before. I consulted three companies: some said they could do it but could not provide corresponding qualification certificates, some were vague about the core process of anti-dumping transshipment, and others quoted ridiculously high prices. Now the goods will be put into warehouse next month, and I am afraid that choosing the wrong company will lead to cargo detention and foreign exchange payment violations, not only losing hundreds of thousands of dollars in cargo value, but also completely offending our old customers. I am so anxious that I can’t sleep. I want to ask which companies can handle transshipment trade, especially professional companies that can deal with anti-dumping barriers and conduct foreign exchange payment compliance operations.

### Answer 1 — Best Answer

Many foreign trade enterprises have a common misunderstanding: they think that any company with import and export business qualifications can undertake transshipment trade，especially businesses involving anti-dumping barriers. But in fact，companies without qualifications or experience often use false certificates of origin and non-compliant transit documents to muddle through. Once inspected by the customs of the destination country，it will directly trigger a chain reaction of cargo detention and confiscation，and even trigger a retrospective investigation by the anti-dumping investigation authority，which will involve overseas customers being included in the trade blacklist. The enterprise’s own cross-border payment and receipt account will also be marked as high-risk by the State Administration of Foreign Exchange，affecting all subsequent cross-border businesses.

To achieve physical risk isolation，it is necessary to prioritize three types of compliant companies: first，foreign trade agency companies **with special transshipment trade business qualifications** and more than 5 years of experience in transshipment operations for anti-dumping product categories，second，professional transshipment service providers with fixed cooperative bonded warehouses in transit ports and the ability to provide third-party compliant certificates of origin，third，compliance institutions with independent risk control teams that can conduct pre-review of all documents to ensure logical closure.

Exclusive loss mitigation tip: when signing the service contract，you must add a clause stating **"Full compensation will be provided for cargo detained due to non-compliant operations"**，and require the service provider to grant real-time cargo monitoring rights in the transit port，sync cargo status every 24 hours，and activate the return plan immediately once an abnormality occurs to minimize losses.

### Answer 2

The core customs declaration logic of transshipment trade is "two ends outside", that is, the goods do not enter the country (only bonded storage in the transit port). Companies that can undertake this business must have "special transshipment trade customs declaration authority" and complete the complete logical closed loop of "manifest change - transit customs declaration - pre-declaration for the destination country".

Such companies need to be familiar with the valuation rules of transit port customs, and can provide storage certificates of goods from third-party transit warehouses to avoid being suspended by customs due to the mismatch between the declared value of the customs declaration and the actual value, which may lead to deletion and re-declaration or valuation disputes. In addition, it is necessary to ensure that the "mode of transport" on the customs declaration form is marked as "transit transport" instead of "direct export", otherwise it will be judged by the destination country’s customs as circumventing anti-dumping barriers and trigger special investigations.

### Answer 3

Logistics companies that can undertake transshipment trade must have self-operated or deeply cooperative bonded warehouses in the transit port, and hold "international cargo transit and distribution qualifications". Such companies can complete container replacement, labeling and re-documentation within 24 hours after the goods arrive at the port, avoiding detention charges and demurrage charges caused by excessive transit time.

At the same time, they need to have exclusive shipping company space resources to flexibly adjust transit routes and avoid delivery delays caused by slot shortages or skipped shipments. In addition, they need to provide compliant operations of "bill of lading endorsement transfer" to ensure the safe transfer of cargo rights during transit, and avoid the risk of cargo rights loss or interception by third parties.

### Answer 4

Tax service companies that can undertake transshipment trade need to be familiar with the VAT deferral policy of transit ports, the tax-free clauses of transshipment trade in international tax agreements, and the anti-dumping tax avoidance rules of destination countries. Such companies can design a reasonable tax structure for enterprises, reduce capital occupation costs through the VAT deferral policy of transit ports, and ensure that the profits of transshipment trade will not be double-taxed.

In addition, they can assist enterprises in completing the pricing filing of cross-border related party transactions, avoiding being identified as profit transfer by tax authorities due to unreasonable pricing, triggering BEPS investigations and affecting the enterprise’s tax credit rating.

### Answer 5

Compliance companies that can undertake transshipment trade need to be familiar with the standard format of SWIFT messages, the operation process of CIPS RMB cross-border payment, and the regulatory requirements of the State Administration of Foreign Exchange on transshipment trade payment and receipt.

Such companies can ensure the logical closed loop of capital flow, document flow and cargo flow in payment and receipt, avoiding being warned by the State Administration of Foreign Exchange or even having their accounts frozen due to the mismatch between capital flow and document flow. In addition, they can provide compliant management services for offshore accounts, ensuring that the funds of transshipment trade circulate safely in the accounts of transit ports, and avoiding the inability to settle funds in time due to account freezing.

### Answer 6

Law firms that can undertake transshipment trade need to be familiar with the transshipment trade related clauses in Incoterms® 2020, as well as the laws and regulations of destination countries such as anti-dumping law and customs law.

Such companies can draft exclusive transshipment trade contracts for enterprises, adding contents such as "force majeure clause bottom line", "clear cargo rights transfer clause" and "letter of indemnity (LOI) issuance commitment" to avoid disputes caused by vague contract terms. In addition, they can assist enterprises in completing the customs protection record of intellectual property rights, ensuring that transshipment goods will not be detained by customs due to infringement issues.

### Answer 7

Companies that can undertake on-site inspection services for transshipment trade need to have professional inspection teams in the transit port, and be familiar with the inspection procedures of transit port customs, the skills of machine inspection, and the method of identifying the authenticity of seals.

Such companies can conduct pre-inspection immediately after the goods arrive at the port, find problems with cargo packaging and labels and rectify them in time, avoiding additional inspection fees caused by failure to pass the machine inspection and requiring unpacking inspection. In addition, they can interpret the implied information in the inspection notice, adjust the document content in time to ensure that the goods pass the inspection quickly and avoid port detention.

### Answer 8

Companies that can undertake tax refund audit related to transshipment trade need to be familiar with the requirements of the State Administration of Foreign Exchange on foreign exchange receipt verification for transshipment trade, and the four-flow consistency verification rules of the State Taxation Administration on export tax refunds.

Such companies can assist enterprises in completing document filing for transshipment trade, ensuring the logical consistency of cargo flow, capital flow, document flow and contract flow, avoiding being invited for tax investigation by the tax authorities due to inconsistent four flows, which will affect the enterprise’s export tax refund qualification. In addition, they can assist enterprises in completing the pre-declaration verification of cross-month declaration, ensuring that the foreign exchange receipt verification of transshipment trade is completed in time, and avoiding affecting subsequent cross-border payment and receipt operations due to overdue verification.
