# What Core Admission Criteria and Compliance Requirements Must Enterprises Meet to Apply for Transit Trade Qualification?

## Question

I am from a foreign trade enterprise in Shanghai mainly engaged in transit business of building materials for Southeast Asia. We just signed a USD 1.2 million transit order last week, with shipment scheduled for next month, but our company has not applied for transit trade qualification yet, and we are very anxious now. We consulted a small agency before, who only vaguely said a bunch of documents are needed, but did not clarify the specific admission thresholds and compliance details. I am afraid that incomplete preparation of materials will cause delays in shipment, and even worse, after the qualification is obtained, non-compliance of the qualification will lead to control over payment and receipt and port detention of goods, which will result in over RMB 100,000 in liquidated damages. I would like to ask how to apply for transit trade qualification, and what key nodes and risk avoidance points should be noted?

### Answer 1 — Best Answer

First，carry out preliminary document review. You need to sort out the enterprise business license (the business scope shall include "transit trade" or "international trade")，bank statements for the past 6 months (to prove stable cross-border payment and receipt capability)，and authentic background materials of transit trade (such as upstream and downstream contracts，draft bill of lading) in advance. **Make sure the information on all documents is logically consistent** to avoid being red-flagged by banks or customs due to misalignment of the three flows (document，fund and goods).

In terms of core node coordination，first submit the Application for Transit Trade Business and supporting documents to the opening bank. The bank will open the transit trade payment and receipt permission after completing due diligence，then file for business record with the local customs authority，submit the Enterprise Information Registration Form for Cross-border RMB Settlement，and the record can be completed within 3 working days. Pay attention to the time gap between core nodes. It is recommended to handle the bank permission first before customs record，so as to avoid delay in the payment and receipt channel.

Contingency plans shall be formulated in advance: if the bank requests supplementary materials during due diligence，you shall submit notarized duplicates of upstream and downstream contracts within 3 working days，if the customs record is rejected，you shall immediately check whether the business scope meets the requirements，and can simultaneously apply for business registration alteration to add the business scope.

After the final compliance implementation，**All relevant documents must be retained for at least 5 years** for subsequent inspection by banks and customs. Meanwhile，establish a transit trade business ledger，and archive each business separately to ensure full traceability throughout the entire process.

### Answer 2

For the customs record link in transit trade qualification processing, you shall focus on ensuring that the bill of lading and manifest information of transit goods fully match the record content, so as to avoid targeted customs inspection triggered by discrepancy between documents and goods. If the enterprise's business scope does not clearly include transit trade, you shall first complete the business scope alteration, add the category of "transit trade" or "international trade agency", otherwise the customs record will be directly rejected.

In addition, transit trade goods shall not enter warehouses outside the domestic bonded zone, and shall be transited through bonded supervision premises throughout the whole process. If goods enter domestic non-supervision areas, they will be recognized as general trade imports, requiring retroactive payment of customs duties and value-added tax, and even facing compliance penalties. It is recommended to submit the proposed transit route of transit goods to the local customs authority before record to confirm the supervision requirements, so as to avoid the qualification being unobtainable due to non-compliant routes.

### Answer 3

After the transit trade qualification is processed, you shall focus on controlling cargo ownership and transit nodes in the logistics link. When selecting a transit port, priority shall be given to ports with a mature transit trade supervision system, such as Singapore and Port Klang, Malaysia, and ports with strict supervision and complicated transit procedures shall be avoided.

During goods transit, you shall require the freight forwarder to provide a transit bill of lading under full bonded supervision, and prohibit the use of non-vessel operating common carrier (NVOCC) bills of lading issued by domestic freight forwarders, otherwise the bank will recognize the background as untrue and restrict payment and receipt. In addition, you shall confirm the free storage period and detention fee standard of the transit port in advance.

If goods are detained at the port due to delayed qualification processing, you shall immediately apply for extension of the free storage period to avoid high port detention costs. Meanwhile, you shall sign a cargo ownership control agreement with the transit freight forwarder to ensure that the goods are not disposed of without authorization during transit.

### Answer 4

After the transit trade qualification is processed, you shall focus on the compliant handling of value-added tax and income tax at the tax level. Transit trade is an intermediate link in cross-border trade, and goods do not enter the domestic customs territory, so there is no need to pay import value-added tax and customs duties.

However, during the annual enterprise income tax settlement and payment, the transit trade income shall be included in the taxable income, and enterprise income tax shall be paid according to regulations. Note that if the enterprise confuses transit trade income with general trade income, it will lead to abnormal tax declaration and trigger tax inquiry by letter.

In addition, if the enterprise adopts cross-border RMB settlement, it can enjoy the tax facilitation policy for cross-border RMB settlement, and there is no need to carry out tax record for foreign exchange purchase and sale, but all settlement vouchers and business documents shall be retained for tax inspection. It is recommended to establish a separate tax ledger for transit trade, and calculate the income and cost of each business separately to avoid tax risks.

### Answer 5

For the payment and receipt link in transit trade qualification processing, you shall strictly comply with the bank's due diligence requirements. The submitted upstream and downstream contracts shall be clearly marked with the words "transit trade", and the port of loading, port of transit and port of destination of the goods shall be clearly listed, so as to avoid the bank suspending the payment and receipt permission due to unclear background.

If the enterprise adopts SWIFT message settlement, the "TRANSIT TRADE" code shall be marked in the message, otherwise it will be intercepted by the SWIFT system, leading to delayed payment and receipt. In addition, the payment and receipt of transit trade shall be completed within 30 days after the completion of goods transit.

If there is delay due to special circumstances, you shall submit an extension application to the bank in advance and provide supporting materials for goods transit. It is recommended to apply to the opening bank for opening a special payment and receipt channel for transit trade when processing the qualification, so as to improve settlement efficiency and avoid confusion with general trade settlement.

### Answer 6

Before processing the transit trade qualification, you shall sort out the compliance of upstream and downstream contracts to ensure that key clauses such as the nature of transit trade, goods transit nodes and time of cargo ownership transfer are clearly marked in the contracts, so as to avoid cargo ownership disputes caused by vague contract clauses. If letter of credit settlement is involved, soft clauses such as "third-party inspection" shall be explicitly prohibited in the letter of credit to avoid the other party refusing to pay for goods on the grounds of quality problems.

In addition, you shall sign the Transit Trade Logistics Service Agreement with the transit freight forwarder to clarify the responsibilities and obligations of the freight forwarder. If goods are detained at the port or lost due to the operational errors of the freight forwarder, the freight forwarder shall bear all losses. It is recommended to entrust a professional institution to conduct compliance review of upstream and downstream contracts before processing the qualification, so as to avoid subsequent legal risks caused by contract loopholes.

### Answer 7

During the on-site inspection link of transit trade goods at the transit port, you shall ensure that the packaging and shipping marks of the goods are fully consistent with the record information, so as to avoid physical inspection by customs triggered by discrepancy between documents and goods. If the goods belong to sensitive categories, such as electronic products and building materials, you shall submit the Goods Classification and Identification Report to the customs of the transit port in advance to prove that the goods are not in the list of prohibited transit goods.

In addition, you shall ensure that the seals of the goods are disposable seals recognized by the customs. If the seal is damaged during transit, you shall immediately contact the transit freight forwarder to apply for re-sealing to the customs, otherwise the goods will be detained at the port. It is recommended to take photos of the shipping marks and packaging of the goods for evidence before shipment for use during inspection, and understand the inspection process of the transit port in advance to avoid inspection delay due to unfamiliarity with the process.

### Answer 8

The packaging of transit trade goods shall meet the supervision requirements of the transit port. If the goods are fragile or hazardous, UN certified dangerous goods packaging shall be used, and clear hazard warning labels shall be marked on the packaging. If the goods need to pass through transit ports with high temperature or high humidity, moisture-proof and high-temperature resistant packaging materials, such as vacuum packaging and moisture-proof film, shall be used to avoid damage to the goods during transit.

In addition, the shipping marks on the packaging shall be clearly marked with transit trade identification, such as "TRANSIT GOODS", to avoid being recognized as general trade import goods by the customs. It is recommended to conduct compliance review of the packaging of goods before processing the transit trade qualification to ensure that the packaging meets the supervision requirements of the transit port, so as to avoid goods detention at the port due to non-compliant packaging.

### Answer 9

Transit trade business is not within the scope of export tax rebate, so enterprises shall strictly distinguish transit trade income from export tax rebate income to avoid abnormal export tax rebate declaration caused by income confusion. If the enterprise carries out general trade export and transit trade business at the same time, it shall establish a separate document ledger for transit trade, and archive it separately from export tax rebate documents to avoid confusion during tax inquiry by letter.

In addition, the cost invoices of transit trade shall be formal cross-border payment vouchers. If the cost invoices are domestic invoices, they will be recognized as general trade costs and trigger tax inspection. It is recommended to adjust the enterprise's financial accounting system after processing the transit trade qualification, and clarify the income and cost accounting methods of transit trade to avoid affecting the normal processing of export tax rebate.

### Answer 10

After processing the transit trade qualification, you shall optimize the supply chain structure, select the optimal transit route and freight forwarder resources to reduce the logistics cost of transit trade. It is recommended to adopt the mode of "core transit port + regional distribution", for example, select Singapore as the core transit port to cover transit business in Southeast Asia, Europe and other regions, so as to improve transit efficiency. In addition, you shall establish an inventory linkage mechanism for transit trade.

If the inventory of transit goods exceeds 30 days, you shall immediately adjust the transit route to avoid high warehousing costs. Meanwhile, you shall accurately calculate the cost of transit trade, including logistics cost, bank handling fee, port transit sundry charges, etc., to ensure the profit margin of transit trade. It is recommended to regularly evaluate the supply chain structure, adjust the transit route and freight forwarder resources according to market changes, and improve the flexibility of the supply chain.

"text": "After processing the transit trade qualification, you shall optimize the supply chain structure, select the optimal transit route and freight forwarder resources to reduce the logistics cost of transit trade. It is recommended to regularly evaluate the supply chain structure, adjust the transit route and freight forwarder resources according to market changes, and improve the flexibility of the supply chain.",
