# What core compliance access conditions must domestic foreign trade enterprises meet to apply for re-export trade qualification?

## Question

I am from a foreign trade enterprise in Shanghai specializing in electromechanical equipment export. Last week, we just received a re-export trade order from a Middle East customer, which requires reselling machine tools purchased from Europe to Dubai. However, our company has never engaged in re-export trade before and has no relevant qualification at all. Now the customer is pressing hard, and I am extremely anxious. I heard from peers before that some people had their filing applications rejected by banks and customs due to incomplete document preparation, which not only delayed order delivery and led to payment of liquidated damages, but also left a stain on their compliance records. I want to know how to apply for re-export trade qualification quickly now? What core documents do I need to prepare? Are there any common compliance pitfalls to avoid? Will it affect the subsequent normal import and export business?

### Answer 1 — Best Answer

First of all，the compliance review of pre-documents shall be completed，which is the core prerequisite for qualification application. The required materials include: enterprise business license (the business scope shall include "goods import and export" or "re-export trade")，import and export transaction records of the latest 6 months，authentic background materials of the planned re-export trade (such as purchase contract，sales contract，draft bill of lading，etc.)，**it is necessary to ensure that the information of cargo ownership，amount and counterparty on all documents is fully consistent**，so as to avoid compliance loopholes of "mismatch between documents and goods".

Two-way connection shall be well done at core nodes: First，submit the re-export trade qualification filing application to the account-opening bank，and cooperate with the bank to complete the verification of "three streams integration" (capital stream，document stream，contract stream)，Second，complete the cross-border trade compliance filing with the local customs，and upload the trade background documents simultaneously. The two nodes shall be promoted simultaneously to avoid prolonging the overall approval cycle due to unilateral delay.

Exception handling plans shall be formulated in advance: If the bank puts forward requirements for document supplement during verification，supporting materials shall be submitted within 3 working days to avoid filing rejection，If the customs has doubts about the trade background，the description of the cargo logistics path and the qualification certificate of the counterparty shall be prepared in advance.

After the final compliance is implemented，all filing materials shall be kept for no less than 5 years，**update re-export trade business data to the bank every quarter** to ensure continuous compliance with regulatory requirements and avoid qualification suspension.

### Answer 2

For the customs filing link in the re-export trade qualification application, attention shall be focused on the compliance supporting details of "cargo ownership not entering the territory". The submitted ocean bill of lading or air waybill shall be clearly marked with the word "Transshipment", and the information of the shipper and consignee on the bill of lading shall be fully consistent with the counterparty information in the purchase contract and sales contract.

Bills of lading with third-party titles that cause "ambiguous cargo ownership" are strictly prohibited, otherwise they will be determined as "false re-export trade" by the customs, the filing application will be directly rejected, and even subsequent special customs inspection will be triggered, which will affect the customs clearance efficiency of other import and export businesses of the enterprise. If the enterprise applies for the first time and has no re-export trade operation records, it can additionally provide the qualification certificate of the international logistics enterprise to be cooperated with and the records of previous re-export transportation cases to prove the authenticity of the logistics path, further reduce the probability of filing rejection and shorten the review cycle.

### Answer 3

The re-export trade qualification application shall be matched with the compliance proof of the logistics path simultaneously, which is the key basis for the review of banks and customs. The transshipment port for re-export logistics shall be planned in advance, priority shall be given to ports with mature re-export trade supporting facilities (such as Singapore, Hong Kong, Dubai, etc.), and the logistics enterprise shall be required to provide a clear description of the transshipment operation process, including the specific time nodes of storage, document exchange and departure after the cargo arrives at the port, as well as the written proof of cargo ownership transfer.

It is necessary to avoid selecting transshipment ports that have not signed a mutual recognition agreement with the General Administration of Customs of China, otherwise the filing will be blocked because the logistics documents cannot be verified. In addition, the free storage period and container detention fee standard of the transshipment port shall be confirmed in advance to avoid extra costs caused by cargo detention in the port due to delayed qualification approval. The logistics enterprise can be required to reserve 1-2 days of flexible operation time to cope with approval exceptions.

### Answer 4

The re-export trade qualification application shall also pay attention to the pre-requirements of tax compliance to avoid subsequent tax risks. Enterprises shall ensure that the transaction pricing of re-export trade conforms to the arm's length principle, that is, the price difference between the purchase price and the sales price shall be within the reasonable range of the same industry. Abnormal pricing such as "high import and low export" or "low import and high export" is strictly prohibited, otherwise it will be determined as profit transfer by the tax authority and trigger anti-tax avoidance investigation.

If an enterprise carries out re-export trade for the first time, it shall submit the calculation basis of transaction pricing to the local tax authority in advance, including the transaction price data of similar products in the same industry, cost composition description, etc., and keep the tax filing materials for no less than 10 years. In addition, re-export trade business is exempt from value-added tax, but the income from re-export trade shall be truthfully declared in the value-added tax return to avoid abnormal tax records due to failure to declare.

### Answer 5

For the foreign exchange filing link in the re-export trade qualification application, it is necessary to focus on meeting the compliance requirement of "three streams integration", that is, the information of capital stream, document stream and contract stream is fully consistent. The enterprise shall provide the account-opening bank with the purchase contract, sales contract, draft bill of lading of the planned re-export trade, as well as the corresponding fund receipt and payment plan, to ensure that the payee of the purchase fund is the overseas supplier and the recipient of the sales fund is the overseas purchaser. The circulation of funds through third-party accounts is strictly prohibited.

If the enterprise has an offshore account, it shall truthfully disclose the income and expenditure of the offshore account to the bank to avoid rejection of foreign exchange filing due to opaque fund path. In addition, the bank's re-export trade fund receipt and payment limit shall be confirmed in advance to avoid the failure of normal business operation due to exceeding the limit. The limit can be adjusted by applying to the bank in advance according to the order scale.

### Answer 6

The re-export trade qualification application shall ensure the compliance of trade contracts, which is the core prerequisite to avoid subsequent legal risks. The purchase contract and sales contract shall be clearly marked with the word "re-export trade", and clearly stipulate the time and place of cargo ownership transfer, as well as the clauses for responsibility division of transshipment.

Clauses that cause "ambiguous cargo ownership" or "unclear responsibility" are strictly prohibited. Clauses that may be identified as "false transactions" shall be avoided in the contract, such as agreeing that the goods enter China before leaving the country, otherwise it will be determined as general import and export trade and cannot enjoy the compliance policy of re-export trade.

In addition, the fallback clause for exception handling shall be drawn up in advance, such as the division of liability for breach of contract when the order cannot be delivered due to delayed qualification approval, to avoid bearing full liquidated damages due to the enterprise's own reasons. It can be agreed that "both parties shall not be liable for breach of contract for delivery delay caused by delayed government compliance approval".

### Answer 7

Although on-site cargo inspection is not required for re-export trade qualification application, supporting materials proving that the cargo ownership has not entered the territory shall be prepared in advance to avoid trouble in subsequent customs inspection. The logistics enterprise shall be required to take photos of the cargo seal and storage photos at the transshipment port to ensure that the seal number is consistent with that marked on the bill of lading, and the cargo is not unsealed and has not entered any storage premises within the territory of China.

If the customs carries out subsequent inspection, these photos, logistics operation records and other supporting materials shall be submitted as soon as possible to prove that the cargo has not entered the territory. In addition, it shall be ensured that no logo related to enterprises within the territory of China is marked on the cargo packaging, so as to avoid being determined as "goods to be imported" by the customs and affecting the continuous validity of the re-export trade qualification.

### Answer 8

Although packaging is not directly reviewed in the re-export trade qualification application, it is necessary to ensure that the cargo packaging meets the compliance requirements of the transshipment port, which is the prerequisite to ensure the smooth logistics path and also the indirect proof for qualification review. If the cargo is special categories such as electromechanical equipment and dangerous goods, MSDS report and packaging performance inspection result sheet that meet the requirements of the transshipment port shall be prepared in advance to ensure that the moisture-proof and shock-resistant performance of the packaging meets the requirements of transshipment, so as to avoid trade disputes caused by cargo damage and affect the credibility of qualification approval.

Packaging materials that do not meet international standards shall be avoided, otherwise the cargo will be detained by the customs of the transshipment port, resulting in the invalidation of trade background documents, and further affecting the filing application of re-export trade qualification. In addition, the word "Transshipment" shall be clearly marked on the packaging to avoid being misjudged as general import and export goods.

### Answer 9

For re-export trade qualification application, the tax difference between re-export trade and general export trade shall be clearly distinguished to avoid abnormal tax refund caused by confusion. Re-export trade business is not within the scope of export tax refund. Enterprises shall set up separate accounts for re-export trade in financial accounting. It is strictly prohibited to mix the income and cost of re-export trade with the accounts of general export trade, otherwise it will be determined as false tax refund declaration by the tax authority and trigger tax refund audit.

If the enterprise has previous export tax refund records, it shall submit a separate accounting description of re-export trade business to the tax authority, clearly distinguish the capital stream and document stream of the two types of business, so as to avoid affecting the subsequent tax refund application for general export trade. In addition, all documents and materials of re-export trade shall be kept for no less than 10 years for subsequent audit and verification by the tax authority.

### Answer 10

The re-export trade qualification application shall be planned in combination with the overall supply chain structure of the enterprise to avoid cost increase caused by poor business connection after the qualification is approved. The supply chain cost of re-export trade, including storage fee, document exchange fee, logistics fee at the transshipment port, etc., shall be evaluated in advance, and the cost difference with general export trade shall be compared to ensure the reasonable profit margin of re-export trade.

The logistics path of re-export trade shall be integrated with the existing supply chain network of the enterprise, and transshipment ports that have cooperation with existing logistics service providers shall be preferred to reduce communication costs and operational risks. In addition, the inventory linkage strategy for re-export trade shall be formulated in advance to avoid capital occupation caused by cargo backlog at the transshipment port. The time nodes of procurement and sales can be adjusted according to order requirements to ensure the sound turnover of funds.

"text": "For re-export trade qualification application, the tax difference between re-export trade and general export trade shall be clearly distinguished to avoid abnormal tax refund caused by confusion. In addition, all documents and materials of re-export trade shall be kept for no less than 10 years for subsequent audit and verification by the tax authority.",

"text": "The re-export trade qualification application shall be planned in combination with the overall supply chain structure of the enterprise to avoid cost increase caused by poor business connection after the qualification is approved. The time nodes of procurement and sales can be adjusted according to order requirements to ensure the sound turnover of funds.",
