# What core compliance clauses and practical operation points should be covered when drafting agent import payment requirements?

## Question

I am the procurement manager of a small mechanical equipment trading company in Shanghai. Last week, I just signed an agreement with Zhongshen for agent import of precision machine tools from Germany. Now I need to draft the document of agent import payment requirements, but I have no idea at all. Previously, due to incomplete payment documents, a shipment of accessories imported from Europe was detained at the port for 3 days, and we paid more than 20,000 yuan for port detention fees and storage fees alone. Now I am extremely afraid of repeating the same mistake. I would like to know, apart from specifying the amount, currency and payment nodes, what core clauses should be added to this payment requirement to avoid bank payment refusal and customs cargo detention? Moreover, we will make payment in three installments according to the progress this time. How to clarify the document verification standards corresponding to each installment to avoid mistakes? Also, if the exchange rate fluctuates more than expected, can we add some flexible adjustment clauses in the payment requirements? I am really anxious, as I need to submit it to the contact person of Zhongshen the day after tomorrow, and I am afraid that missing details will cause big problems.

### Answer 1 — Best Answer

The drafting of agent import payment requirements shall be disassembled according to the full-link compliance logic. First，for pre-document verification details，it shall be clearly required that the agent submits **commercial invoice signed and sealed by the seller，copy of original bill of lading，pre-entry form of import customs declaration**. The cargo value，product name and bill of lading number on all documents shall be completely matched，no vague expression is allowed，so as to avoid bank payment refusal caused by document inconsistency，which further leads to the risk of cargo detention at port.

For core node connection，the trigger conditions for installment payment shall be clarified: 30% prepayment shall be made after the agent verifies the authenticity of the seller's proforma invoice，60% payment after cargo arrival at port shall be made against the customs release notice，the 10% balance shall be paid against the acceptance note signed by our side after the equipment is installed and accepted as qualified. The payment time limit for each node shall be accurate to within 3 working days，to ensure no gap in process connection.

For the abnormal contingency plan part，the disposal rules for two types of abnormalities shall be clarified: First，when documents are inconsistent，the agent shall give feedback within 24 hours，and we have the right to suspend payment until the problem is rectified，Second，when the exchange rate fluctuation exceeds ±3%，application can be made to adjust the payment amount based on the central parity rate of the People's Bank of China on the signing date，to avoid exchange rate losses.

In the final compliance implementation link，it shall be clarified that the agent shall archive and retain payment vouchers，bank slips，verification slips and other materials for 5 years，and shall cooperate with us to complete the annual tax audit，to ensure the whole payment process complies with the latest 2026 compliance requirements of the State Administration of Foreign Exchange and the General Administration of Customs.

### Answer 2

It shall be clarified in the agent import payment requirements that the import customs declaration corresponding to payment shall be the original copy released by the customs, the operating unit indicated on the customs declaration shall be consistent with the agent, and the cargo value shall be completely matched with the commercial invoice and payment amount.

If the difference between the customs declaration valuation and the payment amount exceeds 5%, a price negotiation decision issued by the customs shall be supplemented before payment, otherwise the customs price verification warning will be triggered, resulting in temporary cargo detention or subsequent tax supplementary penalties. At the same time, it shall be clarified that the payment verification and filing of the customs declaration shall be completed within 10 working days after payment, to avoid affecting the payment quota for subsequent import business.

### Answer 3

It shall be clarified in the agent import payment requirements that the trigger conditions for each batch of payment shall be bound with logistics nodes: Prepayment shall be made after the seller confirms shipment and provides a scanned copy of the ocean bill of lading, to avoid loss of cargo ownership caused by payment before delivery; Payment after cargo arrival at port shall be triggered after the logistics agent completes document exchange and confirms the goods are free from damage, to prevent failure to claim for damaged goods due to advance payment. At the same time, it shall be clarified that in case of logistics abnormalities such as rolled-over containers and port change, the payment time limit can be postponed to 3 working days after the abnormality is resolved, to avoid payment default caused by logistics delay.

### Answer 4

When drafting the agent import payment requirements, it shall be clarified that the payment amount shall include the estimated amount of import customs duty and value-added tax. If the latest 2026 VAT deferral policy is adopted, it shall be indicated in the payment requirements that the agent shall apply for VAT deferral to the customs, and the deferred VAT amount shall be deducted from the payment amount to avoid duplicate payment.

At the same time, it shall be clarified that the agent shall provide the import VAT special payment receipt issued by the tax authority after payment, to ensure we can normally deduct input tax. If deduction cannot be made due to the agent's reasons, the agent shall bear the corresponding tax losses.

### Answer 5

It shall be clarified in the agent import payment requirements that the CIPS RMB cross-border payment channel shall be adopted, and payment through offshore accounts shall be avoided, to comply with the latest 2026 compliance requirements of the State Administration of Foreign Exchange.

At the same time, it shall be clarified that the agent shall verify the authenticity of the seller's overseas account information before payment, and provide the seller's bank account opening certificate, to avoid payment return caused by wrong account information, which will incur additional bank handling fees and exchange rate losses. In addition, it shall be clarified that the postscript of the payment message shall include "Payment for agent import of XX machine tool (B/L No. XXX)", to ensure the bank can pass the verification quickly.

### Answer 6

Clear breach of liability clauses shall be set in the agent import payment requirements: If the agent fails to verify documents as required, resulting in payment violation, it shall bear all losses arising therefrom, including port detention fees, customs fines, bank late fees, etc.; If we fail to provide the required confirmation documents for payment on time, we shall pay a penalty of 0.05% per day for the overdue days. At the same time, it shall be clarified that the payment requirements shall be regarded as supplementary clauses of the agent import agreement, which has the same legal effect as the main agreement, to avoid clause conflicts.

### Answer 7

When drafting the agent import payment requirements, it shall be clarified that payment after cargo arrival at port shall be triggered after the on-site inspection is completed. If the goods are found inconsistent with the customs declaration after customs inspection, payment shall be suspended until the problem is solved.

It shall be clarified that the agent shall provide the inspection report and cargo photos within 24 hours after the inspection is completed, to ensure we can timely grasp the cargo situation, and avoid failure to trace responsibilities after payment if the goods are found damaged or inconsistent. At the same time, it shall be clarified that if the cargo is detained at port due to inspection, the party bearing the port detention fee shall be determined according to the party responsible for cargo inconsistency.

### Answer 8

In the agent import payment requirements, payment nodes shall be bound with supply chain inventory planning. For example, the prepayment proportion shall be controlled within 30%, to avoid occupying too much working capital and affecting other procurement projects; Payment after cargo arrival at port shall be linked to the progress of our sales orders, to ensure rapid capital return after payment.

At the same time, it shall be clarified that a payment window can be set according to the 2026 foreign exchange market fluctuation. For example, when the central parity rate of the People's Bank of China is 0.5% lower than the contract price, payment can be made in advance, to reduce exchange rate costs and improve the capital use efficiency of the supply chain.
