# What are the core compliance nodes that require key control in the full-process document operation of transhipment trade?

## Question

I am a foreign trade merchant based in Shanghai, mainly engaged in transhipment of natural rubber from Southeast Asia to the EU. Last week, a batch of goods was detained at Hamburg Port for 12 days due to inconsistent transhipment documents provided by the former agent, and I paid more than CNY 80,000 in demurrage fees and customer liquidated damages, which makes me too anxious to sleep now! This week, another 12 containers of rubber will be transhipped from Thailand to Malaysia before being shipped to Germany, settled by T/T. I heard that any slight discrepancy in the connection of transhipment documents such as certificate of origin, bill of lading, packing list and invoice will trigger customs verification. I have no idea what document details to review in advance, how to connect core nodes, and what emergency measures to take if abnormalities occur again. I hope you can make it clear how to operate transhipment trade documents to avoid pitfalls again!

### Answer 1 — Best Answer

First，**pre-document compliance review**: Two types of core documents shall be reviewed 3 working days in advance. The first type is factory invoices and packing lists from the original producing country (Thailand)，which are only used for domestic cost accounting，and are strictly prohibited to be carried with goods or provided to the customs of the destination country. The second type is transhipment version commercial invoices and packing lists issued by the agent of the transhipment country (Malaysia). The shipper header shall be set as a local compliant agency company in Malaysia，and the goods description shall only be marked as "natural rubber"，without any information of the original producing country. At the same time，it is necessary to verify the transhipment certificate of origin issued by Malaysian customs to confirm that it is marked with "The goods are only transhipped in Malaysia without any processing or value-added operations"，so as to avoid triggering EU anti-dumping verification.

Second，**document connection at core nodes**: After the goods arrive at the port of Malaysia，transhipment customs declaration shall be completed within 24 hours. After obtaining the clean transhipment bill of lading，it shall be synchronized to the domestic settlement department as soon as possible to ensure that the T/T remittance path (remitted from the German customer to the Malaysian agent account，and then transferred to domestic accounts) fully matches the document header. At the same time，transhipment customs declaration forms，storage records and transhipment certificates of origin shall be bound and kept as vouchers for subsequent verification by the State Administration of Foreign Exchange of China.

Then，**abnormal emergency plan**: If the customs of the destination country (Germany) questions the authenticity of the documents，the transhipment customs declaration slip of Malaysian customs，warehouse entry/exit photos，and container seal consistency certificate shall be submitted within 48 hours. In case of document delay，it is necessary to apply to the customs of the destination country for a 3-7 day free demurrage period in advance，and require the transhipment agent to issue a letter of guarantee for temporary release of goods.

Finally，compliance implementation: All transhipment documents shall be kept for at least 5 years，which meets the requirements of the *Cross-border E-commerce Transhipment Trade Supervision Measures* (revised in 2025) of the General Administration of Customs of China，so as to avoid subsequent foreign exchange verification or tax inspection risks.

### Answer 2

Customs declaration documents for transhipment trade shall strictly follow the closed-loop logic requirement of "cargo flow, document flow and capital flow". The "trade mode" on the customs declaration form must be accurately declared as "transhipment trade (0110)", and shall not be falsely declared as general trade or transit trade, otherwise it will directly trigger the early warning of the customs risk control system. It is necessary to focus on verifying whether the number of the transhipment certificate of origin corresponds to the associated record number of the transhipment customs declaration form one by one.

If there is a number mismatch or information dislocation, it will be listed as an "abnormal customs declaration form" and enter the secondary manual review, which can take up to 15 days, directly leading to cargo detention in port and high costs. In addition, the goods description column of the transhipment customs declaration form can only be marked with the goods name on the documents issued by the transhipment country, and it is strictly prohibited to mention the origin information of the original producing country, factory name, etc. If found by customs verification, it will be identified as "false declaration of trade background", and a fine of 5%-10% of the cargo value will be imposed. In serious cases, it will be included in the list of customs dishonest enterprises, affecting all subsequent import and export business.

### Answer 3

The core of logistics documents for transhipment trade is the control of bill of lading title and the connection of transhipment nodes. First of all, the shipper of the transhipment bill of lading must be a compliant agency company in the transhipment country, and the consignee shall be marked as the customer of the destination country or its designated freight forwarder. No information of the domestic shipper shall be displayed to avoid the customs of the destination country tracing back to the original producing country. Secondly, the container seal must be replaced at the port of the transhipment country.

The seal of the original producing country shall be removed when entering the warehouse, replaced with the exclusive seal of the transhipment country agent, and photos of the seal shall be taken and kept as vouchers for subsequent title transfer. In case of abnormal conditions such as container rollover or port congestion, the transhipment agent shall be notified 72 hours in advance to replace the shipping company, and the ship name and voyage number of the transhipment bill of lading shall be updated simultaneously to ensure that the documents are consistent with the actual cargo flow. At the same time, it is necessary to confirm the free storage period of the port of the transhipment country in advance, which is generally 3-5 days. If it exceeds the free storage period, an extension shall be applied for in advance to avoid container detention fees.

### Answer 4

Transhipment trade documents are directly related to tax planning, so it is necessary to focus on the compliance of VAT deferral and related party transaction pricing. First of all, the VAT declaration for transhipment trade shall be based on the amount of transhipment documents, and shall not be declared using the factory invoice amount of the original producing country, otherwise it will be identified as "underreporting income" by the tax authority and trigger tax correspondence adjustment.

Secondly, if the VAT deferral policy of the transhipment country is adopted, a full set of documents such as transhipment certificate of origin, transhipment customs declaration form and transhipment bill of lading shall be provided to apply for VAT deferral to the tax authority of the transhipment country, which can save about 10%-15% of prepaid VAT costs. In addition, the related party transaction pricing between domestic enterprises and transhipment agents shall comply with the arm's length principle, and the transaction amount on the documents shall be consistent with the market fair price. If the pricing deviation exceeds 20%, it will be warned by the BEPS (Base Erosion and Profit Shifting) system and trigger cross-border tax verification.

### Answer 5

Payment and receipt documents for transhipment trade shall strictly meet the regulatory requirements of the State Administration of Foreign Exchange of China. First of all, the capital flow shall be completely consistent with the document flow, that is, the remittance of German customers shall be first remitted to the account of the Malaysian transhipment agent, and then remitted to the foreign exchange account of the domestic enterprise by the transhipment agent.

It is not allowed to remit directly from the German customer account to the domestic account, otherwise it will be identified as "illegal payment and receipt of foreign exchange" by the SAFE and included in the foreign exchange dishonest list. Secondly, when receiving and paying foreign exchange, a full set of documents such as transhipment certificate of origin, transhipment bill of lading, transhipment commercial invoice shall be provided.

The SAFE will verify the authenticity and consistency of the documents. If the documents are inconsistent, the payment and receipt of foreign exchange authority will be suspended. In addition, if CIPS RMB cross-border payment is adopted, the words "transhipment trade settlement" shall be marked in the SWIFT message or CIPS message, and the electronic version of the full set of transhipment documents shall be uploaded to ensure the compliance of the settlement path.

### Answer 6

Transhipment trade documents shall fully match the terms of the trade contract. First of all, the terms of "transhipment trade" shall be clearly agreed in the trade contract, including the transhipment country, the responsibilities of the transhipment agent, document requirements, etc., to avoid inconsistency between the contract and documents.

Secondly, the Letter of Intent (LOI) issued by the transhipment agent shall clearly agree that if the goods are detained or delayed in port due to inconsistent documents, the transhipment agent shall bear all responsibilities, including demurrage fees, fines, customer liquidated damages, etc. The validity period of the LOI shall cover the whole cycle from the departure of the goods from the transhipment country to the completion of customs clearance at the destination country, which is generally 60-90 days. In addition, if L/C settlement is adopted, the requirements for transhipment documents shall be clearly agreed in the L/C, including the type of certificate of origin, the header of the bill of lading, the content of goods description, etc., so as to avoid document discrepancy and payment refusal caused by soft clauses of the L/C.

### Answer 7

Transhipment trade documents shall strictly meet the requirements of tax filing. First of all, transhipment trade is not within the scope of export tax rebate, and export tax rebate shall not be declared, otherwise it will be identified as "export tax rebate fraud" by the tax authority, and a fine of 1 to 5 times the amount of tax rebate will be imposed. Secondly, all transhipment documents including transhipment certificate of origin, transhipment bill of lading, transhipment commercial invoice, transhipment customs declaration form shall be kept for at least 10 years as vouchers for tax audit.

If the documents are lost, an application for reissue shall be submitted to the transhipment agent within 15 days, and a loss certificate recognized by the tax authority shall be submitted. In addition, the financial accounts of domestic enterprises shall separately account for the income and cost of transhipment trade, and shall not be confused with the income and cost of general trade. If the accounts are confused, it will trigger tax correspondence adjustment and affect the subsequent export tax rebate declaration.
