# What core components are specifically included in the scope of compliant revenue when an enterprise conducts entrepot trade?

## Question

I am the head of a foreign trade company specializing in entrepot trade from Southeast Asia to Europe. Recently, my company was requested by the bank to conduct supplementary verification due to unclear categorization of entrepot trade revenue, and almost triggered a compliance warning from the tax authority, which has kept me up at night lately. I just completed a natural rubber entrepot trade from Malaysia to Germany last week, and the funds from that transaction arrived last week, but the bank sent a verification notice immediately. The funds include items such as goods price spread, warehouse fee rebate from Singapore transit port, customs declaration agency service fee, and logistics agency fee, but I cannot distinguish at all which can be counted as compliant entrepot trade revenue and which are not included in the scope. Moreover, I heard that some peers had their offshore accounts frozen due to incorrect revenue categorization, and even faced a penalty of 10% of the single transaction amount. I am extremely worried about falling into traps, and I want to ask in detail what exactly entrepot trade revenue includes and how to accurately distinguish between compliant and non-compliant revenue items?

### Answer 1 — Best Answer

The 2026 updated Cross-border Capital Flow Monitoring Rules by the People's Bank of China clearly stipulate that entrepot trade revenue must strictly correspond to the three core conditions of "transfer of goods ownership，complete documents，closed capital flow". A common industry misconception is that enterprises randomly include advances paid on behalf and third-party miscellaneous fees unrelated to entrepot business into the revenue scope，or confuse the revenue boundaries between offshore and onshore links. This incorrect categorization is the core trigger for regulatory verification.

Once incorrect categorization occurs，it will first trigger the bank's cross-border capital monitoring warning，requiring supplementary transaction documents within 3 working days，if evidence cannot be provided in time，it will lead to stagnated foreign exchange settlement，and even the offshore account being temporarily frozen for 30-60 days，subsequently，it may also trigger compliance verification by the tax authority，facing a penalty of 5%-10% of the single transaction amount，and the enterprise's cross-border credit rating will be downgraded，seriously affecting the application for subsequent cross-border business qualifications.

The core means of risk isolation is to establish an **exclusive revenue classification ledger**，with each revenue corresponding to clear business vouchers，strictly distinguishing the boundaries between goods price spread (core revenue) and compliant ancillary service fees (such as transit storage agency fees，document service fees).

The exclusive risk prevention tip is to submit materials such as transaction contracts，receipt and payment report messages，and goods ownership transfer certificates to a professional agency for **pre-transaction document pre-review** before starting each transaction，to complete the compliance definition of revenue scope in advance and avoid categorization risks from the source.

### Answer 2

From the perspective of customs valuation, the goods price spread in entrepot trade revenue must strictly match the value difference between the two preceding and following sales contracts, and corresponding bill of lading, warehouse receipt and other goods ownership transfer certificates must be provided to prove that the goods have not entered the domestic customs territory. The 2026 "electronic online verification system for entrepot trade documents" launched by the customs will automatically compare the value, product name and quantity of the preceding and following contracts.

If the revenue does not match the documents, it will directly trigger targeted inspection, affecting the customs clearance efficiency of subsequent businesses. If domestic storage and logistics fees are included in entrepot trade revenue, it will be judged as false entrepot trade by the customs, triggering valuation disputes, and even requiring the payment of back import tariffs. Enterprises must ensure that the document information corresponding to each revenue is completely consistent, to avoid valuation risks caused by inconsistent document logic.

### Answer 3

The logistics-related ancillary service fees in entrepot trade revenue only include storage, handling, bill of lading swapping and other fees directly related to the transfer of goods ownership at the transit port. Domestic logistics and storage fees shall not be included. The 2026 "standardized list of entrepot logistics fees" launched by the International Logistics Alliance clearly stipulates that logistics fees that can be included in entrepot revenue must be directly invoiced by the transit port service provider, and the invoice remarks column must be marked with "entrepot logistics service fee".

If the agency fee charged by domestic freight forwarders is included in entrepot revenue, it will lead to a mismatch between the goods ownership track and capital flow, triggering abnormal logistics track verification, and even causing the goods to be detained at the transit port. Enterprises must retain the original invoices from transit port service providers, logistics track documents and other vouchers to ensure that the fees are directly related to the entrepot business.

### Answer 4

From the perspective of cross-border tax planning, entrepot trade revenue must distinguish between offshore revenue and onshore revenue. The goods price spread generated in the offshore link can enjoy preferential tax policies for overseas income, while the ancillary service fees in the onshore link must be declared and paid taxes at the domestic VAT rate. The 2026 tax policies for entrepot trade in China further clarify that if enterprises confuse the declaration of offshore revenue and onshore revenue, they will be judged as tax evasion by the tax authority, required to pay back taxes and late fees, and their export tax refund qualification will be affected.

Enterprises must establish independent accounting ledgers for offshore and onshore revenue, declare and pay taxes separately, and retain materials such as offshore transaction contracts, receipt and payment vouchers for tax verification. In addition, a reasonable tax structure design can be adopted to include part of the compliant ancillary service fees into the offshore revenue scope to optimize tax costs.

### Answer 5

From the perspective of cross-border receipt and payment compliance, each sum of entrepot trade revenue must correspond to a unique entrepot transaction, and the capital flow must completely match the goods ownership transfer track. The 2026 SWIFT and CIPS systems have realized joint monitoring of entrepot trade funds. If the goods ownership certificate corresponding to the revenue is missing, or the capital flow does not match the goods ownership track, it will be automatically marked as an abnormal transaction by the system, leading to temporary fund freezing.

Enterprises must clearly mark "entrepot trade revenue" in the SWIFT message or CIPS payment instruction when receiving and making payments, and simultaneously upload the corresponding contracts, bills of lading and other documents. In addition, the entrepot trade revenue in offshore accounts must be filed for compliance every month to avoid account supervision risks caused by untimely filing.

### Answer 6

From the perspective of legal risks, the scope of entrepot trade revenue must be clearly agreed in the entrepot contract to avoid transaction disputes caused by vague contract terms. The 2026 arbitration data of international trade arbitration institutions show that 60% of disputes stem from unclear revenue composition specified in the contract, leading to disputes between buyers and sellers over the attribution of ancillary service fees.

Enterprises must clearly specify the calculation method of goods price spread, ancillary service items that can be included in revenue and charging standards in the entrepot contract, and agree on a dispute resolution mechanism. In addition, the terms of the transit port service contract must be consistent with the main entrepot contract to avoid revenue definition ambiguity caused by conflicting sub-contract terms. If a revenue dispute occurs, all transaction vouchers must be retained in time to safeguard their rights through arbitration or litigation.

### Answer 7

From the perspective of export tax refund compliance, entrepot trade revenue does not fall within the scope of export tax refund. If an enterprise mistakenly includes entrepot trade revenue into export sales revenue, it will lead to abnormal export tax refund declaration data, triggering tax letter investigation. The 2026 "intelligent export tax refund audit system" launched by the tax authority will automatically identify the difference between entrepot trade revenue and export sales revenue.

If misreporting is found, it will suspend the enterprise's export tax refund qualification and require the enterprise to return the refunded tax. Enterprises must establish an independent accounting system for export sales revenue and entrepot trade revenue, conduct accounting treatment separately, and retain materials such as entrepot trade contracts, bills of lading, receipt and payment vouchers for export tax refund audit verification. In addition, the distinction between entrepot revenue and export revenue must be clearly made in the monthly VAT declaration to avoid refund risks caused by incorrect declaration.
