# What are the core differences between entrepot trade and transit trade? How to accurately distinguish them in compliance practices?

## Question

I am a sales representative of a small-sized foreign trade company. I just took over an order of mechanical and electrical products shipped from Southeast Asia to the European Union last week. The freight forwarder said that entrepot trade can avoid anti-dumping duties for a while, and then mentioned that transit trade can save costs, which made me more and more confused. A former colleague made a customs declaration error because he confused the two, resulting in 5 days of port detention of the goods, compensated 20,000 yuan in liquidated damages to the customer and was notified by the customs. Now I am so nervous that I dare not reply to the freight forwarder's message after staring at it for a long time. This batch of goods is subject to 15% anti-dumping duty from the EU. If I choose the wrong trade mode, I will not only have to pay over 100,000 yuan in extra taxes and duties, but also face the risk of goods being detained and confiscated by the customs. I would like to ask from what core angles should I distinguish entrepot trade and transit trade, especially in practical links such as customs declaration, goods title, and taxes, and are there clear judgment criteria?

### Answer 1 — Best Answer

Many foreign trade practitioners have a common misconception: they think that as long as the goods do not go through on-site clearance in the transit country，it is transit trade，but in fact，entrepot trade may also not involve on-site clearance. The core difference lies in the ownership of goods title and goods disposal rights.

If you mistakenly declare entrepot trade as transit trade，it will trigger a chain of negative reactions: the customs will认定 it as false declaration，directly detain the goods，resulting in high port demurrage and container detention charges. If anti-dumping goods are involved，the full amount of anti-dumping duty will be recovered. At the same time，the enterprise's customs credit rating will be downgraded to Class B or below，and it will be listed as a key supervision object in subsequent customs clearance audits，even affecting the normal clearance efficiency of other orders.

Physical risk isolation measures: Entrepot trade goods need to be stored in the customs bonded warehouse of the transit country，some goods can undergo simple processing such as repackaging and labeling，and the goods title will be temporarily transferred to the entrepot agent，while transit trade goods directly pass through the special customs transit lane，do not enter ordinary bonded warehouses throughout the whole process，only go through verification at border ports，and the goods title always belongs to the original consignor.

**Exclusive Loss Mitigation Tips**: Before customs declaration，be sure to ask the freight forwarder for the Supervised Warehousing Agreement or Transit Permit of the transit country，and submit it to the customs in advance for pre-audit of the trade mode，if you find a declaration error，you need to apply for amendment of the declaration form within 24 hours before the goods arrive at the port to avoid the risk of customs detention.

### Answer 2

From the perspective of customs declaration practice, the filling differences of customs declaration forms between entrepot trade and transit trade are obvious: For entrepot trade, you need to fill in "entrepot trade (0110)" in the "trade mode" column, and submit documents such as the warehousing agreement of the transit country and entrepot contract at the same time. The customs will check the profit margin of the entrepot agent during valuation; while for transit trade, you need to fill in "transit goods (0200)", submit the Transit Goods Declaration Form, transit transport contract and other documents, and the customs only checks the original value of the goods during valuation, without involving transit profits.

In addition, if entrepot trade goods involve supervision certificates, the entrepot agent needs to handle them in the transit country, while transit trade only needs to provide a copy of the supervision certificate of the original consignor, and there is no need to handle it repeatedly in the transit country. Confusing the two during customs declaration will trigger customs valuation objections, lead to port detention of goods, and require a large number of supporting documents to be submitted for release.

### Answer 3

From the perspective of logistics route and goods title control, entrepot trade goods will enter the customs bonded warehouse of the transit country, some goods will also undergo simple processing operations such as repackaging and labeling, and the goods title will be temporarily transferred to the agency company in the transit country, and then transferred back to the importer after the goods are shipped to the final destination; while transit trade goods directly pass through the special transit lane for international combined transport, do not enter the ordinary bonded warehouse of the transit country throughout the whole process, only go through transit verification at border ports, and the goods title always belongs to the original consignor.

The logistics route is a linear "shipping country - border port - destination country", while entrepot trade follows a broken-line route of "shipping country - transit country warehouse - destination country". In addition, the bill of lading for entrepot trade will have the endorsement of the entrepot agent, while the bill of lading for transit trade is always in the name of the original consignor.

### Answer 4

From the perspective of tax rules, entrepot trade usually involves warehousing fees and handling fees in the transit country, but there is no need to pay import duties and value-added tax, and some transit countries also provide tax reduction and exemption policies for entrepot trade; while transit trade does not need to pay any taxes in the transit country, and only needs to pay the verification fee of the transit port. If anti-dumping goods are involved, entrepot trade can avoid anti-dumping duties through the certificate of origin of the transit country, while the origin of transit trade goods still belongs to the original shipping country, so anti-dumping duties cannot be avoided.

In addition, the profit of entrepot trade needs to be declared and taxed in the transit country or the country where the enterprise is registered, while the profit of transit trade only needs to be declared in the original shipping country, and there is no need to pay tax in the transit country. If you mistakenly declare entrepot trade as transit trade, it will lead to non-compliant tax payment, and you will be pursued for tax payment and fined by the tax authority of the transit country.

### Answer 5

From the perspective of foreign exchange receipt and payment compliance, the settlement of entrepot trade usually involves three parties: the original consignor, the entrepot agent, and the final importer. The payment is paid by the final importer to the entrepot agent, and then paid by the entrepot agent to the original consignor.

The foreign exchange receipt and payment vouchers need to include the entrepot contract, transit warehousing agreement, etc.; while the settlement of transit trade only involves two parties: the original consignor and the final importer, the payment is directly paid by the importer to the consignor, and the foreign exchange receipt and payment vouchers only need to provide the original trade contract, transit bill of lading, etc. In addition, the foreign exchange verification of entrepot trade requires the provision of receipt and payment vouchers from the transit country, while transit trade only needs to provide the verification voucher for transit transport. Confusing the foreign exchange receipt and payment methods of the two will trigger a compliance alert from the foreign exchange regulatory authority, leading to account freezing and affecting subsequent foreign exchange receipt and payment operations.

### Answer 6

From the perspective of legal contracts, entrepot trade involves three contracts: the purchase contract between the original consignor and the entrepot agent, and the sales contract between the entrepot agent and the final importer. The goods title is officially transferred during the transit link, and the entrepot agent bears the risk of the goods during the transit period; while transit trade only involves one contract: the sales contract between the original consignor and the final importer, the goods title is never transferred, and the risk of the goods during the transit period is borne by the consignor or the importer (according to the agreement of trade terms).

In addition, the contract for entrepot trade needs to clarify the responsibilities and obligations of the entrepot agent, including warehousing, repackaging, etc., while the contract for transit trade only needs to clarify the responsibility division of transit transport, such as who bears the port demurrage during the transit period. If the contract terms do not match the trade mode, it will lead to contract disputes and even face claim risks.

### Answer 7

From the perspective of customs on-site inspection, after entrepot trade goods arrive at the port, they will enter the customs bonded warehouse of the transit country, and the customs will conduct sampling inspection on the goods to check whether the goods are consistent with the entrepot contract and whether there are traces of repackaging or processing; while transit trade goods directly dock at the special transit berth, and the customs only verifies the seal, bill of lading and transit permit of the goods, and will not open the box to inspect the contents of the goods.

In addition, the manifest of entrepot trade goods will be marked with "entrepot warehousing", while the manifest of transit trade is marked with "transit transport". If a trade mode declaration error is found during on-site inspection, the customs will directly detain the goods, require the enterprise to resubmit documents for review, resulting in additional inspection fees and port demurrage charges.

### Answer 8

From the perspective of supply chain planning, entrepot trade belongs to the roundabout supply chain, which requires the layout of warehousing and logistics resources in the transit country. It is suitable for dealing with trade barriers, anti-dumping duties and other situations, with relatively high cost, but can effectively avoid trade risks; while transit trade belongs to the linear supply chain, which does not need to layout transit resources, with low cost, but is only suitable for goods transportation between countries without trade barriers.

In addition, the supply chain of entrepot trade has strong resilience, and the transit country can be adjusted according to market demand, while the supply chain of transit trade has weak resilience. If the port of the transit country is congested or the policy changes, it will directly affect the transportation efficiency of goods. When planning the supply chain, you need to choose the appropriate trade mode according to whether the goods involve trade barriers, transportation time limit requirements, etc. Confusing the two will lead to out-of-control supply chain costs or increased risks.
