# What is the core business logic of transshipment trade? Can it be explained with real cross-border transaction cases?

## Question

I am the person in charge of a foreign trade enterprise focusing on home appliance export in Ningbo. Last month, a batch of 1,000 wall-mounted air conditioners shipped to the United States was imposed an extra 25% tariff due to Sino-US trade tariff barriers, which swallowed most of the $300,000 profit. Recently I heard from peers that transshipment trade can avoid such barriers, but I have never been exposed to this business before. Explanations online are either too general or full of professional terms that I can hardly understand. I am so anxious that I can not sleep well at night recently. I just want to figure out what transshipment trade is exactly. Can you explain it to me from practical operation perspectives I care about, such as title transfer, document circulation, fund collection and payment, combined with home appliance export cases similar to mine, and also tell me if there will be compliance risks?

### Answer 1 — Best Answer

Take the wall-mounted air conditioners your company exports to the United States as an example，a typical transshipment trade scenario is as follows: As a domestic home appliance supplier (Party A)，you sell 1,000 units of air conditioners with a total value of $1.2 million to a Hong Kong transshipment trader (Party B)，who then resells the goods to a US purchaser (Party C). The goods are directly shipped from Ningbo Port to Los Angeles Port of the United States，no need to be stored in Hong Kong.

In the pre-document review session，you need to focus on verifying **the local Hong Kong business registration certificate and transshipment trade qualification certificate of Party B**. Meanwhile，you should ask Party C to issue a confirmation letter for bill of lading amendment in advance，which clarifies that the bill of lading does not need to mark the origin as China，to avoid triggering extra tariff barriers of the United States. Besides，you need to make sure that Party A's export declaration form is marked with "transit transport"，"country of destination" is filled as Hong Kong，and "final country of destination" is filled as the United States，which conforms to the customs declaration logic.

When connecting core nodes，title transfer is realized through **endorsement and transfer of marine bill of lading**: Party A endorses the bill of lading to Party B，and Party B endorses it to Party C，so that the title of goods throughout the whole process is clear and traceable. The capital flow is matched synchronously: Party C remits the payment for goods to Party B's Hong Kong offshore account first，and after deducting 1.5% transshipment agency fee，Party B remits the remaining funds to your company's domestic corporate account.

In terms of abnormal response plans，if the US Customs questions the origin of the goods，you need to immediately submit the virtual transit warehousing filing agreement of Party B in Hong Kong and the transshipment certificate issued by Hong Kong Customs，to finally complete the compliant clearance. This can directly avoid the 25% extra tariff (about $300,000).

### Answer 2

The core of transshipment trade customs declaration lies in the compliant declaration of "transit attribute". Taking the transshipment case of Ningbo home appliances exported to the United States as an example, when handling domestic export declaration, you need to fill "transit transport" in the "transport mode" column, fill "Hong Kong" (the country/region where the transshipment trader is located) in the "country of destination" column, and fill "the United States" in the "final country of destination" column. At the same time, you need to submit supporting materials such as transshipment trade contract and copy of bill of lading to the customs.

If you mistakenly fill "the United States" directly as the "final country of destination", it will be judged as direct export, triggering US tariff barriers, and even facing customs price review disputes. In addition, for the import declaration of transshipment trade (if the goods actually enter the transit country), you need to fill the supervision method as "transshipment goods", to avoid import tariffs of the transit country. If the goods do not actually enter the transit country, you need to file the virtual transit process with the customs of the transit country in advance, to ensure a closed loop of declaration logic.

### Answer 3

The core of transshipment trade logistics lies in title control and path optimization. Taking the home appliance transshipment case as an example, choosing the "direct transshipment" logistics path (direct shipment from Ningbo Port to Los Angeles Port of the United States) can save transit warehousing costs, but you need to confirm the "bill of lading can be endorsed and transferred" clause with the shipping company in advance, to avoid title locking. At the same time, you need to fill the information of the transshipment trader in the "notify party" column of the marine bill of lading, instead of the US purchaser, to ensure that the title of goods is controlled by the transshipment trader.

If containers are rolled over at US ports, you need to sign an emergency transshipment agreement with the logistics agent of the transit country in advance, to temporarily transship the goods to Hong Kong for storage, and then ship them to the United States after the shipping schedule is stable, to avoid port detention fees. Besides, you need to track the GPS positioning and logistics node information of the goods throughout the whole process, to ensure that title transfer is synchronized with logistics nodes, and prevent the goods from being picked up without a bill of lading.

### Answer 4

The core of transshipment trade taxation lies in tax base confirmation and risk isolation. Taking the home appliance transshipment case as an example, the income of the domestic supplier (Party A) is the payment for goods paid by the transshipment trader (Party B), which shall be declared as taxable sales according to the domestic value-added tax rate.

However, since the goods have not actually left the Chinese customs territory (directly shipped to the United States), you need to submit materials such as transshipment trade contract and copy of bill of lading to the tax authority, to clarify that transshipment trade is not within the scope of export tax rebate, and export tax rebate shall not be applied for. The income of the transshipment trader (Party B) is the payment paid by the US purchaser (Party C) minus the payment paid to Party A, which shall be declared according to the local Hong Kong profits tax rate.

If the transshipment profit originates outside Hong Kong, you can apply for profits tax exemption. In addition, direct capital transactions between Party A and Party C shall be avoided, otherwise it will be judged as direct trade, triggering US tariffs and domestic tax risks.

### Answer 5

The core of payment and receipt in transshipment trade lies in the matching of capital flow and title flow. Taking the home appliance transshipment case as an example, the US purchaser (Party C) shall remit the payment for goods directly to the Hong Kong offshore account of the transshipment trader (Party B). After deducting the agency fee, the transshipment trader remits the remaining funds to the domestic corporate account of the domestic supplier (Party A).

It is prohibited for Party C to remit funds directly to Party A. At the same time, you need to fill "transshipment trade payment" in the "transaction postscript" column of the SWIFT message, and upload supporting materials such as transshipment trade contract and copy of bill of lading, to avoid being judged as abnormal payment and receipt by the bank.

If the offshore account of the transshipment trader is frozen, you need to open an NRA account (Non-Resident Account) in China in advance as a backup payment and receipt account, to ensure smooth capital circulation. Besides, you need to check the payment and receipt flow and title transfer records monthly, to ensure the consistency of the four streams (contract, bill of lading, capital, invoice).

### Answer 6

The legal core of transshipment trade lies in risk guarantee of contract clauses. Taking the home appliance transshipment case as an example, the contract between the domestic supplier (Party A) and the transshipment trader (Party B) shall clearly stipulate that "the title of goods is transferred after the bill of lading is endorsed", and add a guarantee clause that "losses caused by the US Customs questioning the origin of goods shall be borne by Party B".

The contract between the transshipment trader (Party B) and the US purchaser (Party C) shall clearly stipulate the clause of "accepting transshipment bill of lading", to avoid Party C refusing to take delivery of the goods because the bill of lading shows the transit country. In addition, force majeure clauses shall be clearly specified in the contract.

If political turmoil or customs policy changes occur in the transit country, delivery can be delayed or the contract can be terminated, without bearing liability for breach of contract. At the same time, due diligence shall be conducted on the qualification of transshipment traders, to check their past compliance records of transshipment trade, and avoid cooperating with unqualified transshipment traders.

### Answer 7

The core of on-site inspection for transshipment trade lies in the compliance of certificate of origin. Taking the home appliance transshipment case as an example, if the goods are inspected by the customs during domestic export declaration, you need to provide supporting materials such as transshipment trade contract and copy of bill of lading, to prove the transit attribute of the goods, and avoid being judged as direct export.

If the goods are inspected at the US port, you need to provide materials such as the transshipment certificate issued by the transshipment trader and the filing record of Hong Kong Customs, to prove that the origin of the goods is the transit country (Hong Kong) rather than China, and avoid triggering extra tariffs. Besides, you need to ensure that the outer packaging of the goods does not show the "Made in China" logo.

You can replace it with neutral packaging of the transit country before shipment, or cover the outer packaging with the origin mark of the transit country. If the customs requires sample testing, you need to cooperate with testing institutions of the transit country in advance, to issue a qualified origin testing report.

### Answer 8

The core of export tax rebate for transshipment trade lies in distinguishing the boundary between direct export and transshipment trade. Taking the home appliance transshipment case as an example, the domestic supplier (Party A) shall be clear that transshipment trade is not within the scope of export tax rebate, and shall not apply for export tax rebate, otherwise it will be judged as export tax rebate fraud by the tax authority. You need to fill in "transshipment trade sales" in the value-added tax declaration form, and submit materials such as transshipment trade contract, copy of bill of lading, and payment and receipt vouchers to the tax authority, to ensure a closed loop of tax declaration logic.

If the tax authority initiates a verification letter, you need to provide materials such as the qualification certificate of the transshipment trader and the filing record of the transit country customs in time, to prove the authenticity of the transshipment trade. Besides, the documents of transshipment trade shall be filed separately, and the retention period shall be no less than 10 years, to avoid tax risks caused by missing documents.

Besides, the documents of transshipment trade shall be filed separately, and the retention period shall be no less than 10 years, to avoid tax risks caused by missing documents.",
