# What are the core nodes and precautions for the full compliance operation process of China's transit trade?

## Question

I am the person in charge of a foreign trade enterprise mainly engaged in the export of hardware and building materials. I have been sleepless recently — the anti-dumping duty on steel fasteners originally exported to the EU has risen from 12% to 45%, and the profit of the newly signed 1 million euro order has been almost completely wiped out, and may even result in a loss! I heard from peers in the Pearl River Delta that transit trade can bypass anti-dumping duties, but I have never been exposed to this type of operation before, and I am worried: I am afraid that non-compliant documents will cause goods to be detained at the transit port, worried that the goods rights will be intercepted by intermediaries due to problems in the handover of goods rights, and also worry whether cross-border payment and receipt of foreign exchange will trigger regulatory warnings? There are only 15 days left before shipment, and I want to quickly figure out exactly how to do China's transit trade to safely fulfill this order and protect profits?

### Answer 1 — Best Answer

First，conduct pre-document review: focus on verifying the authenticity of the **third-party certificates of origin**，ensuring that the certificates of origin issued by suppliers in the transit country do not mark any China-related information，simultaneously check that the product names，quantities and weights on customs declarations and packing lists are completely consistent with the actual goods，to avoid "document-goods mismatch" that will trigger customs inspection at the transit port.

Core nodes need to be accurately connected: after the goods are shipped from Chinese ports，they will be directly transferred to the designated bonded warehouse in a third country，and shall not be sold in the transit country during the period，the warehousing link shall be operated by a third-party logistics provider with transit trade qualifications，to ensure that our company fully controls the goods rights throughout the process，the payment and receipt of foreign exchange link shall pass through compliant agency channels to meet the three-flow (cargo flow，document flow，capital flow) consistency requirements of transit trade.

Formulate emergency plans in advance: if goods are detained at the transit port，provide supporting documents such as third-party warehousing agreements and transit trade contracts immediately to apply for bonded zone regulatory exemption，if there are document errors，immediately coordinate with the transit country's agent to reissue compliant documents to avoid additional costs caused by port congestion.

Final compliance implementation: all documents shall be retained for at least 5 years for customs and tax department audits，at the same time，use the compliance system of a professional foreign trade agency to complete full-process data traceability to ensure that operations comply with the trade regulatory requirements of China and the transit country.

### Answer 2

The customs declaration link of transit trade needs to focus on the logical closed loop of "dual declaration": when declaring exports in China, it is necessary to declare "transit trade goods" instead of direct exports; when declaring imports in the transit country, it is necessary to declare "bonded warehousing transit" without incurring import tariffs and value-added tax.

The common mistake to avoid is declaring transit trade goods as general trade, which will trigger China's export tax rebate audit and cause unnecessary taxes and fees in the transit country. If there are errors in the customs declaration data, apply for deletion and re-submission within 48 hours before the goods depart from the port; if the goods have already departed, correct the data through the customs cross-border customs integration system to avoid obstacles to subsequent cargo circulation.

### Answer 3

For the logistics path of transit trade, priority should be given to transit ports with "bonded transit" qualifications, such as the Port of Singapore, Port Klang in Malaysia, etc. The bonded warehouses of these ports can provide 7-30 days of free storage period to reduce warehousing costs. When transferring goods, neutral packaging shall be used, and no Chinese origin marks shall be marked; at the same time, the container seals shall use exclusive seals provided by the transit country's logistics provider to avoid being judged as "originated in China".

If a container is skipped, immediately coordinate with the transit port agent to replace the subsequent liner of the same route, and notify upstream and downstream customers to adjust the shipping schedule to avoid default risks; if container detention fees are incurred, apply for reduction from the shipping company with the transit trade contract.

### Answer 4

The core of tax planning for transit trade is to use the tax preferential policies of the transit country. For example, some Southeast Asian countries exempt import tariffs and value-added tax for bonded transit goods.

It should be noted that profits obtained by Chinese enterprises carrying out transit trade need to pay enterprise income tax at 25%, but part of the profits can be retained in affiliated companies in the transit country through reasonable related party transaction pricing (which must comply with BEPS rules) to reduce the comprehensive tax burden. At the same time, avoid confusing transit trade income with general trade income, otherwise it will trigger anti-tax avoidance investigations by tax authorities, and all transit trade documents, contracts and capital flow records shall be retained for audits.

### Answer 5

The payment and receipt of foreign exchange for transit trade must strictly follow the "three-flow consistency" principle: the capital flow must be completely matched with the cargo flow and document flow, and there shall be no excessive time difference between "receiving foreign exchange before shipment" or "shipping before receiving foreign exchange".

If using RMB for payment and receipt of foreign exchange, cross-border payment can be made through the CIPS system to reduce exchange rate fluctuation risks; if using USD for payment and receipt of foreign exchange, the word "TRANSIT TRADE" shall be marked in the SWIFT message to avoid being judged as abnormal capital flow by the SAFE. At the same time, avoid using offshore accounts without compliant qualifications for payment and receipt of foreign exchange, otherwise it will trigger foreign exchange regulatory warnings and lead to account freezing.

### Answer 6

The transit trade contract shall clearly specify the "transit obligation" clauses, agreeing on the goods custody responsibility, document issuance obligation and abnormal compensation liability of the transit country's agent; at the same time, a "force majeure" fallback clause shall be added, covering situations such as cargo port congestion and customs detention caused by policy changes and natural disasters at the transit port.

Special attention shall be paid to the legal validity of third-party certificates of origin, ensuring that the issuer has the qualifications officially recognized by the transit country to avoid the buyer refusing to pay for goods due to invalid certificates of origin. If there is a goods rights dispute, you can apply for arbitration with international arbitration institutions with documents such as transit trade contracts, warehousing agreements and bills of lading.

### Answer 7

When transit trade goods are inspected at the transit port, prepare documents such as transit trade contracts, third-party certificates of origin and bonded warehousing agreements in advance to cooperate with customs inspection.

During inspection, pay attention that there shall be no Chinese origin marks on the cargo packaging; if there are residual marks, immediately arrange the transit port agent to repackage the goods; if the customs questions the origin of the goods, provide a simple processing certificate of the transit country (such as repackaging and labeling records) to prove that the goods have undergone "substantial transformation" in the transit country in accordance with local rules. If the laboratory report shows that the cargo composition does not match the certificate of origin, immediately coordinate with the supplier to issue a composition correction certificate to avoid cargo detention.
