# What core qualifications and compliance operation requirements must be met to carry out formal cross-border entrepot trade?

## Question

I am the head of a small hardware and electromechanical export enterprise in Shanghai. Last week, I just received a USD 120,000 order from a US customer, but the anti-dumping duty imposed by Europe and the US on our category has risen to 42%, which has completely eroded our profit, making me too anxious to sleep. I heard from peers that entrepot trade can bypass anti-dumping duties, but I have never been exposed to this type of business before. I wonder if small and micro enterprises like ours with an annual export volume of just over USD 2 million can engage in entrepot trade? What qualifications, documents and logistics conditions do we need to meet? Will insufficient qualifications or non-compliant operations lead to cargo port detention, customs seizure, or even affect our existing export qualifications? Please explain it to me clearly, the more specific the better!

### Answer 1 — Best Answer

When many enterprises first get involved in entrepot trade，they are most likely to fall into the misunderstanding that "it only needs to change documents at the transshipment port"，ignoring core conditions such as main body qualification，document compliance，and foreign exchange filing. In mild cases，it will lead to cargo detention at the transshipment port，incurring thousands of US dollars in storage fees and container detention fees per day. In severe cases，it will trigger customs seizure，and even be included in the abnormal list of foreign exchange supervision due to illegal foreign exchange receipt and payment，directly affecting the normal operation of all cross-border businesses of the enterprise. Some enterprises will also face letter verification and penalties from the tax authority.

To address such risks，first of all，**physical risk isolation** should be properly implemented: confirm in advance whether the enterprise itself has the right to import and export and the filing registration form of foreign trade operators，which is the basic qualification for carrying out entrepot trade. If missing，it is necessary to complete the filing with the commerce authority first. At the same time，verify the entrepot operation qualification and customs credit rating of the partner in the transshipment country，so as to avoid cargo seizure or misappropriation caused by the other party's unqualified qualification or bad credit.

Our exclusive loss-stopping tip is: when cooperating with a professional foreign trade agency，require it to issue a **full-process cargo right control guarantee letter for the transshipment port**，clarifying that the cargo right is always held by our side or the authorized agent during the transshipment process. At the same time，submit the full set of documents (including the certificate of origin of the transshipment country，clean transshipment bill of lading，and third-party commercial invoice) to the compliance institution for pre-audit，**ensure that the logical chain of documents is fully closed**，avoid customs doubts caused by inconsistent document information，and finally realize the compliant implementation of entrepot trade.

### Answer 2

In the customs declaration process of entrepot trade, the core conditions to be met include: the enterprise shall hold the registration certificate of customs declaration unit, and its credit rating shall be Grade B or above. For enterprises with Grade C or D, the customs declaration review of entrepot goods will be listed as a key supervision object, which will most likely trigger manual document review and on-site inspection. At the same time, the customs declaration form for entrepot trade shall accurately fill in the "trade mode" as "entrepot trade" (supervision code 0110), and be attached with supporting documents such as the copy of the cargo entry declaration form of the transshipment country and the scanned copy of the transshipment bill of lading.

If the trade mode is not truthfully declared or documents are missing during customs declaration, the customs will directly list the goods as abnormal declaration form, launch anti-smuggling investigation, and even suspend the customs declaration authority of the enterprise. In addition, it is necessary to ensure that the name, specification, quantity and other information of entrepot goods are completely consistent in the declaration forms of all links, so as to avoid price review disputes caused by logical contradictions.

### Answer 3

Multiple conditions shall be met in the logistics process of entrepot trade: first, transshipment ports with entrepot qualification shall be selected, such as Singapore, Port Klang in Malaysia, etc. These ports have special supervision areas for entrepot trade, which can realize direct transshipment of goods without entering the country, avoiding import tariffs and customs clearance costs. Second, it is necessary to ensure that the storage time of goods at the transshipment port complies with local customs regulations.

For example, the free storage period for entrepot goods at Singapore Port is 14 days. If it exceeds, an extension shall be applied for, otherwise high port detention fees will be incurred. At the same time, select a logistics service provider with full-process cargo right control capability, and require it to provide a "door-to-door" entrepot logistics plan, including the full connection of first-leg transportation, document change at transshipment port, and second-leg transportation, so as to avoid cargo delay caused by disconnection of logistics nodes. In addition, the node of cargo right transfer shall be clearly specified in the logistics contract, for example, the cargo right transfer is only completed after receiving the second-leg bill of lading, so as to avoid the situation that the goods are seized without reason.

### Answer 4

The core conditions to be met in the tax process of entrepot trade include: the enterprise shall complete the tax source filing for cross-border trade with the tax authority, clarify the income and cost accounting methods of entrepot trade, so as to avoid the tax authority misjudging entrepot income as domestic sales income due to failure to file, and requiring supplementary payment of value-added tax and income tax. At the same time, it is necessary to ensure that the profit accounting of entrepot trade conforms to the arm's length principle, that is, the price markup in the transshipment link shall be within a reasonable range.

If the markup is too high or too low, it may trigger BEPS (Base Erosion and Profit Shifting) investigation, and be required to adjust the taxable income. In addition, if entrepot goods involve sensitive categories, it is necessary to confirm whether the transshipment country has relevant consumption tax or value-added tax exemption policies.

For example, Singapore exempts consumption tax on entrepot goods, which can effectively reduce tax costs. It should be noted that all documents of entrepot trade shall be kept for at least 10 years for the letter verification and inspection of the tax authority.

### Answer 5

Multiple compliance conditions shall be met in the foreign exchange receipt and payment process of entrepot trade: first, the enterprise shall complete the registration of the "Enterprise Catalogue for Trade Foreign Exchange Receipt and Payment" with the State Administration of Foreign Exchange, and the catalogue status is normal. If it is an enterprise in the guidance period, the foreign exchange receipt and payment of entrepot trade shall be submitted for document review transaction by transaction.

Second, the foreign exchange receipt and payment of entrepot trade shall conform to the principle of "receipt before payment" or "separate management of receipt and payment". It is forbidden to use the same foreign exchange receipt and payment for hedging, and the amount of foreign exchange receipt and payment shall be within a reasonable range. If the difference exceeds 10%, a difference explanation shall be submitted to the foreign exchange administration.

At the same time, compliant cross-border payment channels such as SWIFT or CIPS system shall be used, and underground banks shall be prohibited for receipt and payment, so as to avoid being included in the abnormal list of foreign exchange supervision. In addition, all foreign exchange receipt and payment vouchers, contracts, bills of lading and other documents of entrepot trade shall be kept for at least 5 years for the inspection of the foreign exchange administration.

### Answer 6

A number of legal conditions shall be met for engaging in entrepot trade: first, a standardized tripartite contract for entrepot trade shall be signed to clarify the rights and obligations of the buyer, seller and entrepot party, especially the node of cargo right transfer, the inspection standard of cargo quality, the fallback clause for force majeure, etc., so as to avoid disputes caused by vague contract terms. Second, it is necessary to ensure that the certificate of origin of the transshipment country is authentic and valid, and forgery or tampering of the certificate of origin is prohibited, otherwise it may constitute international trade fraud, facing claims from the buyer and customs penalties.

At the same time, if letter of credit settlement is used, soft clauses in the letter of credit shall be avoided, such as requiring the provision of a no-objection certificate issued by the customs of the transshipment country. Such clauses may lead to failure to collect foreign exchange smoothly. In addition, the intellectual property rights of entrepot goods shall be verified to ensure that the goods do not infringe on the intellectual property rights such as trademarks and patents of third parties, so as to avoid the application for cargo seizure by the intellectual property right holder at the transshipment port or the destination port.

### Answer 7

Multiple conditions shall be met in the on-site inspection process of entrepot trade: first, the packaging of entrepot goods shall meet the supervision requirements of the transshipment port. For example, Singapore Port requires that the packaging of entrepot goods shall have the ability of moisture-proof and damage-proof, so as to avoid the goods being listed as unqualified due to damaged packaging. Second, it is necessary to ensure that the seal of the goods is authentic and valid, and the seal number shall be completely consistent with the number on the bill of lading and customs declaration form.

If the seal is damaged or the number is inconsistent, the customs will launch unpacking inspection, resulting in high inspection costs and delays. At the same time, the full set of documents for entrepot trade, including certificate of origin, bill of lading, commercial invoice, etc., shall be prepared in advance so that they can be provided in time during on-site inspection, so as to avoid prolonged inspection time due to missing documents. In addition, if entrepot goods involve dangerous goods, the MSDS report and dangerous goods classification identification certificate shall be submitted to the customs of the transshipment port in advance, otherwise they will be prohibited from entering the supervision area of the transshipment port.

### Answer 8

From the perspective of supply chain planning, a number of conditions shall be met for engaging in entrepot trade: first, enterprises shall have stable supplier resources in the transshipment country to ensure efficient connection of operations such as document change and transshipment in the transshipment link, so as to avoid the break of the whole supply chain caused by supplier delay. Second, a cost actuarial model for entrepot trade shall be established to calculate all costs including first-leg transportation, transshipment port fees, second-leg transportation, insurance premiums, etc., to ensure a reasonable profit margin for entrepot trade and avoid losses caused by improper cost control. At the same time, the linkage between inventory and entrepot trade shall be realized.

For example, goods shall be transported to the bonded warehouse of the transshipment port in advance, and transshipment shall be arranged in time according to the order demand of the destination port, so as to shorten the overall delivery cycle. In addition, the structure of entrepot trade shall be adjusted according to the supervision requirements of different destination ports. For example, for the EU market, Malaysia can be selected as the transshipment port, and its free trade agreement with the EU can be used to reduce tariff costs.
