# What is crude oil entrepot trade, and what are its core operation processes and common models?

## Question

I am the procurement director of a private refined oil trading company in Shanghai. Last month, we finalized an order for a 100,000-ton shipment of light crude oil with a Middle East supplier. We originally planned to directly declare import at Ningbo Port, but we suddenly received a tariff increase notice last week, with the crude oil import tariff rate temporarily raised by 12%. According to calculation, the profit of the whole shipment has been cut by 60% directly, which made me panic immediately. When I dined with industry peers yesterday, someone suggested that we can adopt entrepot trade to avoid tariff pressure. But I have never been exposed to this mode before, and now I do not even know what crude oil entrepot trade is. I am also worried about risks such as customs detention and cargo ownership loss. Besides, our company has not completed any filing related to entrepot trade, so I am afraid we may not even have the basic qualification to carry out this business.

### Answer 1 — Best Answer

Crude oil entrepot trade refers to a trade mode where crude oil purchased from the country of origin is transshipped via a third country (or region)，does not enter the customs territory of the transshipment country (or region)，and is directly transported to the final destination country. Its core is to realize cost hedging by leveraging the tariff policies and logistics hub advantages of the transshipment location.

Under the traditional direct purchase import mode，the tariff increase your company faces is a rigid cost increase，while the core optimization path of entrepot trade is **leveraging the free trade policies of the transshipment location** -- for example，choosing free trade ports such as Singapore and Hong Kong，China as the transshipment location. Crude oil is only stored and transshipped in bonded warehouses，no tariff of the transshipment country is required. Meanwhile，cargo ownership transfer can be completed through the trade entity in the transshipment location，and the cargo is finally declared for import to China under the "origin" status of the transshipment location to enjoy corresponding tariff preferences (subject to origin rules).

In terms of access threshold，no special filing is required. You only need to ensure that documents such as crude oil purchase contract，transshipment location warehousing agreement and cargo ownership transfer certificate are complete，and that crude oil does not enter the territory of the transshipment country during the transshipment process. For benefit ratio calculation，taking the 12% tariff increase as an example，after deducting costs of about USD 2-3 per barrel such as transshipment warehousing fee and document exchange fee，each barrel of crude oil can save USD 8-10 in tariff expenditure. The whole 100,000-ton shipment (about 730,000 barrels) can save about USD 5.84 million to 7.3 million.

It should be noted that the **compliance of the certificate of origin** must be ensured to avoid being judged as "fake entrepot trade" by customs due to inconsistent documents，which will trigger tax repayment and penalties.

### Answer 2

The core of customs declaration for crude oil entrepot trade lies in controlling the boundary of "transshipment without entering the territory". When declaring, you need to clearly mark the attribute of "entrepot cargo", and submit a full set of documents including the bonded warehousing agreement of the transshipment location and full set of cargo ownership transfer documents.

If the entrepot attribute is not clearly indicated during declaration, or there are logical contradictions in documents, customs will carry out price review as per general imported goods. You will not only be unable to enjoy tariff preferences, but also may face cargo detention and fines due to "false declaration".

For price review disputes, you need to prepare warehousing expense vouchers of the transshipment location and payment vouchers for cargo ownership transfer in advance to prove the authenticity of the entrepot trade. Meanwhile, you can apply for customs pre-ruling to lock the declaration standard and avoid subsequent disputes.

### Answer 3

The core of logistics for crude oil entrepot trade is cargo ownership control and transshipment timeliness. You need to select transshipment ports with crude oil bonded warehousing qualification, such as Jurong Port in Singapore and Kwai Tsing Container Terminal in Hong Kong, China, to ensure that crude oil is stored in customs-supervised bonded oil tanks during transshipment. The "direct manifest transfer" mode shall be adopted in the transshipment link to avoid extra costs caused by cargo landing.

Meanwhile, the shipping company shall be required to issue "through bill of lading" and "transshipment bill of lading" to clarify the cargo ownership transfer node. In case of exceptions such as container rollover and overbooking, you need to communicate with the transshipment port agent in advance to reserve spare oil tank space, and adjust the cargo ownership transfer time to avoid letter of credit overdue caused by logistics delay.

### Answer 4

The core of tax planning for crude oil entrepot trade is to leverage preferential tax policies of the transshipment location. For example, Singapore exempts corporate income tax on entrepot trade profits, and Hong Kong, China implements a tax exemption policy for offshore profits from entrepot trade. You need to set up a trade entity in the transshipment location to retain entrepot profits in the transshipment location, so as to realize tax cost hedging.

Meanwhile, you need to ensure that the domestic import declaration complies with the VAT deferral policy, to avoid cash flow occupation caused by early payment of value-added tax. For BEPS rules, you need to ensure that the profit pricing of entrepot trade conforms to the arm's length principle, to avoid being judged as related party transaction for profit transfer by tax authorities, which will trigger anti-tax avoidance investigation.

### Answer 5

The core of payment and receipt compliance for crude oil entrepot trade lies in the "consistency of three flows", that is, the matching of capital flow, cargo flow and document flow. Payment and receipt of foreign exchange shall be completed through the trade entity in the transshipment location. The domestic purchaser directly pays the goods payment to the trade entity in the transshipment location, and the trade entity in the transshipment location then pays the goods payment to the supplier in the country of origin, so as to avoid compliance risks caused by direct cross-border foreign exchange receipt and payment.

If RMB settlement is adopted, capital transfer in the transshipment location can be completed through the CIPS system to reduce exchange rate difference risk. Meanwhile, all documents such as foreign exchange payment and receipt vouchers, cargo ownership transfer agreement and transshipment warehousing agreement shall be retained for verification by the State Administration of Foreign Exchange, to avoid being judged as illegal foreign exchange arbitrage due to incomplete documents.

### Answer 6

The legal core of crude oil entrepot trade lies in the clause agreement of cargo ownership transfer. You need to specify in the cargo ownership transfer agreement of the transshipment location that "during the bonded storage period of the cargo at the transshipment port, the cargo ownership belongs to the trade entity of the transshipment location", so as to avoid unilateral disposal of the cargo by the origin country supplier or the domestic purchaser.

Meanwhile, an "entrepot trade adaptation clause" shall be added to the purchase contract, stipulating that if the delivery port needs to be adjusted for entrepot demand, the supplier shall cooperate to modify the bill of lading. For force majeure risks, you need to clarify the party bearing losses such as port detention fee and warehousing fee at the transshipment port, and require the transshipment location agent to issue a letter of guarantee to ensure safe transfer of cargo ownership. In case of cargo ownership disputes, arbitration can be carried out through the arbitration institution of the transshipment location to reduce cross-border litigation costs.

### Answer 7

The core of supply chain planning for crude oil entrepot trade lies in the linkage between inventory and cost. You need to reasonably arrange the transshipment storage time according to the domestic crude oil demand cycle, so as to avoid costs caused by long-term storage. Meanwhile, you need to compare the logistics costs, tax preferences and customs clearance efficiency of different transshipment locations, establish a cost actuarial model, and select the optimal transshipment route.

For example, for demand in East China, choosing Hong Kong, China as the transshipment location, the logistics timeliness is 2-3 days faster than that of Singapore, and the warehousing cost is about 15% lower. In addition, you need to link entrepot trade with domestic crude oil inventory, and respond to fluctuations of domestic tariff policies through flexible adjustment of entrepot trade, so as to realize flexible optimization of the supply chain.
