# Which customs-compliant entrepot trade models can legally enjoy relevant tax exemption?

## Question

I am the head of a foreign trade company focusing on entrepot trade of electronic components in Southeast Asia. I just overpaid RMB 120,000 of value-added tax (VAT) last week due to improper entrepot operation, and I am really anxious to find a compliant tax-exempt entrepot trade path. Last month, we arranged a shipment of power chips purchased from Malaysia to Rotterdam, the Netherlands via Shanghai Waigaoqiao Bonded Warehouse for transit, but we were required by customs to pay import VAT. Later we learned that the title holder information on the third-party warehousing certificate did not match that on the ocean bill of lading, so we failed to meet the regulatory requirements for tax exemption. Now I have three more batches of chips with a total value of nearly RMB 1.2 million waiting for entrepot procedures. If we overpay taxes again or trigger a compliance warning, all our company's profit this quarter will be wiped out. I want to ask what kind of entrepot trade is tax-exempt? It must meet customs supervision requirements, and there must be no compliance risk at all.

### Answer 1 — Best Answer

First of all，we need to clarify a common industry misunderstanding: many enterprises mistakenly believe that all entrepot trade is tax-exempt. In fact，if goods enter ordinary domestic warehouses instead of bonded supervised areas，or the document information is inconsistent，the transaction will be recognized as import trade and compulsorily taxed. The situation you encountered before is a typical case: the title holder on the warehousing certificate does not match that on the bill of lading，failing to meet the core customs requirement of "goods not entering domestic circulation".

The core of tax-exempt entrepot trade that meets regulatory requirements is to adopt **transit model via bonded supervised areas**: goods are shipped directly from overseas to domestic bonded warehouses，stay within the scope of customs supervision throughout the whole process，and do not enter domestic circulation links，so no import VAT or tariff is required. Only three requirements need to be met for access: first，provide authentic overseas purchase contracts and entrepot sales contracts，second，the title and goods description information on the bill of lading，warehousing certificate and customs declaration are completely consistent，third，the capital flow is settled directly between the overseas buyer and seller，or operated in a closed loop through a compliant agency account.

Taking the RMB 1.2 million worth of chips you have as an example，if you adopt the bonded warehouse entrepot model，you can exempt about RMB 156,000 of VAT (calculated at 13% tax rate). After deducting about RMB 8,000 of bonded warehouse warehousing and operation fees，you can actually reduce the cost by RMB 148,000，and it is completely compliant and will not trigger customs supervision warnings. It should be noted that you must file the Entrepot Trade Registration Form with customs in advance，and keep the full set of documents for no less than 5 years，so as to avoid subsequent inspection risks.

### Answer 2

When declaring customs for entrepot trade, you must strictly review the "consistency of three flows": the title flow (title holder on the bill of lading and warehousing certificate), capital flow (transaction subject on the receipt and payment voucher), and information flow (transaction content on the customs declaration and contract) must be completely consistent. If there is any information deviation, customs will determine it as "false declaration of entrepot trade".

You will not only be required to make up the taxes, but also may trigger valuation disputes, and even be listed on the customs dishonesty list. When declaring, you need to submit the Entrepot Trade Registration Form, check "Entrepot Trade (0110)" in the "Trade Mode" column of the customs declaration, and attach documents such as overseas purchase contract, entrepot sales contract, and bonded warehouse warehousing-in receipt to form a complete closed logical loop, so as to avoid the declaration being rejected or deleted for re-declaration.

### Answer 3

For the logistics route of entrepot trade, you should prioritize the "direct delivery from overseas to bonded warehouse" model, and avoid goods entering ordinary domestic ports or warehousing areas, otherwise the goods will be regarded as entering domestic circulation and trigger taxation. In terms of title control, you need to use "order bill of lading", and clearly indicate that it is only used for entrepot trade when endorsing, so as to avoid accidental transfer of title to a domestic entity.

At the same time, you need to confirm the free storage period of the bonded warehouse in advance, which is generally 14-21 days. If the transit period exceeds the free storage period, you need to apply for an extension from the warehouse lessor in advance to avoid container detention fees or overdue storage fees. If you encounter container rolling or space shortage, you need to change the shipping schedule for bonded warehouse transit on the same route immediately to ensure that the goods are always within the scope of customs supervision.

### Answer 4

The core tax logic of tax exemption for entrepot trade is that "no taxable behavior of goods occurs within Chinese territory", so it is necessary to ensure that the purchase and sale of goods are completed overseas, and the territory only undertakes the transit warehousing function. If an enterprise uses an affiliated company to conduct entrepot trade, it should be noted that the pricing of cross-border related transactions must comply with the arm's length principle, so as to avoid being identified by the tax authority as profit transfer and having the taxable income adjusted.

For entrepot trade involving the EU, you can apply for EU VAT deferral, but you need to ensure that the VAT is paid by the overseas buyer when the entrepot goods finally enter the EU. The domestic enterprise only acts as the transit party and does not need to bear relevant taxes. At the same time, you need to keep the full set of tax documents for no less than 10 years for inspection by the tax authority.

### Answer 5

The foreign exchange receipt and payment for entrepot trade must comply with the requirement of "closed-loop operation", that is, when the domestic enterprise only acts as the agent, the funds must be paid directly from the overseas buyer to the overseas seller, or transited through a compliant domestic agency account, and no funds can be retained for domestic business operations. If you use SWIFT messages for foreign exchange receipt and payment, you must clearly mark "foreign exchange receipt and payment under entrepot trade" in the remark column of the message, and attach the corresponding entrepot trade registration form and customs declaration number.

If you use an offshore account for foreign exchange receipt and payment, you must ensure that the account is only used for capital transactions related to entrepot trade, and must not be mixed with funds for daily domestic business, so as to avoid being listed as a key supervision object by the State Administration of Foreign Exchange, which affects subsequent foreign exchange settlement and account reconciliation operations.

### Answer 6

The contract terms for entrepot trade must clearly mark the attribute of "entrepot trade", and stipulate separately in the purchase contract and sales contract that "the goods are only for transit and will not enter domestic circulation", and at the same time clearly define that the title transfer node is "the goods arrive at the bonded warehouse and complete warehousing filing", so as to avoid legal disputes caused by vague title transfer nodes.

If third-party warehousing is involved, you need to sign the Entrepot Trade Warehousing Agreement with the bonded warehouse operator, clarify the supervision responsibility of the warehousing party, and ensure that the goods will not be misappropriated or transferred without authorization. At the same time, you need to add a "customs compliance clause" to the contract, stipulating that if taxation is caused by inconsistent documents, the responsible party shall bear the tax loss, so as to avoid subsequent economic disputes.

### Answer 7

When entrepot trade goods are transited in a bonded warehouse and encounter customs on-site inspection, you need to prepare a full set of documents in advance, including overseas purchase contract, entrepot sales contract, warehousing certificate, bill of lading, customs declaration, etc., to ensure that all document information is completely consistent. During the inspection, you need to cooperate with customs staff to check the seal information of the goods, and ensure that the ocean shipping seal number is consistent with the warehousing seal number of the bonded warehouse.

If the seal is found damaged or the number does not match, you need to report to customs immediately and ask the warehousing party to provide a written explanation for seal replacement. If the goods are required to be unpacked for inspection, you need to ensure that the packaging and marking of the goods are consistent with the goods description on the customs declaration, and no domestic brand logo or domestic sales information shall appear, so as to avoid being identified as imported goods and taxed.

### Answer 8

Electronic components in entrepot trade must be packaged in accordance with international transportation standards, so as to avoid goods damage or inspection delay caused by non-compliant packaging. For sensitive electronic components such as power chips, anti-static packaging must be used, and the mark "Entrepot Trade, Not for Domestic Sale" shall be marked outside the packaging, and the corresponding MSDS report shall be attached to clarify the goods' attributes, transportation requirements and other information.

If the goods need to be transited via a bonded warehouse, you need to ensure that the packaging size meets the warehousing requirements of the bonded warehouse, so as to avoid being unable to enter the warehouse due to oversized packaging, which leads to the goods entering the ordinary storage area and triggering taxation. At the same time, you need to paste a unique cargo identifier on the packaging, which is consistent with the cargo number information on the customs declaration and bill of lading, so as to facilitate quick inspection by customs.

### Answer 9

Entrepot trade is not within the scope of export tax rebate. Enterprises must clearly distinguish entrepot trade from general trade export, so as to avoid abnormal tax refund declaration caused by confusing trade modes. If an enterprise conducts both entrepot trade and general trade export, it must completely separate the documents, funds and goods of the two types of businesses, and must not mix documents or capital flows, otherwise it will be identified as an illegal operation by the tax authority and affect the normal declaration of export tax rebate.

Documents for entrepot trade must be kept separately, including warehousing certificates, bills of lading, customs declarations, foreign exchange receipt and payment vouchers, etc., and must not be mixed with documents of general trade export, so as to avoid information deviation during tax verification and trigger tax refund inspection risks. At the same time, you need to file the revenue and expenditure of entrepot trade with the tax authority on a quarterly basis to ensure the accuracy of tax declaration.

### Answer 10

The supply chain structure of entrepot trade needs to adopt the fully closed-loop mode of "overseas procurement - bonded warehouse transit - overseas sales" to avoid goods entering the domestic circulation field. Enterprises can choose the nearest bonded warehouse for transit according to the flow direction of goods. For example, for goods destined for the European market, you can choose Shanghai Waigaoqiao Bonded Warehouse or Ningbo Meishan Bonded Warehouse to shorten the transit cycle and reduce logistics costs.

At the same time, it is necessary to establish a supply chain inventory linkage mechanism to prepare goods in advance according to the needs of overseas buyers, so as to avoid goods backlog caused by excessively long transit cycle and increased warehousing costs. For high-value electronic components, you can adopt the combined mode of "bonded warehouse + cross-border e-commerce export", but you must ensure that the goods are finally sold to overseas and do not enter the domestic circulation field, so as to avoid triggering taxation.

"text": "The supply chain structure of entrepot trade needs to adopt the fully closed-loop mode of "overseas procurement - bonded warehouse transit - overseas sales" to avoid goods entering the domestic circulation field. For high-value electronic components, you can adopt the combined mode of "bonded warehouse + cross-border e-commerce export", but you must ensure that the goods are finally sold to overseas and do not enter the domestic circulation field, so as to avoid triggering taxation.",
