# Are There Quota Restrictions on Foreign Exchange Receipt and Payment for Domestic Enterprises Engaging in Entrepot Trade? What Are the Compliance Requirements?

## Question

I am the person in charge of an enterprise in Shanghai specializing in entrepot trade of electronic components. I just signed a USD 1.2 million entrepot order last week, and originally thought that I could complete the transaction smoothly after finishing foreign exchange receipt and payment according to the process. However, I heard from peers yesterday that there are quota restrictions on entrepot trade, which made me panic immediately. If the quota is insufficient, foreign exchange receipt will be blocked, not only the payment from overseas customers cannot be received, but also the goods stranded at the port will incur high storage fees. A friend of mine had his foreign exchange receipt and payment privileges suspended by the bank due to similar problems, and was also inspected by the regulatory authority, which not only delayed the order, but also left a compliance black mark. Now I am afraid that insufficient quota will delay this large transaction, and also afraid of accidentally violating the rules. I would like to ask if there is any quota restriction on entrepot trade? Are the control rules of different banks consistent? How to apply for adjustment if the quota is insufficient?

### Answer 1 — Best Answer

First of all，we need to clarify a common industry misconception: many enterprises mistakenly believe that there is a fixed quota limit for foreign exchange receipt and payment in entrepot trade，which is actually a typical cognitive deviation. The current supervision follows the **principle of actual demand**，there is no fixed upper limit of quota，but operation must be compliant based on real transaction background.

If you fall into the misunderstanding and falsify transaction documents to "break through" the quota，it will cause a chain of negative consequences: the bank will directly suspend the foreign exchange receipt and payment privileges，the goods stranded at the port will incur high demurrage and detention fees. If fraudulent transactions are found by the regulatory authority，the enterprise will be included in the compliance watchlist，its cross-border foreign exchange receipt and payment accounts will be frozen，and even all subsequent foreign trade business of the enterprise will be affected.

Physical risk isolation measures shall be controlled from the source: communicate the transaction details with the account opening bank in advance，submit a full set of authentic and valid documents，including entrepot trade contract，upstream and downstream invoices，ocean bill of lading (which shall reflect that the goods do not enter the territory)，and ensure the **consistency of four flows** namely capital flow，document flow，cargo flow and contract flow.

Exclusive loss mitigation tips: if you have doubts about the quota for large-value entrepot trade，you can entrust a professional foreign trade agency to pre-audit the documents in advance，complete foreign exchange receipt and payment through the compliant channel of the agency，and reserve an alternative bank account as an emergency solution to avoid transaction interruption caused by blocked single channel.

### Answer 2

The core of entrepot trade quota control lies in the foreign exchange receipt and payment link. There is no fixed quota restriction on the customs side, but it is necessary to ensure that the trade mode declared in customs declaration is "entrepot trade" (supervision code 0110), and the submitted documents can truly reflect that the goods do not actually enter the territory. If an enterprise falsely declares entrepot trade as general trade import, it will trigger customs valuation inspection.

Not only can it not enjoy the compliant foreign exchange receipt and payment treatment for entrepot trade, but it will also be required to pay overdue customs duties and value-added tax, and the enterprise's customs credit rating will be affected, which in turn indirectly restricts the application authority for foreign exchange receipt and payment quota for subsequent cross-border business. In addition, if the bill of lading for entrepot trade contains false information, the customs will include the enterprise in the high-risk inspection list, and all subsequent customs declarations will be subject to priority audit, resulting in a significant reduction in customs clearance efficiency.

### Answer 3

The approval of foreign exchange receipt and payment quota for entrepot trade relies on the proof of real cargo flow, so the compliance of logistics route directly affects the quota application. Enterprises shall choose direct shipping or transit routes where goods do not enter the territory, ensure that the port of loading and port of destination on the ocean bill of lading are all overseas ports, the bill of lading endorsement is complete, and the cargo ownership is clear.

If the goods enter the territory for unpacking or change means of transport midway, the "temporary storage certificate for entrepot trade goods" issued by the customs shall be provided, otherwise the bank will restrict the foreign exchange receipt and payment quota because it cannot verify the authenticity of the cargo flow. In addition, in case of abnormal situations such as container rolling and port change, the logistics change certificate shall be submitted to the bank as soon as possible to avoid the bank misjudging it as a fraudulent transaction and suspending the quota use.

### Answer 4

Entrepot trade quota control is directly related to cross-border related party transaction pricing. If the pricing of entrepot trade of an enterprise deviates from the fair market price, the bank will restrict the foreign exchange receipt and payment quota due to suspicion of fraudulent transactions.

It shall be ensured that the trading spread of entrepot trade is within a reasonable range, generally no less than 2% to 5% of the cost of goods, and the fair price proof of upstream and downstream suppliers shall be provided, such as industry quotation sheets and transaction records of similar products. In addition, if the entrepot trade involves VAT deferment, it shall be filed with the tax authority in advance to ensure that the capital flow is consistent with the tax declaration data.

Otherwise, the abnormal inspection by the tax authority will be fed back to the bank, resulting in the quota being frozen. At the same time, profit transfer through related enterprises shall be avoided, otherwise BEPS-related control measures will be triggered, which further restricts the foreign exchange receipt and payment quota.

### Answer 5

Entrepot trade quota control is implemented by the State Administration of Foreign Exchange through the foreign exchange monitoring system. Banks shall verify the transaction background according to the "principle of actual demand". When receiving and paying foreign exchange through SWIFT or CIPS systems, enterprises shall accurately fill in the transaction code (121010) and indicate "entrepot trade foreign exchange receipt and payment" in the remark column, otherwise it will be marked as an abnormal transaction by the foreign exchange monitoring system and trigger quota restriction.

If an enterprise uses an offshore account for foreign exchange receipt and payment of entrepot trade, it shall ensure that the fund transactions between the offshore account and the domestic account have real transaction background certificates, otherwise the State Administration of Foreign Exchange will include the offshore account in the key supervision scope and restrict the fund transfer quota between domestic and overseas accounts. In addition, enterprises shall regularly sort out foreign exchange receipt and payment data to ensure that the capital flow of each entrepot trade order corresponds to the document flow one by one, so as to avoid quota restriction by the bank due to data confusion.

### Answer 6

The quota application for entrepot trade relies on legal and valid contracts. If there are soft clauses in the contract, such as "payment is subject to the buyer's quota approval", the bank will be unable to verify the authenticity of the transaction, thereby restricting the foreign exchange receipt and payment quota.

It shall be ensured that the entrepot trade contract clearly indicates that the trade mode is "entrepot trade", and clearly stipulates the port of loading, port of destination, and cargo ownership transfer node of the goods, so as to avoid clauses with ambiguous cargo ownership. In addition, if an enterprise issues a false LOI to apply for quota, it will trigger legal risks.

The bank has the right to pursue the enterprise's liability for breach of contract, and the State Administration of Foreign Exchange will include the enterprise in the discredited list and permanently restrict its cross-border foreign exchange receipt and payment quota. In case of international trade disputes, the relevant certificates of judicial authorities shall be submitted to the bank in time to avoid disputes affecting the normal use of the quota.

### Answer 7

If entrepot trade goods are inspected on site by the customs due to abnormal situations, the enterprise shall cooperate with the customs to complete the inspection process, and provide a full set of documents for entrepot trade, including contracts, bills of lading, and invoices, to prove that the goods do not actually enter the territory. If the inspection finds that the goods have false declaration of product name, quantity and other situations, the customs will issue an abnormal inspection report and feed it back to the State Administration of Foreign Exchange and the bank, resulting in the temporary freezing of the enterprise's foreign exchange receipt and payment quota.

In addition, if the on-site inspection finds that the authenticity of the seal on the bill of lading is doubtful, the customs will temporarily detain the goods and require the enterprise to provide the official certificate of the seal. During this period, the bank will suspend the use of the quota, resulting in delayed foreign exchange receipt and payment and losses such as demurrage charges. Enterprises shall prepare copies of documents in advance and cooperate with inspectors to complete the verification quickly, so as to avoid affecting the normal use of the quota.

### Answer 8

If the entrepot trade involves dangerous goods, the compliance of packaging will indirectly affect the approval of foreign exchange receipt and payment quota. It shall be ensured that the packaging of dangerous goods meets the UN Dangerous Goods Packaging Standards, and valid MSDS and packaging appraisal certificates are provided. Otherwise, the logistics provider will refuse to carry the goods and cannot provide a real bill of lading, and the bank will restrict the quota because it cannot verify the authenticity of the cargo flow.

In addition, if the packaging of dangerous goods does not meet the requirements, leakage, damage and other situations occur during transportation, the goods will be stranded at the port, and the enterprise cannot provide complete logistics certificates, thereby triggering quota restrictions. Enterprises shall entrust professional packaging engineers to design compliant packaging schemes in advance to ensure that the content of MSDS is consistent with the actual situation of the goods, so as to avoid affecting quota application due to packaging problems.

### Answer 9

Entrepot trade is not applicable to export tax rebate. If an enterprise falsely declares entrepot trade as export tax rebate business, it will trigger tax correspondence verification, which in turn leads to the bank restricting the foreign exchange receipt and payment quota. It shall be ensured that the documents of entrepot trade do not involve relevant declarations for export tax rebate.

For example, the content of the special VAT invoice shall be clearly marked with "entrepot trade" to avoid being misjudged as export tax rebate business by the tax system. In addition, if the capital flow of entrepot trade of an enterprise is confused with the capital flow of export tax rebate, it will trigger the four-flow consistency inspection by the tax authority.

Not only can the tax rebate declaration not be passed, but the tax authority will also feed back to the State Administration of Foreign Exchange, resulting in the freezing of foreign exchange receipt and payment quota. Enterprises shall separately manage the documents and capital flow of entrepot trade to avoid confusion with export tax rebate business.

### Answer 10

Entrepot trade quota control is directly related to supply chain structure design. If an enterprise adopts a multi-node entrepot structure, it shall ensure that each node's transaction has real document support, otherwise the bank will restrict the foreign exchange receipt and payment quota due to the complex transaction chain. A clear supply chain cost actuarial model shall be established to ensure that the trading spread of each entrepot node is within a reasonable range, so as to avoid abnormally high profits or losses and trigger the bank's risk inspection.

In addition, if an enterprise links the entrepot trade with the supply chain inventory of general trade, it shall ensure that the inventory data is consistent with the cargo flow of entrepot trade, so as to avoid the situation that the inventory book value does not match the actual stock, which in turn affects the quota application. Enterprises can optimize the supply chain structure, reduce transit nodes, improve transaction transparency, and reduce the risk of quota restrictions.

Enterprises shall separately manage the documents and capital flow of entrepot trade to avoid confusion with export tax rebate business.",

"text": "Entrepot trade quota control is directly related to supply chain structure design. Enterprises can optimize the supply chain structure, reduce transit nodes, improve transaction transparency, and reduce the risk of quota restrictions.",
