# Whether a domestically registered ordinary trading company naturally has the right to self-operated export? What core compliance conditions need to be met?

## Question

I’m a small and medium-sized trading company based in Shanghai, just founded 8 months ago, mainly engaging in domestic sales of outdoor furniture. Last week, I suddenly received an $80,000 export order from a Southeast Asian customer. I was so excited to book shipping space with a freight forwarder, but the forwarder asked if I had the right to self-operated export, and I was totally caught off guard — when I registered the company, I only obtained the business license and tax registration, and never dealt with any foreign trade-related record-filing. Now there are only 18 days left until the agreed delivery deadline. If I can’t ship the goods due to lacking export rights, I’ll not only have to pay a 10% penalty but also lose this hard-won overseas customer. I’m so stressed that I can’t even eat. I’d like to ask: does an ordinary trading company like me naturally have export rights? If not, is it still possible to apply for it now? Are there any other compliant emergency solutions?

### Answer 1 — Best Answer

Many small and medium-sized trading companies share a common misconception: they think that after completing business registration，they naturally have the right to self-operated export. In fact，the right to self-operated export requires special record-filing with multiple authorities including the customs，foreign exchange administration and tax authorities. Ordinary trading companies that have not completed such record-filing do not possess the self-operated export qualification.

If you blindly ship goods without the required qualification，it will trigger a series of negative consequences: the goods cannot go through normal customs declaration procedures after arriving at the port，directly leading to detention and port demurrage，with daily demurrage and detention fees amounting to several thousand yuan. If you miss the delivery deadline，you will also have to pay a 10%-30% penalty to the overseas customer，and may even be blacklisted by the customer. In addition，your corporate credit rating will be affected，and the customs will conduct key review when you apply for export qualifications later.

There are two physical risk isolation solutions: one is to **urgently entrust a qualified foreign trade agency company**，which will be responsible for the entire process including customs declaration，foreign exchange collection and tax rebate. The document connection can be completed in as fast as 3 days without affecting the shipment，the other is to **urgently apply for export qualification record-filing** if the delivery deadline is relatively sufficient (more than 15 days). You need to submit materials such as business license，official seal and Foreign Trade Operator Record Form，and the whole process can be completed in about 10-12 days.

Exclusive loss-mitigation tip: when choosing an agency，be sure to check its import and export operation qualification record certificate，and **sign a standardized Foreign Trade Agency Agreement** that clarifies core clauses such as ownership of goods，proportion of tax rebate distribution and division of abnormal responsibilities，to avoid risks such as the agency withholding tax rebates or embezzling payment.

### Answer 2

From the perspective of customs declaration, a trading company without the right to self-operated export cannot submit a customs declaration form directly to the customs, and must declare under the name of a qualified operating entity. If you try to use the gray-area practice of “buying export documents”, the customs will detect anomalies through the matching check between the operating entity on the customs declaration form and the actual cargo owner, triggering targeted inspection. After the goods are detained, you need to submit supplementary materials such as agency agreement and proof of cargo ownership.

If you cannot provide them, it will be recognized as illegal customs declaration, with a fine of 5%-20% of the value of the goods, and you will be included in the customs dishonest enterprise list. All subsequent customs declaration forms will be subject to key targeted control. In addition, goods exported through “buying documents” cannot apply for export tax rebate, resulting in a direct loss of about 13% of the tax rebate.

### Answer 3

From the perspective of international taxation, if a trading company without the right to self-operated export operates export by itself, it cannot apply for export tax rebate because it cannot provide valid proof of export operation qualification record-filing. At the same time, if the payment from overseas customers is directly credited to the company’s account, the tax authorities will recognize it as domestic sales income, and you will need to pay 13% VAT and additional taxes, which will greatly increase operating costs.

If you choose to entrust a foreign trade agency, the agency company can act as the operating entity to handle tax rebates, and the tax rebate funds can be transferred to the trading company’s account according to the agency agreement. In addition, you can delay the payment of import VAT through the VAT deferral policy to ease the financial pressure. Moreover, you need to ensure that the “four flows” (fund flow, invoice flow, cargo flow and contract flow) are consistent to avoid triggering tax investigation.

### Answer 4

From the perspective of cross-border payment and collection compliance, a trading company without the right to self-operated export cannot directly complete the registration in the State Administration of Foreign Exchange (SAFE) directory. The payment received from overseas customers cannot be settled normally.

If you collect payments through personal accounts, the SAFE will detect abnormal capital flows and trigger verification. Your account funds will be frozen, and you will be fined. When entrusting a foreign trade agency, the agency company shall act as the payment and collection subject, collect foreign exchange through its SAFE-registered account, and then transfer the payment to the trading company’s account according to the agency agreement. The entire process needs to clearly mark the cargo information and agency agreement number in SWIFT messages or CIPS payment instructions to ensure the compliance of the payment and collection path and avoid being listed as a target by the SAFE.

### Answer 5

From the perspective of international trade laws, if a trading company without the right to self-operated export signs an export contract with an overseas customer without disclosing its lack of qualification, it will be recognized as breach of contract because it cannot fulfill the delivery obligations agreed in the contract, and the overseas customer can claim penalty according to the contract terms or even initiate international arbitration.

If you choose to entrust a foreign trade agency, you need to sign a tripartite agreement (trading company, agency company and overseas customer) to clarify that the agency company is only responsible for the export process operations, and the trading company is still the actual performance subject. At the same time, you need to include clauses such as the transfer node of cargo ownership and division of breach of responsibilities in the agreement to avoid risks such as the agency company disposing of the goods without authorization or the overseas customer directly signing subsequent orders with the agency company.

### Answer 6

From the perspective of export tax rebate compliance, if a trading company without the right to self-operated export tries to apply for tax rebate in the name of another qualified company, it will trigger tax investigation due to “inconsistent four flows”. The tax authorities will verify the actual flow of goods, capital transactions and invoice issuance. If false entrustment or “buying documents” is found, the refunded tax will be recovered, and a fine of 1-5 times the tax amount will be imposed.

At the same time, the enterprise will be included in the tax dishonest list. When entrusting a qualified agency company, you need to ensure that the agency company has the qualification for export tax rebate and can provide complete document record-filing services, including customs declaration forms, bills of lading, agency agreements, invoices, etc., to avoid tax rebate failure or tax authority investigation due to incomplete or inconsistent documents.

### Answer 7

From the perspective of supply chain structure, if a small and medium-sized trading company without the right to self-operated export has long-term export demand, it can consider applying for self-operated export qualification to build a complete foreign trade supply chain system, reduce reliance on agency companies, and directly connect with overseas customers, freight forwarders and suppliers to optimize supply chain costs. If it is only a one-time emergency shipment, choosing to entrust an agency is more cost-effective, saving the time and labor costs of qualification application.

In addition, you need to choose the appropriate operation path according to the order volume, delivery deadline and product category. For example, products with high tax rebate rates are recommended to apply for self-operated qualification to enjoy the tax rebate policy for a long time; for small-batch, emergency orders, choosing an agency can complete the shipment quickly.
