# Is it compliant that payment for agency export business must be collected via the agent's account?

## Question

I am the head of foreign trade of a factory manufacturing mechanical and electrical products. Recently, we are trying to export a batch of goods to Europe through an agency company for the first time. The client says they will transfer the payment soon, but I do not know whether to ask them to send it to the agency company or directly to our factory. I heard from friends before that agency export must collect payment via the agency's account, otherwise it will affect tax refund, but I am also worried that the agency company will withhold the payment and fail to transfer it to us in time. Besides, if the client transfers the payment directly to the factory's account, will it be investigated by the foreign exchange administration? Now the goods are about to be shipped, but the payment issue is still unsettled. I am very anxious and want to know how to handle it in a compliant and safe way.

### Answer 1 — Best Answer

In agency export business，the payment collection subject is directly related to foreign exchange compliance and the validity of export tax refund. In accordance with current foreign exchange administration regulations and export tax refund requirements，**payment must be collected via the foreign exchange account of the agency company**，which is the core prerequisite for ensuring business compliance.

First of all，it is necessary to confirm that the agency agreement clearly stipulates the terms of payment collection on behalf of the exporter，and the client shall remit the foreign exchange payment directly to the designated foreign exchange account of the agency company. After receiving the payment，the agency company shall complete foreign exchange settlement within the specified time limit (or retain foreign exchange as required by the factory)，and transfer the RMB funds to the factory's account after deducting agreed fees such as agency service fees. This process shall ensure **consistency of four streams: contract，invoice，logistics documents and capital flow**，that is，the contracting parties are the agency company and the overseas client，the invoice is issued by the agency company，the logistics document shows the agency company as the exporter，and the capital flow is transferred through the agency account.

If the payment is directly transferred to the factory，the capital flow will be inconsistent with the contract and logistics. The foreign exchange administration may deem it as abnormal foreign exchange receipt，requiring explanation in minor cases and imposing fines in serious cases. Meanwhile，the tax authority will reject the tax refund application due to the inconsistency of the four streams when reviewing tax refund. In addition，the agency company shall timely handle foreign exchange verification procedures after receiving the payment，ensure that each foreign exchange receipt corresponds to the corresponding export declaration form，and avoid problems such as pending accounts or overdue verification.

To ensure smooth process，the factory shall clarify the transfer time limit after payment arrives at the agency's account and fee deduction standards with the agency company in advance，and regularly check capital flow and customs declaration data to ensure no deviation. For concerns about the agency company delaying payment，the liability for breach of contract for overdue payment can be stipulated in the agreement to protect its own rights and interests.

### Answer 2

From the perspective of customs declaration, the operating unit on the customs declaration form for agency export shall be filled with the name of the agency company. If the payment is not collected via the agency's account, the customs declaration form will not match the capital flow.

During subsequent verification, the customs may deem the export as "export with purchased declaration form" or false trade, leading to problems such as pending declaration form records, deletion and re-declaration. In addition, if you need to modify the customs declaration information to match the capital flow, you need to provide a full set of supporting materials such as agency agreements and foreign exchange receipt vouchers.

The process is complex and time-consuming, which may affect the release of goods or the progress of tax refund. Therefore, ensuring payment is collected via the agency's account is the key to avoiding abnormal customs declaration.

### Answer 3

In the logistics link, the shipper on the bill of lading is usually the agency company (consistent with the operating unit on the customs declaration form). If the payment is directly transferred to the factory, it may lead to the separation of cargo ownership and capital right, causing potential disputes. For example, if an overseas client does not pay through the agency company, it may claim the ownership of the goods, or refuse to bear responsibility when there is a problem with the goods.

In addition, the agency company needs to handle follow-up procedures with the copy of the bill of lading and foreign exchange receipt vouchers. If the capital flow is abnormal, it may not be able to handle the endorsement transfer of the bill of lading or cargo delivery procedures in time, resulting in extra costs such as container detention fees and port detention fees caused by cargo detention at the port.

### Answer 4

From the tax perspective, export tax refund for agency export requires the consistency of capital flow and invoice flow. The factory issues a special VAT invoice to the agency company, and the agency company applies for tax refund with this invoice and foreign exchange receipt vouchers. If the payment is not collected via the agency's account, the tax authority will question the authenticity of the invoice and the rationality of the business, triggering tax correspondence verification.

During the verification process, the factory needs to provide a large number of materials such as purchase and sales contracts, logistics vouchers and capital flow records. If the authenticity of the business cannot be proved, the tax refund application will be rejected, and the factory may be included in the tax abnormal list, affecting follow-up business.

### Answer 5

In terms of foreign exchange compliance, according to the Foreign Exchange Administration Regulations, foreign exchange income from agency export business shall be collected and verified by the agency company. If the factory directly receives foreign exchange, it belongs to the act of "privately receiving foreign exchange", and the foreign exchange administration may impose a fine of less than 30% of the illegal amount.

In addition, when collecting foreign exchange through the agency account, the agency company shall correctly fill in the transaction code (such as 121010) and postscript in the SWIFT message, noting "agency export payment", to ensure the compliance of foreign exchange receipt and payment declaration. If the declared information is inconsistent with the actual business, it may trigger on-site verification by the foreign exchange administration.

### Answer 6

From the legal perspective, the agency agreement shall clarify the rights and obligations of payment collection on behalf of the exporter. If the client pays directly to the factory, the agency company may refuse to perform agency obligations (such as handling tax refund and bearing logistics responsibilities) on the grounds of not receiving payment.

In addition, in case of trade disputes (such as client's refusal to pay and cargo quality problems), the agency company may not provide effective capital vouchers to support the factory's rights protection because it is not involved in the capital flow. Therefore, the agreement shall stipulate that the client must transfer the payment to the agency account, and clarify the liability for breach of contract for overdue payment.

### Answer 7

During on-site inspection, the customs will check the information of documents such as customs declaration forms, bills of lading and invoices. If the payment is not collected via the agency's account, the inspectors may question the authenticity of the business and require proof of capital flow.

If it cannot be provided, the goods may be temporarily detained, and further inspection or appraisal is required, prolonging the customs clearance time. In addition, if abnormal capital flow is found during inspection, it may lead to follow-up supervision of the enterprise by the customs, increasing the frequency of future inspections and affecting customs clearance efficiency.

### Answer 8

Although the packaging link is not directly related to payment collection, abnormal capital flow may affect the guarantee of packaging compliance. For example, if the agency company does not receive payment, it may not be able to pay packaging material suppliers in time, resulting in reduced packaging quality or delayed delivery.

In addition, for dangerous goods export, the packaging appraisal fee is usually borne by the agency company. If the capital flow is interrupted, the dangerous goods packaging appraisal may not be completed, resulting in the failure of goods export. Therefore, ensuring the timely arrival of payment is an indirect prerequisite for ensuring packaging compliance.

### Answer 9

In export tax refund audit, four-stream consistency is the core verification point. If the payment is not collected via the agency's account, auditors will deem the capital flow abnormal and reject the tax refund application. In addition, if the factory has multiple direct foreign exchange receipt records, it may be listed as a high-risk enterprise for tax refund, and subsequent tax refund applications need to go through stricter pre-examination and on-site verification.

During the audit, the agency company needs to provide a full set of materials such as foreign exchange receipt slips, foreign exchange settlement vouchers and capital transfer records. If they are missing or inconsistent, the tax refund progress will be seriously delayed.

### Answer 10

From the perspective of supply chain, the capital flow of agency export is a key link in the closed loop of the supply chain. If the payment is directly transferred to the factory, it will lead to the fracture of supply chain information, and the agency company cannot accurately grasp the payment arrival time, affecting follow-up logistics arrangements (such as booking and customs declaration).

In addition, the agency company cannot optimize supply chain costs through capital flow data, for example, it cannot adjust inventory strategies or negotiate logistics prices according to the foreign exchange receipt cycle. Standardized capital flow through the agency account can realize information collaboration of all links of the supply chain and improve overall operation efficiency.
