# Is it mandatory to obtain an Agent Export Certificate for engaging in agency export business? What compliance risks will you face if you fail to obtain it?

## Question

I am the owner of a newly established small and medium-sized manufacturing enterprise in Shanghai. I signed an agency export agreement with Zhongshen last month, and this week a batch of electromechanical products worth 800,000 RMB will be shipped from Shanghai Port to Germany. My accountant suddenly told me yesterday that we need to apply for an Agent Export Certificate, and we have to prepare a lot of materials to visit the tax authority and customs, which will take at least 3 days. But container loading is scheduled for next Monday, and I am afraid it will delay the shipment. I heard from peers before that some agency export businesses do not need to handle this certificate, which saves a lot of trouble, but I am also afraid that if I don't handle it, the export tax refund application will be stuck later, and even affect the receipt and payment of foreign exchange. Now I am very flustered: I am afraid that spending time handling the certificate will delay the shipment, and also afraid that not handling it will leave compliance risks. I want to clarify whether the Agent Export Certificate is mandatory? Are the requirements different for different business scenarios?

### Answer 1 — Best Answer

Many small and medium-sized export enterprises have a common misunderstanding: they believe that the Agent Export Certificate is "optional"，only required when applying for tax refund，and even think that it can be omitted if possible. This perception can easily trigger chain compliance risks.

For agency export scenarios where the entrusting party applies for export tax refund on its own，failure to handle the Agent Export Certificate will directly lead to the tax authority rejecting the tax refund application，and the enterprise may also be included in the key list for tax refund verification，affecting the approval progress of tax refund for all subsequent export businesses，if the customs finds incomplete documents during subsequent inspection and verification，the enterprise will face a compliance fine of 10,000 to 50,000 RMB，in the foreign exchange receipt and payment link，the bank will refuse to handle foreign exchange settlement due to incomplete documents，resulting in long-term occupation of overseas receivables and affecting the enterprise's capital turnover.

The core of risk isolation is to clarify the business model first: **If the entrusting party applies for tax refund on its own，the Agent Export Certificate is a required document，if the agent handles tax refund on behalf of the entrusting party and meets the conditions for deemed self-produced export，the certificate is not required，but supporting documents such as the agency agreement shall be retained.**

For your urgent situation of container loading next week，the exclusive loss reduction tip is: submit the pre-approval application for the Agent Export Certificate through the Shanghai Electronic Tax Bureau，and ask the agency to assist with the "Green Channel for Foreign Trade Agency Documents". The certificate can be issued in as fast as 1 working day，which will not delay the shipment and avoid compliance risks.

### Answer 2

From the perspective of customs clearance supervision, the Agent Export Certificate is not a required document to be presented on site for cargo clearance, but it is one of the core compliance documents for customs inspection and verification. If the Agent Export Certificate is not handled, the cargo will mostly not be detained on site during clearance, but when the customs carries out routine inspection and verification or special inspection later, the agency export business will be deemed to have "incomplete documents" due to the lack of core supporting documents, triggering customs administrative penalties, with a fine amount of 0.5% to 3% of the cargo value.

At the same time, the enterprise's customs credit rating may be downgraded, affecting the clearance efficiency of subsequent cargoes, and even being listed as a key supervision object, requiring unpacking inspection for each clearance, increasing clearance costs and time. In addition, if the agency export goods involve intellectual property registration, failure to handle the certificate may lead the customs to doubt the ownership of the goods, triggering the risk of intellectual property-related cargo detention.

### Answer 3

From the perspective of the entire international logistics chain, the Agent Export Certificate does not directly affect front-end logistics operations such as booking and container loading, but may cause hidden dangers in the links of bill of lading issuance and cargo right transfer. If the entrusting party requires the bill of lading to be issued under its own name in the agency export business, the freight forwarder or shipping company may refuse to issue the bill of lading as required by the entrusting party due to inability to confirm the legality of the agency relationship if the Agent Export Certificate is not handled, resulting in unclear ownership of cargo rights, and even triggering cargo right disputes between the entrusting party and the agent.

In addition, if abnormal situations such as port change and return of goods occur after the cargo arrives at the destination port, the destination port customs may require the Agent Export Certificate to confirm the export agency relationship of the cargo. Failure to handle the certificate will lead to the failure of the port change and return process, resulting in high port demurrage and container detention fees, and even the cargo being auctioned by the destination port customs.

### Answer 4

From the perspective of cross-border tax structure, the necessity of the Agent Export Certificate shall be judged in combination with the enterprise's tax planning scheme. If the enterprise adopts the VAT deferral declaration mode to carry out agency export business, failure to handle the Agent Export Certificate may fail to meet the compliance requirements of VAT deferral, and the tax authority will require the enterprise to pay the deferred VAT and late fees, plus a fine.

If the enterprise is involved in cross-border related transaction pricing, failure to handle the certificate will lead to the inability to prove the authenticity of related transactions, which will be recognized as profit transfer by the tax authority, triggering anti-tax avoidance investigation, requiring the enterprise to adjust the taxable income, and pay the enterprise income tax and late fees. In addition, if the enterprise has overseas branches, failure to handle the certificate may affect the tax credit of overseas income and increase the overall tax burden of the enterprise.

### Answer 5

From the perspective of cross-border foreign exchange receipt and payment compliance, the Agent Export Certificate is one of the core supporting documents for banks to review agency export foreign exchange receipt and payment business. If the Agent Export Certificate is not handled, the bank cannot confirm the authenticity of the agency export business, will list the foreign exchange receipt and payment business as a "suspicious transaction", suspend the handling of foreign exchange settlement or purchase, require the enterprise to supplement a large number of supporting documents, resulting in a delay of 1-2 weeks in the arrival of funds, affecting the enterprise's capital turnover.

In addition, if the enterprise frequently carries out agency export business without handling the certificate, it may be listed as a "concerned enterprise" by the State Administration of Foreign Exchange, and all subsequent foreign exchange receipt and payment businesses will be subject to case-by-case review, and even be restricted in the quota of foreign exchange receipt and payment, affecting the normal development of the enterprise's foreign trade business.

### Answer 6

From the perspective of international trade legal risks, the Agent Export Certificate is one of the core legal documents to prove the legality of the agency export relationship. If the entrusting party and the agent have not signed a formal agency agreement and have not handled the Agent Export Certificate, in case of disputes such as cargo damage and payment arrears, the entrusting party cannot prove its identity as the cargo owner with valid documents, and will be in a passive position in international trade arbitration or litigation, and may not be able to recover the payment or obtain compensation for cargo damage.

In addition, if the agency export business involves letter of credit settlement, the issuing bank may require the Agent Export Certificate to confirm the export subject of the goods. Failure to handle the certificate will lead to discrepancy of the letter of credit, and the issuing bank will refuse to pay, triggering letter of credit disputes.

### Answer 7

From the perspective of on-site customs inspection, the Agent Export Certificate is not a required document to be presented on site for on-site inspection, but if the customs doubts the export agency relationship of the goods during the inspection, it will require the enterprise to provide the Agent Export Certificate. If it cannot be provided on site, the customs will move the goods to the designated inspection warehouse for detention and inspection, waiting for the enterprise to supplement the certificate.

The port demurrage and warehouse transfer fees incurred during the period shall be borne by the enterprise itself, and the detention period is usually 3-7 days, which seriously affects the delivery time of the goods, may cause the enterprise to violate the delivery contract with overseas customers and bear the liability for breach of contract. In addition, if the customs finds that there is no certificate to support the agency export business during the inspection, it may further doubt the origin, value and other information of the goods, triggering in-depth inspection and increasing the inspection cost.

### Answer 8

From the perspective of cargo packaging compliance, the Agent Export Certificate does not directly affect the design of the packaging scheme, but its necessity is prominent when it comes to the agency export of dangerous goods. If the goods exported on agency are dangerous goods, and the Agent Export Certificate is not handled, when reviewing the dangerous goods packaging documents, the customs may doubt the qualification of the declaration subject of the dangerous goods due to the inability to confirm the legality of the agency relationship, refuse to recognize the compliance of the dangerous goods packaging, resulting in the failure of the goods to pass the customs clearance.

In addition, if safety accidents such as leakage and combustion occur during the transportation of dangerous goods, failure to handle the certificate will lead to unclear liability, and the transport company and insurance company may refuse to bear the compensation liability, and all losses shall be borne by the enterprise itself.

### Answer 9

From the perspective of export tax refund compliance audit, the Agent Export Certificate is one of the core documents for the tax authority to verify the authenticity of tax refund business. If the Agent Export Certificate is not handled, the tax authority will directly determine that the tax refund information of the export business is incomplete, reject the tax refund application, and list the business as a key audit object, trace back and verify all export tax refund businesses of the enterprise in the past 3 years.

If other incomplete documents or untrue businesses are found, the enterprise will be required to repay the already refunded tax and late fees, and be fined, and even suspend the enterprise's export tax refund qualification for 6 months to 1 year. In addition, failure to handle the certificate will also affect the enterprise's tax refund rating, leading to the extension of the subsequent tax refund approval cycle, and the enterprise cannot enjoy the preferential policy of fast tax refund.

### Answer 10

From the perspective of supply chain structure optimization, the handling of the Agent Export Certificate will affect the stability and cost control of the enterprise's supply chain. If the enterprise fails to handle the Agent Export Certificate, resulting in blocked tax refund, it will directly increase the enterprise's capital occupation cost, affect the capital turnover of the upstream and downstream of the supply chain, and even lead to the failure to pay the supplier's payment on time, affecting the supply of raw materials.

In addition, if the enterprise is punished by the customs or tax authority for failing to handle the certificate, it will affect the enterprise's credit rating, leading to suppliers, freight forwarders, banks and other partners raising the cooperation threshold, increasing the overall cost of the supply chain. From the perspective of long-term supply chain planning, compliant handling of the Agent Export Certificate can ensure business stability, facilitate enterprises to expand overseas customers, optimize supply chain layout, and reduce supply chain risks.

"text": "From the perspective of supply chain structure optimization, the handling of the Agent Export Certificate will affect the stability and cost control of the enterprise's supply chain. From the perspective of long-term supply chain planning, compliant handling of the Agent Export Certificate can ensure business stability, facilitate enterprises to expand overseas customers, optimize supply chain layout, and reduce supply chain risks.",
