# Is Forex Purchase and Settlement Mandatory for Entrepot Trade? What Are the Core Compliance Requirements?

## Question

I am the operator of a small and medium-sized enterprise in Shanghai specializing in Southeast Asian rubber entrepot trade. Last week, we finalized a natural rubber order of around 120,000 euros, which is purchased from Malaysia and re-exported to Germany. We used to entrust an agency company to handle the foreign exchange receipt and payment links, but this time we want to connect with the bank directly for the process. However, our finance department is uncertain: since the goods will not enter domestic ports throughout the whole process and will be transshipped and reloaded in Singapore directly, is forex purchase and settlement required in this case? Last week I heard that a peer company was interviewed by the State Administration of Foreign Exchange for non-compliant foreign exchange receipt and payment for entrepot trade, and its cross-border payment and receipt privileges were suspended for 3 months. I am very anxious now and afraid of crossing the compliance red line. In addition, do different entrepot trade modes (such as bill of lading endorsement vs bonded warehouse entrepot) have different requirements for forex purchase and settlement? Are there any easily overlooked details?

### Answer 1 — Best Answer

First of all，a common industry misconception should be corrected: many practitioners believe that forex purchase and settlement is not required for entrepot trade if goods do not enter the territory. This is a wrong perception that can easily trigger SAFE compliance alerts in 2026. Currently，SAFE is continuously intensifying the verification of foreign exchange receipt and payment for entrepot trade，and such operations will directly trigger system alerts.

If you fail to operate in accordance with regulations，you will first be listed as a "focused enterprise" by SAFE，and your cross-border foreign exchange receipt and payment privileges will be suspended. Some banks will even directly refuse to accept your business documents，resulting in delayed transfer of payment，which will further trigger negative chain reactions such as cargo detention at ports and claims from overseas customers. In serious cases，it will also affect the enterprise's credit rating，and you will not be eligible for cross-border trade facilitation policies for 3 years.

Differentiated risk isolation measures should be adopted for different entrepot trade modes: for **direct overseas entrepot trade**，if the currency for payment and receipt is the same and netting settlement is applicable，you can apply to the bank for net settlement，and full forex purchase and settlement is not required，for **domestic bonded warehouse entrepot trade**，you must go through forex purchase and settlement procedures in accordance with regulations，and ensure that documents are fully consistent with the capital flow.

Exclusive risk mitigation tips: Complete entrepot trade business filing with the local SAFE in advance，keep a full set of transaction documents (including upstream and downstream contracts，transshipment bills of lading，commercial invoices)，and ensure consistency of cargo flow，capital flow and document flow，to avoid joint verification by the customs and SAFE.

### Answer 2

Forex purchase and settlement requirements for entrepot trade are directly linked to the customs declaration method: if the "overseas entrepot declaration" mode is adopted, the goods will not enter China's customs territory throughout the whole process, and only an entrepot trade filing list needs to be submitted to the customs, without formal import declaration. In this case, netting settlement can be applied for forex purchase and settlement; if the "domestic bonded warehouse entrepot" mode is adopted, the goods enter the bonded supervision area, and bonded entry declaration is required.

At this time, forex purchase and settlement must be completed in accordance with regulations, and the value of goods on the customs declaration form must match the amount of foreign exchange received and paid. Please note that in 2026, the customs has realized real-time data networking with SAFE.

Inconsistency between customs declaration information and foreign exchange receipt and payment information will directly trigger joint verification. If no reasonable explanation can be provided, the goods may be temporarily detained in the bonded warehouse, affecting the subsequent entrepot process.

### Answer 3

The logistics route of entrepot trade directly affects the operational requirements for forex purchase and settlement: if the "direct transshipment entrepot" mode is selected, the goods are transported directly from the port of shipment to the port of destination, only reloaded at the transshipment port, and do not enter China's customs territory. At this time, "back-to-back" foreign exchange receipt and payment can be adopted for capital flow, and full forex purchase and settlement is not required; if the "bonded transshipment" mode is selected, the goods enter China's bonded logistics park, and logistics nodes need to be filed in the customs system.

At this time, forex purchase and settlement must be fully consistent with logistics documents, including the reloading certificate at the transshipment port, the warehouse receipt of the bonded warehouse, etc. Please note that in 2026, most transshipment ports have realized cross-border transmission of electronic reloading data, and the authenticity of logistics documents will be the core basis for SAFE verification. If the documents are inconsistent, it may lead to cargo detention at the port and incur demurrage charges.

### Answer 4

Forex purchase and settlement operations for entrepot trade need to be combined with tax planning needs: if the currency for foreign exchange receipt and payment of overseas entrepot trade is the same, netting settlement can be adopted, and full forex purchase and settlement is not required, so as to reduce exchange losses; if multi-currency transactions are involved, the balance between exchange difference and tax difference needs to be calculated in advance. In 2026, China has expanded the coverage of cross-border RMB settlement.

Entrepot trade settled in RMB can be exempted from handling fees for foreign currency purchase and settlement, and can also enjoy the preferential policy of cross-border tax deferral. Please note that the profit part of entrepot trade needs to be declared for enterprise income tax in accordance with regulations. If the profit cannot be accounted for normally due to failure to go through forex purchase and settlement, it may trigger tax adjustment by the tax authority, and you need to pay back the tax and late fee.

### Answer 5

In 2026, SAFE has implemented "classified supervision" for forex purchase and settlement requirements of entrepot trade: Class A enterprises can directly handle forex purchase and settlement with documents such as contracts and bills of lading, without additional filing; Class B enterprises need to submit business applications to SAFE in advance, and can handle the business only after passing the review; Class C enterprises need to submit documents for each transaction and accept on-site verification.

Please note that forex purchase and settlement for entrepot trade must meet the principle of "three flows consistency", that is, capital flow, cargo flow and document flow are fully matched. If the "collection and payment on behalf of others" mode is adopted, powers of attorney from upstream and downstream customers need to be provided, otherwise it will be identified as non-compliant foreign exchange receipt and payment, and the enterprise's cross-border foreign exchange receipt and payment privileges will be suspended.

### Answer 6

Forex purchase and settlement requirements for entrepot trade need to be clearly agreed in the contract: if the overseas entrepot mode is adopted, the contract shall indicate that "the goods will not enter the customs territory of the buyer's country", and specify the currency, method of foreign exchange receipt and payment, and conditions for netting settlement; if the domestic bonded entrepot mode is adopted, the contract shall specify the time when the goods enter the bonded warehouse, the entrepot period, and the time node for forex purchase and settlement. In 2026, China has included the contract clauses of entrepot trade into the scope of compliance verification.

If the relevant agreement on forex purchase and settlement is not clearly stated in the contract, SAFE may refuse to handle the foreign exchange receipt and payment procedures, which may also lead to contract disputes and you need to bear the liability for breach of contract. In addition, all transaction documents should be kept properly as the core basis for subsequent legal rights protection.

### Answer 7

Entrepot trade is not covered by export tax rebate, so forex purchase and settlement operations do not need to be linked to the export tax rebate process: if the forex purchase and settlement data of entrepot trade is mistakenly included in the export tax rebate declaration system, it will trigger an alert from the tax authority, resulting in the rejection of the export tax rebate application, and even affecting the enterprise's tax rebate credit rating. In 2026, the tax authority has realized real-time data sharing with SAFE and the customs, and the foreign exchange receipt and payment information of entrepot trade will be automatically synchronized to the tax rebate system.

Therefore, it is necessary to ensure that the labels of forex purchase and settlement are clear to avoid confusion with the foreign exchange receipt and payment data of general trade. Please note that the documents of entrepot trade, including contracts, bills of lading, foreign exchange receipt and payment vouchers, etc., need to be filed and kept separately for subsequent audit by the tax authority.
