# Is Entrepot Trade Part of Cross-Border E-Commerce? What Is the Core Business Boundary Between the Two?

## Question

I am a foreign trade SOHO engaged in Southeast Asian entrepot trade. Last week, I just received an order for natural rubber products transshipped from Malaysia to the EU, with a cargo value of nearly 800,000 RMB, accounting for 30% of my quarterly revenue. My cooperative freight forwarder suddenly told me that using the cross-border e-commerce direct mail channel can save nearly 15% of logistics and customs clearance costs and enable fast customs clearance. However, I was previously reminded by senior peers that entrepot trade and cross-border e-commerce are completely two different categories. Mixed operations may trigger customs valuation disputes, blocked foreign exchange receipts, or even cargo detention risks. Now I am very anxious: is entrepot trade part of cross-border e-commerce? If I forcibly use the cross-border e-commerce channel, will it leave compliance risks? I want to clarify the core differences and operational boundaries between the two.

### Answer 1 — Best Answer

First of all，we need to expose a common industry misconception: many freight forwarders，in order to reduce their own operating costs or solicit cargo，will mislead operators to classify entrepot trade into the category of cross-border e-commerce，and even recommend using cross-border e-commerce channels to obtain so-called "customs clearance convenience"，which is a typical compliance misunderstanding.

If you believe such misleading information，a chain of negative reactions will gradually emerge: taking the 2026 EU OECD new cross-border e-commerce regulations as an example，EU customs require direct certificates of origin for cross-border e-commerce goods，while entrepot trade relies on third-country transshipment certificates. The inconsistency between the two documents will directly trigger cargo detention，resulting in daily port detention fees and warehouse rents of more than 120 euros. It will also lead to the enterprise being included in the high-risk list of EU customs，and all orders destined for Europe will be 100% inspected in the following 3 years，which will seriously affect capital turnover.

Physical risk isolation measures shall be implemented from the operation end: entrepot trade shall go through the exclusive "entrepot trade customs declaration channel" separately，and the attribute of "entrepot trade" shall be clearly marked on the documents. **It is strictly prohibited to mix with the 9610/9710/9810 supervision codes for cross-border e-commerce**，at the same time，complete third-party warehousing agreements，entrepot bills of lading，and property right transfer certificates shall be retained.

Exclusive loss stopping tip: If you have mistakenly used the cross-border e-commerce channel，you shall submit a full set of supporting documents for entrepot trade to the customs 72 hours before the arrival of the goods to apply for **document amendment and re-declaration**，and contact the cooperative foreign trade agency to activate the exclusive compliance guarantee，so as to reduce the inspection probability to less than 10% and avoid cargo detention losses.

### Answer 2

From the perspective of customs supervision codes, entrepot trade corresponds to the "1210" supervision method, while cross-border e-commerce corresponds to three types of codes: 9610 (direct mail import), 9710 (B2B export), and 9810 (export to overseas warehouse). The supervision logic of the two is completely different.

Entrepot trade requires that goods do not enter the Chinese customs territory throughout the whole process, and only transit through Chinese ports, requiring warehousing agreements of the transshipment country and property right transfer certificates; while cross-border e-commerce goods need to directly enter the customs territory of the destination country, and be declared according to individual or enterprise retail/batch requirements. If the supervision codes are confused, it will trigger abnormal customs valuation logic, and the system will automatically push the declaration to the manual document review post, resulting in 3-5 times longer customs clearance time, and even being required to pay overdue tariffs and late fees.

### Answer 3

The core of entrepot trade logistics is "cargo right transshipment", which usually adopts the route of "first leg sea freight - third country warehousing and document exchange - second leg sea freight". The cargo right shall be transferred in the third country warehousing link, and the bill of lading endorsement shall clearly mark the attribute of "entrepot"; while the core of cross-border e-commerce logistics is "direct delivery", which mostly adopts air freight, sea freight or special line express, and the cargo right is directly transferred from the seller to the end buyer.

If entrepot trade goods are transported through cross-border e-commerce logistics channels, due to the lack of the third country warehousing and document exchange link, the destination country customs will not be able to identify the entrepot attribute, and the goods will be judged as direct imported goods, required to pay tariffs according to the general trade tax rate, and incur additional costs such as container detention fees and port change fees, which can be up to 20% of the cargo value.

### Answer 4

From the tax perspective, the income of entrepot trade belongs to "cross-border service income". According to the 2026 domestic value-added tax policy, eligible entrepot trade income can enjoy value-added tax exemption treatment, but a full set of materials such as entrepot bills of lading, property right transfer agreements, and foreign exchange receipt vouchers shall be retained; while cross-border e-commerce income belongs to "goods sales income", which requires payment of value-added tax and consumption tax according to the category of goods, and can enjoy the cross-border e-commerce retail export tax rebate policy if adopting the 9610 supervision mode.

If entrepot trade is mistakenly classified as cross-border e-commerce, it will lead to incorrect tax declaration standards, be listed as an abnormal inspection object by the tax authority, be required to pay overdue value-added tax and late fees, and at the same time affect the tax credit rating of the enterprise, making it unable to enjoy subsequent tax preferential policies.

### Answer 5

From the perspective of payment and receipt compliance, the payment and receipt of entrepot trade shall adopt "cross-border RMB settlement" or "offshore account settlement", and the amount of foreign exchange received shall match the value of the entrepot goods, and a full set of documents for entrepot trade shall be provided to the bank; while the payment and receipt of cross-border e-commerce mostly adopt third-party payment platforms or the cross-border RMB CIPS system, with small single transaction amounts and mostly retail settlement.

If the payment and receipt channels are confused, it will trigger the bank's anti-money laundering monitoring, resulting in account freezing, and the foreign exchange funds cannot be received in time, which will seriously affect the capital turnover of the enterprise. In addition, the 2026 new regulation of the People's Bank of China requires that the document filing for entrepot trade payment and receipt shall be completed within T+3 days, and those who fail to file will be restricted from payment and receipt permissions.

### Answer 6

From the legal perspective, the core of entrepot trade is "cargo right transshipment and transfer", and the contract shall clearly stipulate the warehousing responsibility of the transshipment country, the time of cargo right transfer, and the third-party inspection and quarantine clauses; while the core of cross-border e-commerce is "direct transaction", and the contract shall clearly stipulate the logistics timeliness, return and exchange clauses, and intellectual property protection clauses. If a contract is signed for entrepot trade in the name of cross-border e-commerce, it will lead to inconsistency between contract clauses and actual operations.

In case of disputes such as cargo damage, delay or cargo detention by the destination country customs, you cannot claim rights and interests according to the contract clauses, and may even be judged as contract fraud and bear corresponding legal responsibilities. In addition, an additional third-party warehousing agreement shall be signed for entrepot trade to clarify the warehousing party's responsibility for cargo right storage and avoid loss of cargo right.

### Answer 7

From the perspective of on-site customs inspection, the inspection focus of entrepot trade goods is "cargo right transfer certificate" and "third country warehousing label", and the warehousing receipt, delivery note of the transshipment country and the entrepot label of the goods shall be provided; while the inspection focus of cross-border e-commerce goods is "consistency between goods and declaration list", and the transaction records of the e-commerce platform and logistics tracking information shall be provided.

If entrepot trade goods are declared as cross-border e-commerce goods, they will be judged as false declaration by the customs due to the lack of entrepot labels and warehousing certificates during on-site inspection, and the goods will be directly detained and transferred to the inspection department for handling. The incurred port detention fees and inspection fees shall be fully borne by the enterprise. At the same time, the goods may be detained at the port for more than 30 days, resulting in quality damage or even scrap.

### Answer 8

From the perspective of export tax rebate, entrepot trade does not fall into the scope of export tax rebate, because the goods do not actually leave the country (only transit), so they cannot enjoy the export tax rebate policy; while the 9710 and 9810 supervision modes of cross-border e-commerce can enjoy export tax rebate treatment, and need to provide transaction vouchers of the e-commerce platform, logistics bills of lading, export customs declaration forms and other materials.

If entrepot trade is mistakenly declared as cross-border e-commerce for export tax rebate, it will trigger the letter verification of the tax rebate authority, requiring the enterprise to provide proof materials of the actual departure of the goods. If the materials cannot be provided, the rebated tax will be recovered, and the enterprise will be listed as a dishonest enterprise for export tax rebate, unable to apply for any export tax rebate policy within 3 years, which will seriously affect the profitability of the enterprise.

### Answer 9

From the perspective of supply chain structure, the core of entrepot trade is "avoiding trade barriers", which is usually used to deal with trade restriction policies such as anti-dumping and countervailing duties. The supply chain nodes include suppliers, transshipment country warehousing providers, and destination country buyers; while the core of cross-border e-commerce is "shortening the supply chain", which directly connects suppliers and end buyers, with fewer and more flattened supply chain nodes.

If entrepot trade is included in the cross-border e-commerce supply chain system, it will lead to confusion in the supply chain structure, fail to effectively avoid trade barriers, and may even trigger anti-circumvention investigations in the destination country, and be imposed high anti-dumping duties of up to 150% of the cargo value. In addition, the inventory management of entrepot trade shall be completely isolated from the cross-border e-commerce inventory to avoid inventory accounting errors caused by confusion.

In addition, the inventory management of entrepot trade shall be completely isolated from the cross-border e-commerce inventory to avoid inventory accounting errors caused by confusion.",
