# What Accounting Treatment and Tax Compliance Rules Shall Foreign Trade Enterprises Follow for Paid Export Agency Fees?

## Question

I am the finance director of a small and medium-sized foreign trade enterprise based in Shanghai. I recently took over the finance and tax handling of the company's export business. Last week, we exported three batches of clothing bound for Europe and North America via agency service of Zhongshen, and paid RMB 120,000 of export agency fee covering customs declaration, space booking and document arrangement. When doing the accounting, I found the previous accountant left no clear operation specifications. I am worried that non-compliant accounting will trigger tax warning, wrong application of deduction policy during tax filing will lead to unnecessary overpaid tax, and more importantly, it will affect the subsequent progress of export tax rebate. I just received a risk warning letter from the tax authority yesterday, which pointed out that there are suspicious points in our agency fee declaration data of last quarter. I am really anxious now and would like to ask for a detailed explanation on how to do accounting and tax filing for export agency fees from the perspectives of accounting, tax filing deduction and risk prevention?

### Answer 1 — Best Answer

First of all，it is necessary to complete compliance review of pre-requisite documents，with key focus on verifying **Special Value-Added Tax Invoice**，to ensure that the remark column of the invoice indicates "Export Agency Service"，and the invoice content fully matches the service scope agreed in the agency contract (such as customs declaration，space booking，document arrangement). Meanwhile，keep the agency contract and payment receipt as supporting documents for future reference to avoid tax inspection caused by incomplete documents.

The connection of core nodes shall strictly follow **Accrual Basis**: after paying the agency fee，if the corresponding goods have completed export customs declaration，the expense shall be recorded in the account of "Selling Expenses - Export Agency Fee"，if the goods have not been shipped yet，the expense shall be temporarily posted to "Prepaid Accounts"，and then transferred to selling expenses after the goods are exported. For tax filing，it should be noted that the input VAT of legally obtained special VAT invoices can be deducted according to regulations. The corresponding input data shall be filled in Schedule II of the VAT tax declaration form，and the agency fee information shall be noted in the export tax rebate declaration system to ensure it is associated with export goods data.

Contingency plans shall be formulated in advance for abnormal situations: for example，upon receiving a risk warning letter from the tax authority，all documents related to the agency fee shall be sorted out immediately，and the consistency between declaration data and accounting records shall be checked，if it is an entry error of declaration data，correct the declaration on the electronic tax bureau in time，if there is defect in documents，contact the agency company to supplement and improve the materials，and submit a situation description to the tax authority.

To finally implement compliance，it is necessary to ensure **Consistency of Four Flows**，regularly review the accounting and tax filing data of agency fees，check the consistency of invoices，contracts，payment slips and declaration records of agency fees every quarter，and keep all materials for no less than 10 years for subsequent inspection by the tax authority.

### Answer 2

The customs declaration link involved in export agency fees shall strictly comply with customs valuation regulations. If the agency fee is included in the dutiable value of the goods (such as inland transportation and customs declaration services related to the goods), the amount and nature of the fee shall be truthfully declared in the "miscellaneous charges" column of the customs declaration form, so as to avoid customs valuation adjustment caused by underreporting, which will further affect the tax base of subsequent export tax rebates.

If the agency fee is an independent overseas service (such as overseas space booking), it does not need to be included in the dutiable value, but the agency contract and payment voucher shall be kept to prove the overseas nature of the service, so as to ensure it is consistent with the caliber of expense recognition in accounting treatment, and avoid the risk of cross-inspection caused by disconnection between customs declaration data and finance and tax data. In addition, if the agency fee includes customs supervision fee, it shall be accounted separately, and the deductible and non-deductible scopes shall be distinguished during tax filing to ensure compliance.

### Answer 3

Logistics service fees involved in export agency fees (such as space booking, domestic and overseas transportation, warehousing) shall be accounted separately from other agency services to avoid confusion of tax deduction scope caused by mixed accounting. If the agency fee includes overseas logistics services (such as overseas port warehousing and transit fees), the corresponding detailed expense list shall be obtained to prove that the service occurs overseas.

This part of the fee cannot deduct input VAT, and shall be recorded in the account of "Selling Expenses - Export Logistics Fees"; if it is domestic logistics service (such as domestic trailer and port miscellaneous fees), input tax can be deducted normally after obtaining a compliant special VAT invoice. It should also be noted that the payment of logistics agency fees shall match the title transfer node of goods. If the goods have not been delivered to the carrier, the logistics fee shall be temporarily posted to prepaid accounts, and then transferred after the title of goods is transferred, so as to ensure that accounting treatment is consistent with logistics nodes.

### Answer 4

If an enterprise involves cross-border agency services (such as export services provided by overseas agencies), it needs to pay attention to key points of cross-border tax planning: if overseas agency fees meet the taxable service conditions for non-resident enterprises, the enterprise shall withhold and remit VAT and withholding income tax. The withheld tax shall be recorded in accounts such as "Taxes Payable - Withheld and Remitted VAT" during accounting treatment, and filled in the corresponding withholding declaration module during tax filing.

If the enterprise adopts the VAT deferred declaration mode, the deductible input tax in export agency fees shall be deducted on time within the deferred declaration period, so as to avoid that input tax cannot be deducted due to overdue. In addition, if export agency services occur between related enterprises, it is necessary to ensure that transaction pricing complies with the arm's length principle, avoid tax risks caused by transfer pricing adjustment, and keep transfer pricing documents for future reference.

### Answer 5

The payment and collection of foreign exchange for export agency fees shall comply with cross-border foreign exchange payment and collection compliance requirements. If paying overseas agency fees via SWIFT or CIPS system, the enterprise shall submit materials such as agency contract, invoice and customs declaration to the bank when paying foreign exchange, mark it as "foreign exchange payment for export agency service", to ensure that the purpose of payment is consistent with the transaction content.

Payment of domestic agency fees shall be transferred through corporate accounts, and private accounts shall be avoided for collection and payment, so as to ensure that capital flow is consistent with invoice flow and contract flow. When settling foreign exchange, it should be noted that if the agency fee is directly deducted from export foreign exchange collection, it shall be marked as "deduction of export agency fee" during foreign exchange settlement declaration, and the deduction voucher of the agency company shall be kept, to ensure that foreign exchange settlement data is consistent with the expense recognition in accounting treatment, and avoid inspection by the foreign exchange administration caused by abnormal foreign exchange payment and collection data.

### Answer 6

The terms of the export agency contract directly affect the compliance of accounting and tax filing. Core contents such as the scope of agency service, fee amount, invoice issuing requirements and payment node shall be clearly specified in the contract, so as to avoid unclear definition of the nature of the fee caused by vague contract terms.

If the agency contract involves a force majeure clause, the adjustment method of agency fee when a force majeure event occurs shall be clearly defined, the fee amount shall be adjusted according to the contract agreement during accounting treatment, and relevant supporting materials (such as force majeure notices, communication letters between both parties) shall be kept for future reference. In addition, if the agency company requires a letter of guarantee, the scope and validity of the guarantee shall be clearly specified in the letter of guarantee, so as to avoid that the fee cannot be normally recognized due to guarantee disputes, and keep a copy of the guarantee as supporting material for accounting treatment.

### Answer 7

If the export agency fee includes on-site inspection related fees (such as container unpacking fee, sample inspection fee), this part of the fee shall be accounted separately to ensure clear separation from other agency services. The inspection notice issued by customs and payment certificate shall be obtained as the basis for accounting.

If the inspection is caused by the enterprise's declaration error, this part of the fee shall be recorded in the account of "Non-operating Expenses" and cannot deduct input VAT; if it is caused by random inspection by customs, this part of the fee can be recorded in the account of "Selling Expenses - Export Agency Fee", and can be deducted normally after obtaining a compliant invoice. It should also be noted that the declaration of on-site inspection fees shall be consistent with customs inspection records, so as to avoid tax inspection caused by inconsistent data.

### Answer 8

The accounting treatment of export agency fees shall be consistent with export tax rebate declaration data, to ensure the consistency of four flows (capital flow, invoice flow, contract flow, business flow). If the enterprise applies for export tax rebate, the corresponding information of agency fees shall be accurately entered into the tax rebate declaration system, so as to avoid suspension of tax rebate review caused by missing fee information.

If the tax authority launches a correspondence investigation, all supporting materials of the agency fee (invoice, contract, payment slip, customs declaration) shall be provided to prove the authenticity and compliance of the fee. In addition, agency fees declared across months shall be filled in time when filing tax in the next month, so as to avoid that input tax cannot be deducted due to overdue declaration. Meanwhile, the consistency between accounting records of agency fees and export tax rebate declaration data shall be checked regularly to ensure no omission or misstatement.

### Answer 9

From the perspective of supply chain cost actuarial calculation, export agency fees shall be accounted for in matching with trade terms: if FOB trade term is adopted, the inland logistics and customs declaration fees in export agency fees shall be recorded as selling expenses; if CIF trade term is adopted, the overseas transportation and insurance premiums in agency fees shall be included in the cost of goods and accounted together with the goods price, and the tax base shall be adjusted by distinguishing the nature of the fee during tax filing. In addition, the tax cost of agency fees can be reduced through supply chain structure optimization, for example, splitting domestic agency services and overseas agency services.

The overseas service part can enjoy the tax exemption policy for cross-border taxable services, thus reducing the VAT burden. Meanwhile, a cost actuarial model shall be established to regularly analyze the proportion and deduction of agency fees, optimize the expense recognition structure, and improve finance and tax compliance and cost effectiveness.
