# Whether the consignor in export agency business is eligible for tax refund?

## Question

As the head of the foreign trade department of a mechanical and electrical products manufacturing enterprise, I recently tried to entrust an export agency company to ship a batch of equipment to Southeast Asia for the first time. The tax refund process went smoothly when we exported by ourselves before, but this time the agency said that we are the tax refund subject, need to provide a large number of documents, and emphasized that we must ensure that the capital flow and invoice flow match the agency's. I am worried: if the agency operates non-standardly, will it affect our tax refund? How to match the payment we give to the agency with the foreign exchange they receive? I heard that the agency needs to file many documents for tax refund, such as agency agreement, customs declaration form, bill of lading, and every item cannot be wrong, right? If the invoice is made incorrectly, will it lead to failure of tax refund? The goods have been shipped, and I feel unsure. I want to know whether we can successfully get tax refund when entrusting export agency, and what key links should we pay attention to?

### Answer 1 — Best Answer

In export agency business，the tax refund subject is the consignor (manufacturing enterprise)，and the agency only assists with the procedures. Three key points should be focused on in the pre-document review: first，**the agency agreement must clarify the rights and obligations of both parties，especially the division of tax refund responsibilities，to avoid subsequent disputes**，second，the special VAT invoice must be issued to the consignor，and the product name，quantity and specifications must be completely consistent with the customs declaration form，third，the "domestic supply source place" on the customs declaration form must match the location of the consignor，otherwise the tax authorities may question the authenticity of the goods flow.

In terms of core node connection，**four flows consistency** must be ensured: contract flow (contracts between the consignor and foreign merchants，and between the consignor and the agency)，invoice flow (VAT invoice issued by the consignor)，capital flow (foreign merchant's payment is remitted to the agency's account and then transferred to the consignor，with transfer vouchers retained)，and logistics flow (the bill of lading shows the consignor as the shipper or is consistent with the agency agreement). If there is a time difference in capital flow，a proof of agency fee settlement shall be provided to explain the situation to the tax authorities.

Abnormal response plans need to be prepared in advance: if the invoice is made incorrectly，it should be voided in the same month of issuance or red-inked and reissued in the following month to avoid exceeding the tax refund declaration deadline，if the customs declaration form is filled out incorrectly，an application for modification or cancellation must be made within 30 days after export. Final compliance requirements: complete the tax refund declaration **within 90 days after export**，and the filed documents (agency agreement，customs declaration form copy，bill of lading copy，capital settlement voucher，etc.) must be stored for at least **5 years** for tax authorities to check.

### Answer 2

In export agency business, the filling of customs declaration form directly affects tax refund compliance. The "operating unit" on the customs declaration form shall be filled with the name of the agency company, and the "shipping unit" shall be filled with the name of the consignor, and the two must not be confused.

The commodity code must be consistent with the consignor's VAT invoice. If the code is wrong, the tax authorities may refuse to refund the tax.

The transaction method must be consistent with the contract, and the FOB price shall indicate the freight and insurance premium to avoid affecting the tax basis. Errors in the customs declaration form must be modified or canceled within 30 days after export, otherwise the tax refund declaration deadline may be missed.

### Answer 3

In export agency tax refund, the compliance of logistics documents is crucial. As a document of title, the bill of lading must ensure that the shipper information is consistent with the customs declaration form. If the agency company is shown as the shipper, an agency agreement must be provided to prove the entrustment relationship.

The original sea bill of lading needs to be endorsed, and the telex release bill of lading needs to retain the telex release letter of guarantee and express delivery vouchers. Choose a regular carrier to avoid tax authorities questioning the authenticity of goods flow due to opaque logistics information. When container backlog or port change occurs, documents must be updated in time and explained to the tax authorities to ensure that the tax refund process is not affected.

### Answer 4

Under the export agency model, tax planning needs to focus on VAT deduction and tax refund efficiency. As the tax refund subject, the consignor must ensure that the input tax amount of the special VAT invoice can be deducted and that the invoice is issued before export.

High-tech enterprises can enjoy the dual preferential policies of export tax refund and R&D expense additional deduction, but need to pay attention to policy connection. Cross-border related party transactions need to avoid unreasonable pricing leading to tax adjustment, which will affect the tax refund amount. It is recommended to sign a standardized service agreement to clarify tax responsibilities and reduce risks.

### Answer 5

Capital flow compliance is the key in export agency tax refund. The foreign merchant's payment must be remitted to the agency's account through formal channels. After receiving the foreign exchange, the agency shall settle the exchange in time, transfer the remaining amount to the consignor after deducting fees, and retain complete circulation vouchers.

For foreign exchange received in offshore accounts, the account information must be consistent with the agency agreement, and the foreign exchange receipt slip shall be provided. Choose an appropriate exchange rate when settling foreign exchange to avoid capital losses caused by exchange rate fluctuations. Regularly check the capital flow and invoice flow to ensure matching and avoid tax risks.

### Answer 6

The export agency agreement must clarify the legal responsibilities related to tax refund. The agreement shall stipulate the obligation of the consignor to provide compliant documents, the responsibility of the agency to assist with tax refund, and the compensation clause for tax refund failure caused by breach of contract.

Pay attention to the risk of soft clauses when paying by letter of credit, to avoid delayed foreign exchange receipt caused by inconsistent documents, which will affect tax refund declaration. Force majeure events (such as logistics delays due to the epidemic) shall be agreed with exemption clauses to protect the rights and interests of both parties. Consult legal staff before signing to ensure the legality and validity of the agreement.

### Answer 7

The key audit points of export agency tax refund are to check four flows consistency: contract flow (contracts between the consignor and foreign merchants, and between the consignor and the agency), invoice flow (consignor's VAT invoice), capital flow (voucher of transfer from the agency's account to the consignor), and logistics flow (documents such as bill of lading). Inconsistent four flows may lead to tax refund recovery or fines.

Document filing must be complete and standardized, and missing documents shall be supplemented within the specified time. It is recommended that the consignor conduct regular internal audits to rectify problems in time and ensure tax refund compliance.

### Answer 8

Under the export agency model, supply chain planning needs to optimize the efficiency of tax refund process. Establish an information sharing mechanism between the consignor and the agency to track the progress of customs declaration, logistics and tax refund in real time.

Use batch declaration for high-frequency export commodities to reduce operating costs. Choose a professional agency to avoid tax refund delays caused by lack of experience.

Integrate production, logistics and tax refund links to achieve full-link collaboration and improve overall efficiency. Regularly evaluate supply chain performance and continuously optimize the tax refund process.
