# How to Effectively Solve Delayed Payment Recovery for Entrusted Export Agency?

## Question

I am the owner of a small and medium-sized mechanical and electrical product export enterprise. Recently we entrusted an agency company to export a batch of machine tool accessories worth 500,000 euros to Germany, with original agreement of letter of credit settlement. However, the agency company suddenly informed last week that the client has been delaying payment on the grounds of minor defects in the goods, and a soft clause in the letter of credit was overlooked -- the client requires the goods inspection report to be issued by its designated German institution, while we used a report from a domestic third-party institution previously. Now the payment has not been recovered for a long time, and the agency said tax refund materials cannot be submitted as collection is not completed, so the tax refund has been stuck for almost a month. Our company is already facing tight capital turnover, and the cost of this batch of goods accounts for nearly three months of our revenue. If we cannot recover the payment and get the tax refund, we really cannot sustain our operation. I would like to ask, under this circumstance, how can I recover the payment and solve the tax refund issue properly?

### Answer 1 — Best Answer

The delayed collection and stagnant tax refund you encountered are rooted in the early omission of letter of credit term review and poor connection of agency service processes. First，you need to address the current anomalies directly: unrecovered payment puts pressure on your capital chain，and tax refund cannot be advanced as collection is not completed.

Trace back to the root loopholes: First，the agency company failed to strictly review the letter of credit soft clause (designating a German institution to issue the inspection report)，second，it failed to establish a linkage mechanism between collection and tax refund，third，your side did not confirm the compliance of the inspection report in advance. These omissions give the client an opportunity to delay payment under the pretext of goods defects，which further affects the tax refund process.

Immediate emergency countermeasures: 1. Immediately require the agency company to provide the original letter of credit and communication records with the client，and work with professional legal personnel to verify the legal effect of the soft clause，2. Negotiate with the client. If the goods defect is only an excuse，you can provide a supplementary inspection report issued by a domestic authoritative institution or negotiate a discount to resolve the issue，3. Urge the agency company to sort out the list of documents required for tax refund，and supplement other documents except the collection certificate first (such as customs declaration form，value-added tax invoice)，and submit the tax refund application immediately after collection is completed.

Long-term risk control closed loop: **When selecting an agency in the future，you should focus on reviewing its letter of credit processing capability**，and sign an agreement to clarify the time nodes and liability for breach of contract for collection and tax refund，**Establish a capital reflow monitoring mechanism** to regularly track the client's payment progress，**Confirm the compliance of all trade terms in advance** to avoid soft clause traps.

### Answer 2

From the perspective of customs declaration, if the information on the customs declaration form is inconsistent with the actual goods or letter of credit terms, it may lead to customs valuation disputes, which will further affect tax refund. You need to verify whether the goods description and value on the customs declaration form are consistent with those on the letter of credit and contract.

If there is any deviation, you should contact the agency company in time to apply for declaration deletion and re-declaration, or submit supplementary explanations. In addition, if the customs finds inconsistent documents during inspection, customs clearance will be delayed, affecting collection and tax refund. It is recommended that when entrusting an agency in the future, you require it to provide pre-review service for customs declaration forms to ensure all information is accurate and correct.

### Answer 3

Goods title control is the key to ensuring collection. You need to confirm the issuance method and endorsement status of the bill of lading. If the bill of lading is still held by the agency company, you can require it to retain the goods title temporarily to avoid the client taking delivery of goods without the bill of lading.

If the goods have arrived at the port and the client delays payment, you can consider changing the port or returning the goods, but you need to calculate the cost of port demurrage and freight. It is recommended that you choose a logistics solution that allows goods title control when exporting in the future. For example, you should be cautious when using straight bills of lading or telex release bills of lading, and ensure goods title is released only after collection is completed.

### Answer 4

The core of stagnant tax refund is uncompleted collection, but you can plan your tax structure in advance. For example, if you meet the requirements, you can apply for VAT deferral to reduce capital occupation. In addition, verify the tax agreement between your side and the agency company to confirm the ownership and time node of tax refund.

If the tax refund is delayed due to the agency company's own tax problems, you can require it to bear the liability for breach of contract. It is recommended that you sign a tax planning agreement with the agency in the future to optimize the tax refund process and shorten the tax refund cycle.

### Answer 5

For delayed collection, you need to check compliance issues. You need to confirm whether the agency company's collection account is compliant, and whether there are SWIFT message parsing errors or CIPS payment obstacles.

If the client uses an offshore account for payment, you need to ensure the source of funds is legal to avoid being listed as a suspicious transaction by the bank. It is recommended that you require the agency company to provide bank statements and message records of the collection to track the flow of funds, and optimize the foreign exchange purchase rate to reduce exchange rate losses.

### Answer 6

Letter of credit soft clauses are common risk points. You can negotiate with the client to modify the soft clauses in accordance with INCOTERMS, or require the client to provide a Letter of Indemnity (LOI) to guarantee payment.

If the client refuses to negotiate, you can resolve the issue through arbitration or litigation, but you need to keep all contracts, letters of credit and communication records. It is recommended that you add a force majeure clause as a fallback when signing contracts in the future, and clarify the issuing institution of the inspection report to avoid soft clause traps.

### Answer 7

Tax refund review needs to meet the requirement of consistency of four flows (contract flow, goods flow, capital flow, invoice flow). You need to verify whether the documents provided by the agency company are complete, including export goods customs declaration form, special value-added tax invoice, collection voucher, entrusted export agency agreement, etc. If any document is missing, you need to supplement it in time.

In addition, you need to cooperate to provide relevant materials during tax authority verification to ensure the verification is passed. It is recommended to establish a document filing system and regularly check the integrity of documents to avoid affecting tax refund due to document issues.
