# How to Operate the Whole Process of Freight Payment, Customs Declaration Deduction and Compliant Bookkeeping under Export Agency Mode?

## Question

I am the foreign trade director of a factory mainly engaged in outdoor camping equipment in Shanghai. I just signed an export agency agreement with Zhongshen last month and arranged a shipment under FOB terms to Hamburg, Germany. Originally, we agreed with the overseas buyer that the freight would be paid by them, but last week the freight forwarder suddenly sent a notice urging me to pay the freight, saying that the buyer has lost contact, and we will incur port congestion charges and even cargo detention if we don't pay. I am really at a loss now! For my previous shipment under CIF terms, your operation specialist reminded me that freight should be accounted separately and cannot be mixed with payment for goods, otherwise it will affect export tax refund. But I do not know the difference of freight responsibility division and compliant handling under different trade terms, nor do I know how to deal with the emergency situation of the forwarder urging for third-party freight. I am afraid that any mistake will not only cause financial loss, but also affect subsequent cooperation and export tax refund.

### Answer 1 — Best Answer

First of all，in the pre-document review session，it is necessary to **accurately confirm the responsibility clauses of trade terms**: clearly specify the freight payment subject，payment schedule and default liability in the agency agreement and trade contract. For example，under FOB terms，it should be clearly stated that "ocean freight shall be fully paid by the overseas buyer，and the forwarder shall not demand payment from the domestic factory"，and the forwarder shall be required to provide a freight confirmation letter with the buyer as the basis for subsequent rights protection.

The connection of core nodes shall ensure the consistency of documents and processes: before shipment，the agent shall verify the qualification of the forwarder and the freight payment instruction. Under CIF terms，the agent and the contracted forwarder shall lock the validity of freight quotation to avoid temporary price increase，under FOB terms，the agent shall confirm the buyer's proof of freight payment to the forwarder before arranging customs declaration and shipment.

Emergency plans shall be prepared in advance: if the forwarder demands payment of third-party freight，the agent shall immediately issue the responsibility division document in the trade contract，and coordinate with the forwarder to start the "temporary cargo release + port congestion charge advance" plan to avoid cargo detention，if the buyer loses contact，the agent can resell the goods or transport them to an overseas warehouse through the agent's overseas cooperation channels to reduce losses.

For final compliant implementation，it is necessary to **strictly implement separate filing of documents**: all freight documents (invoices，quotations，payment vouchers) shall be accounted and managed separately from goods payment documents to ensure the consistency of four flows，so as not to affect export tax refund，all communication records shall be kept for more than 10 years to cope with subsequent tax or legal inspection.

### Answer 2

Under the export agency mode, freight customs declaration shall strictly match the transaction method corresponding to the trade terms: under FOB terms, ocean freight shall not be included in the total declared value of customs declaration, and only the remark "ocean freight is paid by overseas buyer" shall be filled in the "miscellaneous charges" column of the customs declaration; under CIF terms, ocean freight shall be separately listed in the "freight" column of the customs declaration, and the official ocean freight invoice issued by the forwarder shall be provided as the declaration basis.

If the freight declaration does not match the trade terms, the customs will initiate a price verification procedure, require additional evidence, and may even directly adjust the total declared value, affecting the base of export tax refund. In addition, for the duty-free without invoice mode in cross-border e-commerce comprehensive pilot zones, freight shall be separately counted as logistics cost and shall not be declared mixed with goods sales, otherwise it will trigger tax warning.

### Answer 3

In export agency, freight cargo title control shall be bound with logistics nodes: under FOB terms, it is necessary to ensure that the forwarder is designated by the overseas buyer and has formal qualification verified by the agent, and the forwarder shall be required to issue a written letter of "freight has been confirmed and paid by the buyer" to avoid the forwarder detaining the goods when no freight is received; under CIF terms, it is necessary to select contracted forwarders that have long-term cooperation with the agent, and lock the validity of freight quotation (usually 7-15 days) to avoid temporary price increase when shipping space is tight. If the overseas buyer refuses to pay the freight, we should immediately coordinate with the agent to start the emergency plan of "amending telex release bill of lading", transfer the cargo title to the overseas warehouse designated by the agent, avoid losses such as port congestion charges and cargo detention, and coordinate with the buyer to pay the freight through the agent's overseas cooperation channels.

### Answer 4

Under the export agency mode, tax planning of freight shall be combined with trade terms and enterprise qualifications: for general taxpayer enterprises, ocean freight paid under CIF terms can obtain special value-added tax invoices for input deduction, but it is necessary to ensure that the invoice title is the agency company (not the factory), and the amount is consistent with the freight amount on the customs declaration; under FOB terms, if the factory advances the freight, it needs to obtain the invoice issued by the forwarder with the title of the agency company, and then the agent issues a receipt of the advance fee to the factory, and the freight shall not be directly included in the factory's sales cost. In addition, for VAT deferral in the EU market, freight shall be separately included in cross-border logistics cost and listed separately in VAT declaration, so as to avoid mixing with goods sales and trigger inspection by EU tax authorities.

### Answer 5

In export agency, freight collection and payment shall strictly comply with cross-border payment compliance requirements: under CIF terms, the freight paid by the factory to the forwarder shall be settled through the agent's foreign exchange account, and shall not be directly paid from private account to private account, and the remark "ocean freight for export goods" shall be added when paying, and the forwarder's freight quotation, manifest, bill of lading and other documents shall be kept; under FOB terms, if the overseas buyer pays the freight through the agent's account, the remark "advance ocean freight" shall be added when collecting foreign exchange, and the freight shall be accounted separately from goods payment, and shall not be settled mixed with goods. In addition, if the CIPS RMB cross-border payment system is used to pay freight, it is necessary to ensure that the forwarder has the qualification for RMB account settlement, and the trade terms and cargo information are clearly marked in the payment instruction, so as to avoid being judged as abnormal transaction by the bank and having the account frozen.

### Answer 6

Under the export agency mode, the division of freight responsibility shall be clearly agreed in the contract: it shall be clearly specified in the agency agreement that "the payment subject of freight is consistent with the trade terms", and the "liability clause for forwarder's breach of contract and cargo detention" shall be added.

If the forwarder detains the cargo due to non-payment of freight by a third party, the agent shall bear the coordination responsibility, and if necessary, the agent shall advance the freight to avoid port congestion loss; the trade contract shall clearly specify the payment time of freight (such as "payment within 3 working days after bill of lading issuance"), default clause (such as "0.5‰ of the freight shall be paid as penalty per day for overdue payment"), and also agree that if the buyer refuses to pay the freight, the seller has the right to suspend the shipment of subsequent orders. In addition, all written communication records related to freight (such as emails, WeChat messages, official letters) shall be kept as evidence for subsequent rights protection.

### Answer 7

Under the export agency mode, the filing of freight documents directly affects the compliance of export tax refund: under CIF terms, the freight documents to be filed include the official ocean freight invoice issued by the forwarder, freight quotation, manifest, and copy of bill of lading, and the invoice amount must be completely consistent with the freight amount on the customs declaration, no difference is allowed; under FOB terms, the certificate of freight paid by the overseas buyer (such as bank slip, payment confirmation issued by the forwarder) shall be filed to prove that the freight is paid by the buyer, so as to avoid the tax authority including ocean freight in the export sales amount and affecting the tax refund base.

In addition, all freight documents shall be kept together with other export tax refund documents (such as customs declaration, special value-added tax invoice) for more than 10 years. If complete documents cannot be provided, the tax authority will reject the tax refund application, and may even require the repayment of the already refunded tax.

### Answer 8

Under the export agency mode, freight cost control shall be combined with the overall layout of the supply chain: for long-term cooperative overseas customers, you can negotiate with the agent to sign an "annual freight package agreement" to lock the annual ocean freight price, avoiding freight increase caused by tight shipping space and fuel price fluctuations; for orders with different trade terms, you can optimize costs by adjusting trade terms, for example, changing FOB terms to EXW terms to completely transfer freight responsibility to the buyer, or changing to CIF terms to reduce freight cost through the agent's bulk bargaining advantage. In addition, you can use the agent's overseas warehouse resources to transport goods to overseas warehouses in advance, and adopt "local delivery" to reduce terminal freight cost, shorten delivery cycle and improve customer satisfaction.
