# Must Export Proceeds Be Paid to the Agent’s Account?

## Question

I am the owner of a small and medium-sized enterprise specializing in women’s apparel exports. This year, we just partnered with Zhongshen on our first U.S. order. The client said they would pay the $150,000 proceeds directly to the agent’s account, and I’m feeling anxious—this is our first time collecting payments through an agent, and I’m worried the agent might embezzle the funds, or offer an exchange rate lower than the market rate when settling foreign exchange. I’m even more concerned that this could affect our future export tax rebates. We’re already operating on thin margins on this order, and if we run into funding issues or delayed tax rebates, the company could lose a significant amount. I’d like to ask: is it safe to pay proceeds to the agent’s account? What steps can I take to safeguard my funds?

### Answer 1 — Best Answer

Many export enterprises fall into the trap of “only looking at price while ignoring qualifications” when selecting an agent—failing to verify whether the agent has an independent foreign exchange settlement account or fund custody qualification. In such cases，if the agent embezzles the collected proceeds for other projects，the enterprise will be unable to settle foreign exchange in a timely manner. After the goods arrive at the port，insufficient funds will prevent payment of container detention fees and terminal charges，leading to risks of port detention or even customs auction of the goods.

To isolate such risks，enterprises need to take physical fund locking measures: first，sign a tri-party fund supervision agreement with the agent and the client，clarifying that proceeds must be deposited into a bank-regulated account and can only be used to pay goods-related expenses (such as logistics and customs declaration) or be settled to the enterprise’s account，second，require the agent to provide a fund custody certificate issued by the bank，ensuring that funds in the account are supervised by the bank and the agent cannot withdraw them at will.

Exclusive risk-mitigation tips include: after each proceeds deposit，the agent must provide the enterprise with a bank slip and fund arrival notice within 24 hours，enterprises can check the payment status in real time through the CIPS system，and if abnormal fund flow is found，immediately apply to the supervising bank to freeze the account，in addition，include a clause in the agency agreement stating “double compensation for fund embezzlement” to increase the agent’s default cost.

### Answer 2

From the customs declaration perspective, the flow of proceeds must match the operating unit listed on the customs declaration form. If the agent company is the operating unit on the customs declaration form, proceeds must be paid to its account; otherwise, the customs may determine that the capital flow does not match the goods flow, leading to suspended customs declaration forms or inability to obtain tax rebates.

Enterprises need to ensure that the agent accurately fills in the foreign exchange collection account information when declaring customs, and retain payment vouchers for customs verification.

### Answer 3

After proceeds are deposited into the agent’s account, the ownership of the goods must be confirmed simultaneously. If the agent holds the bill of lading, the enterprise should require the agent to endorse and transfer the bill of lading immediately after receiving the proceeds, to avoid loss of goods ownership due to delayed delivery of the bill of lading by the agent.

At the same time, choose direct shipping options to reduce transit links and lower the risk of goods ownership transfer.

### Answer 4

Agent collection of proceeds will affect the handling of export tax rebates. According to tax regulations, tax rebates must meet the requirement of consistency of four flows (contract flow, goods flow, capital flow, and invoice flow).

Enterprises need to sign an agreement with the agent to clarify the nature of the entrusted collection, and require the agent to provide a fund arrival certificate to ensure consistency between the capital flow and the invoice flow, avoiding tax rebate investigations.

### Answer 5

Collecting foreign exchange through an agent must comply with foreign exchange management regulations. The agent must have foreign exchange settlement qualifications, and enterprises should verify the authenticity of its foreign exchange account and require the agent to use the CIPS system for payment, so as to track the fund flow in real time.

When settling foreign exchange, real trade contracts and customs declaration forms must be provided to ensure compliant foreign exchange settlement.

### Answer 6

Enterprises should sign a tri-party agreement with the agent and the client, clarifying the payment path, arrival time, foreign exchange settlement method, and liability for breach of contract. The agreement must stipulate that the agent shall not embezzle the proceeds, otherwise bear double compensation liability, and may designate a third-party bank as the fund supervisor.

### Answer 7

From the perspective of tax rebate audits, agent collection of proceeds requires retaining a complete document chain, including agency agreements, tri-party payment agreements, bank slips, foreign exchange settlement vouchers, etc., for tax investigation purposes. Abnormal capital flow (such as delayed arrival or mismatched amount) may lead to delayed tax rebates or refusal of tax rebates.

### Answer 8

In supply chain planning, when choosing an agent to collect proceeds, enterprises need to evaluate costs and risks. Enterprises can compare the fund custody fees, foreign exchange settlement exchange rates, and service efficiency of different agents to select the optimal solution.

At the same time, establish a fund early warning mechanism, and immediately start the emergency plan if the proceeds arrive more than 3 days beyond the agreed time.

### Answer 9

Compliant packaging can avoid port detention caused by failed cargo inspection, which in turn affects proceeds collection. Enterprises need to ensure that the packaging complies with the destination country’s standards (such as U.S. FDA certification), to avoid customers refusing to pay proceeds due to packaging issues, and indirectly safeguard fund safety.
