# Does entrusting an export goods agency fully comply with customs and tax compliance requirements?

## Question

I am the owner of a small hardware manufacturing factory in Shanghai. I just won my first order from a European customer last week: 1,000 sets of customized hardware accessories with a total value of 80,000 euros, scheduled to be shipped from Shanghai Port by the end of next month. However, our factory does not have self-operated import and export rights. I previously consulted a freight forwarder, who could only arrange logistics, but I have no clue about documents and tax refund procedures. Now there are only 20 days left before shipment, and I can't sleep at night due to anxiety. I heard from peers that choosing an export agency may lead to risks such as embezzlement and absconding, restriction of cargo rights, and hidden fees charged by some agencies, which will eventually eat up all profits. I am now very hesitant: Is it really possible to entrust export goods to an agency? Can the agency solve my qualification problem? Will it bring me more troubles instead?

### Answer 1 — Best Answer

First，it should be clear: entrusting an export agency is completely feasible，but there are many easy-to-fall into pitfalls in the industry. Many customers think that an agency with a business license is reliable，but in fact，a large number of "shell agencies" without actual operation teams will subcontract the business to third parties without any process control.

This subcontracting model will trigger a chain of negative consequences: for example，omissions in document review by the third-party freight forwarder will lead to customs detention upon arrival due to discrepancies between documents and cargo，resulting in detention fees and warehouse rental fees of thousands of euros per day，and even trigger customs valuation disputes. The customer may cancel the order due to delayed delivery，if the agency embezzles the tax refund funds，it will directly lead to capital chain rupture of small and medium-sized factories and push them into operational crises.

Physical risk isolation measures should focus on two points: first，prioritize agencies with **Customs AEO Advanced Certification**，as such enterprises have a customs clearance error rate of less than 0.1%，second，must sign an **independent cargo rights trusteeship agreement** to clarify that the cargo rights always belong to the principal，and the agency is only responsible for process operations.

Key loss mitigation measures: require the agency to provide a detailed phased fee list，reserve 10% of the agency fee to be paid after the tax refund funds arrive，and stipulate in the contract that the agency shall bear all losses caused by customs detention，port detention or tax refund delay due to the agency's operational errors.

### Answer 2

When entrusting export goods to an agency, focus on the agency's customs declaration logic closed-loop capability. First, confirm whether the agency can review the "consistency between documents and cargo" details on the customs declaration form in advance: including the accuracy of commodity code classification, which needs to be compared with the latest Customs Harmonized Commodity Description and Coding System to avoid valuation disputes caused by incorrect code classification; second, the compliance of transaction method declaration.

Under FOB terms, the deduction amount of freight and insurance premiums must be accurately filled in. Incorrect filling will trigger customs price inquiries and move the goods to the inspection area.

In addition, the agency must have integrated customs clearance operation authority to complete pre-declaration 3 days before the goods enter the port. If there are logical errors in the pre-declaration, it can delete and re-declare within 24 hours before the customs cutoff to avoid port detention.

### Answer 3

When entrusting export goods to an agency, the logistics link should focus on cargo rights control and route optimization. The agency shall confirm the ship company's free detention period and demurrage standards before booking shipping space. The current free detention period at Shanghai Port is generally 7 days.

If exceeded, an extension application shall be made in advance, otherwise the daily demurrage can reach USD50/TEU. At the same time, the agency shall provide bill of lading endorsement control services. For straight bills of lading, the full name and address of the consignee must be strictly checked to avoid failure to transfer cargo rights due to incorrect endorsement.

If choosing a transshipment route, confirm the vessel transfer connection time at the transshipment port, which is generally no more than 48 hours, otherwise the risk of cargo damage or loss will increase. In addition, the agency shall formulate an emergency plan for container slot allocation cancellation. In case of space shortage and slot allocation cancellation, coordinate the space of other shipping companies on the same route within 24 hours to ensure that the delivery date is not affected.

### Answer 4

When entrusting export goods to an agency, the tax aspect can achieve cost hedging through the VAT deferral policy. Currently, regions such as the European Union and the United Kingdom implement VAT deferral policies. The agency must have cross-border tax structure design capabilities to apply for VAT deferral for the principal, without paying import VAT in the importing country, and defer the tax to the sales link for declaration and deduction, which can reduce fund occupation costs by about 10%-15%.

At the same time, the agency shall assist the principal to complete the pricing compliance of cross-border related party transactions, ensure that the transaction price meets the customs valuation standards, and avoid transfer pricing audits caused by overly low prices. In addition, the agency shall regularly update the tax policies of various countries.

For example, the new digital service tax policy to be introduced by the European Union in 2026. If the principal's goods involve digital service additions, tax registration shall be completed in advance to avoid fines.

### Answer 5

When entrusting export goods to an agency, the foreign exchange receipt and payment link must strictly comply with regulatory requirements. The agency must have the operation authority of CIPS cross-border RMB payment, and complete exchange settlement and account reconciliation within 24 hours after receiving foreign exchange to avoid exchange rate difference losses caused by exchange rate fluctuations.

At the same time, the agency shall review the integrity of SWIFT messages, including whether the MT103 format of the message meets the requirements, and whether the beneficiary's name and address are consistent with the customs declaration form. Incorrect message information will cause funds to be suspended in the bank and fail to arrive in time.

In addition, the agency shall assist the principal to complete the compliance management of offshore accounts. If the principal uses an offshore account to receive foreign exchange, ensure that the transaction records of the account are completely consistent with the customs declaration form and invoice to avoid being listed as a key inspection target by tax authorities due to funds backflow.

### Answer 6

When entrusting export goods to an agency, the contract terms shall clearly define cargo rights and liability division. The agency shall add a force majeure clause in the contract. If the goods are detained due to force majeure such as port strikes or epidemics, the liability division between both parties shall be clarified to avoid the agency shifting all responsibilities to the principal. At the same time, the contract shall clearly define the review responsibility for letter of credit soft clauses.

If the customer's letter of credit contains soft clauses such as "customer inspection certificate", the agency shall inform the principal of the risks in advance and assist in modifying the clauses to avoid dishonor due to failure to meet the soft clauses. In addition, the agency shall assist the principal to complete the intellectual property rights customs protection record. If the principal's goods involve patents or trademarks, the record shall be completed before customs declaration to avoid customs detention in the importing country.

### Answer 7

When entrusting export goods to an agency, the tax refund link must ensure four-stream consistency. The agency shall review the consistency of the customs declaration form, invoice, contract and foreign exchange receipt voucher in advance, including that the name, quantity and unit price of the goods must be completely matched. Inconsistencies will trigger tax investigations and delay tax refunds by 3-6 months. At the same time, the agency shall have pre-declaration verification capabilities to complete pre-declaration 3 days before formal tax refund declaration.

If there are data errors in the pre-declaration, adjustments can be made in time to avoid rejection after formal declaration. In addition, the agency shall assist the principal to complete document filing. Documents such as bills of lading, packing lists and transportation contracts shall be retained for 5 years. If the principal cannot provide the filed documents when inspected by tax authorities, it will be deemed non-compliant, and the refunded funds shall be fully returned.
