# In normal compliant export operations, should the tax refund be paid to the manufacturing enterprise or the entrusted foreign trade agent?

## Question

I am the owner of an electromechanical equipment manufacturing enterprise in Shanghai. This is the first time I entrust a foreign trade agent to handle exports. Last week, I just shipped a batch of electromechanical products worth 800,000 yuan to Hamburg, Germany through Zhongshen. Today, the finance staff of my company suddenly came to me and asked whether the export tax refund for this business should be paid to our factory or your agency company. I was completely confused at once. I heard from peers before that some non-standard agents withhold tax refunds and refuse to transfer them. Now I am very anxious, afraid that I will not get this tax refund of more than 100,000 yuan, which will affect the capital turnover of the factory. Moreover, when I checked the documents just now, I found that the title of the procurement contract for this batch of goods is slightly different from the title on the customs declaration form. Will this cause problems with the ownership of the tax refund? Can you explain it to me clearly as soon as possible?

### Answer 1 — Best Answer

First of all，we need to clarify a common industry misunderstanding: many manufacturing enterprises mistakenly believe that when entrusting an agent to export，the tax refund must belong to the agency company，or the ownership can be determined only by oral agreement，which is a huge cognitive error.

If you fall into this misunderstanding，a chain of negative reactions will follow: first，if the agency contract does not clearly agree on the ownership of the tax refund，disputes between the two parties are very likely to arise，resulting in the tax refund being temporarily withheld by the agent after it arrives，which directly squeezes the working capital of the manufacturing enterprise，if there is also inconsistency in the four flows，the tax authority will directly suspend the tax refund approval，even launch a tax letter verification，and in serious cases，it will be identified as illegal operation. Not only will the tax refund be lost，but also late fees and fines may be incurred，which will affect the tax credit rating of the enterprise.

Physical risk isolation requires two steps: first，**clearly agree in the agency contract that the tax refund belongs to the entrusting party (manufacturing enterprise)**，and mark the time limit for transfer after the tax refund arrives in the account，second，strictly ensure **four-flow consistency** (contract flow，capital flow，goods flow，invoice flow)，and correct inconsistent document information in time.

Exclusive loss-stopping tips: Require the agency company to synchronize the full progress of the tax refund approval in advance，and keep all communication records and document copies related to the tax refund. If the agent delays the transfer，you can file a complaint for rights protection to the tax authority or industry association based on the contract and relevant records.

### Answer 2

From the perspective of customs declaration compliance, the ownership of tax refund is directly related to the "operating unit" on the customs declaration form, but this is not the only criterion for judgment. If the operating unit on the customs declaration form is the foreign trade agency company, the tax system will initially point to the agency as the tax refund object, but the actual ownership needs to be determined in combination with the formal entrusted export agency agreement.

If the entrusted manufacturing enterprise wants to obtain the tax refund, it needs to ensure that the "consignor" on the customs declaration form is marked as the manufacturing enterprise, and at the same time, the agency company shall submit the Certificate of Agent Export Goods to the tax authority. If the customs declaration title is inconsistent with the procurement contract title, you need to apply to the customs to modify the relevant information of the customs declaration form before the tax refund declaration, so as to avoid blocked tax refund review caused by inconsistent documents, even being identified as false customs declaration by the tax authority, which will affect the export tax refund credit rating of the enterprise, and the tax refund approval of all subsequent export businesses will be strictly supervised.

### Answer 3

From the perspective of cross-border tax compliance, the core of the ownership of export tax refund depends on the main body of value-added tax payment obligation. As the manufacturer of goods, the manufacturing enterprise is the taxpayer of value-added tax. If it entrusts an agent to export, as long as it conforms to the principle of "who exports, who collects foreign exchange, who gets tax refund" and the four flows are consistent, the tax refund shall belong to the manufacturing enterprise.

If the enterprise adopts the buyout agency model, that is, the agency company buys out the goods and then exports them, the tax refund belongs to the agency company at this time, but under this model, the manufacturing enterprise needs to issue a special value-added tax invoice to the agency. If there is inconsistency in the four flows, the tax authority will identify it as a violation, suspend the tax refund approval, the enterprise needs to pay back the already refunded tax, and may incur fines, while affecting the tax credit rating of the enterprise, which in turn affects the financing and other tax-related businesses of the enterprise.

### Answer 4

From the perspective of cross-border foreign exchange receipt and payment compliance, the ownership of export tax refund is directly related to the trend of capital flow. If a manufacturing enterprise entrusts an agent to export, it is necessary to ensure that the received foreign exchange finally flows to the manufacturing enterprise, or clearly specify in the agency contract that the agent only acts as a channel for foreign exchange receipt and payment, and the funds finally belong to the manufacturing enterprise. If the received foreign exchange funds directly enter the account of the agency company and are not transferred in time, the tax authority may identify the agent as the actual export subject, and the tax refund belongs to the agent.

In addition, it is necessary to ensure that the source of funds during foreign exchange settlement is consistent with the export goods on the customs declaration form, so as to avoid disputes over tax refund ownership caused by inconsistency between capital flow and goods flow. If there is a delay in fund transfer, relevant communication records and transfer vouchers shall be kept as the basis for subsequent rights protection, and reported to the foreign exchange administration department in time to avoid being identified as illegal foreign exchange receipt and payment.

### Answer 5

From the perspective of export tax refund compliance audit, the core of judging tax refund ownership is the verification result of "four-flow consistency". If the contract flow (entrusted agency contract), capital flow (foreign exchange receipt transfer record), goods flow (customs declaration form, freight bill of lading), invoice flow (special value-added tax invoice) all point to the manufacturing enterprise, the tax refund shall belong to the manufacturing enterprise. If there is inconsistency in any link, such as the invoice title is inconsistent with the operating unit of the customs declaration form, the tax authority will launch a letter verification procedure, suspend the tax refund approval, or even refuse the tax refund.

During the audit, the clauses on tax refund ownership in the agency contract and the transfer vouchers after the tax refund arrives in the account will be focused on. If an enterprise wants to ensure that the tax refund belongs to itself, it shall require the agency company to cooperate in the pre-audit of documents before entrusting the agency, and keep copies of all documents to avoid disputes over tax refund ownership caused by missing or inconsistent documents.

### Answer 6

From the perspective of international trade law, the ownership of export tax refund shall first be subject to the agreement in the entrusted agency contract. If the contract does not have a clear agreement, according to the provisions on entrustment contracts in the Civil Code, the property obtained by the entrusted party (agency company) for handling entrusted affairs shall be transferred to the entrusting party (manufacturing enterprise). Therefore, even if there is no agreement in the contract, the tax refund shall belong to the manufacturing enterprise.

However, in order to avoid disputes, it is necessary to clearly agree on the ownership of the tax refund, the time limit for transfer after arrival, liability for breach of contract and other clauses in the agency contract. If the agency company withholds the tax refund, the manufacturing enterprise can file a lawsuit in the court based on the agency contract, customs declaration form, foreign exchange receipt record and other evidence, requiring the agency company to return the tax refund and bear the penalty for overdue transfer. At the same time, you can complain to the industry association or commercial department to protect your legitimate rights and interests.

### Answer 7

From the perspective of supply chain structure, the ownership of export tax refund will directly affect the capital cost and supply chain operation efficiency of enterprises. If you choose the entrusted agent export mode and clearly define the tax refund ownership as the manufacturing enterprise, you can reduce the capital occupation of intermediate links, improve the capital turnover rate, and relieve the capital pressure in the production link.

If you choose the buyout agency mode, the tax refund belongs to the agency company, and the manufacturing enterprise can quickly recover funds, but it needs to bear a certain price discount, which compresses the profit margin of the product. Enterprises need to choose the appropriate mode according to their own capital status, supply chain layout and profit objectives: if capital is tight, you can give priority to the buyout agency to recover funds quickly; if you pursue long-term capital efficiency, you should choose the entrusted agency mode, clarify the ownership of tax refund, ensure stable capital return, and optimize the cost control of each link of the supply chain.
