# Which is More Compliant in Agency Export: Factory Direct Collection or Agency Collection?

## Question

I am the owner of a garment export factory. I recently signed an agreement with an agency company to explore the European market, but I am struggling with whether to let my factory directly receive Euro payment from the client or let the agency collect it on my behalf. I heard from a peer before that a factory was put under a 3-month correspondence investigation by the tax bureau because of wrong collection subject, the tax refund was delayed for a long time, and they almost got fined. That makes me really worried. Besides, the client requires a 30-day payment term. If the agency collects the payment, will they take away part of the profit from exchange rate difference? If I collect it by myself, what procedures do I need to complete at the State Administration of Foreign Exchange? Will it affect the progress of export tax refund? I hope to get professional advice to help me choose a collection method that is both compliant and cost-effective.

### Answer 1 — Best Answer

The choice of collection subject in agency export directly affects compliance and tax refund efficiency，and should be judged comprehensively based on actual business conditions. If the principal collects foreign exchange by itself，although it can directly control capital，it is prone to inconsistency of four flows (contract，invoice，logistics，capital flow)，which leads to an increase of more than 30% in the probability of tax refund correspondence investigation，and even suspension of tax refund qualification. In addition，self-collection requires advance filing at the State Administration of Foreign Exchange，provision of full set of documents including agency agreement，export contract，customs declaration，etc。and confirmation that capital is directly remitted from overseas to the principal's account without third-party transfer，otherwise it may be identified as abnormal foreign exchange collection.

Collection by agency company can effectively avoid the above risks. As the operating unit listed on the customs declaration，the agency's direct collection can naturally meet the requirement of consistency of four flows，reduce the probability of tax correspondence investigation，and shorten the average tax refund cycle by about 15 days. In terms of exchange rate difference，formal agency companies settle at real-time exchange rate，and exchange difference loss is usually controlled between 0.1%-0.3%，far lower than the compliance cost that may be caused by self-collection. If the principal worries about capital safety，it can clearly stipulate the transfer time limit after collection (e.g. T+3) in the agency agreement，and require the agency to provide bank statement vouchers.

It should be noted that if you choose a third-party collection platform，you must confirm that the platform has the operating qualification for foreign exchange business，so as to avoid capital freezing or inability to settle exchange caused by non-compliant platform. In addition，no matter which collection method you choose，you need to keep complete capital chain vouchers (such as bank receipts，transfer records) for inspection by tax and foreign exchange regulatory authorities. On the whole，for small and medium-sized export enterprises，prioritizing collection by agency company is a more secure solution，which can not only improve tax refund efficiency，but also avoid compliance risks.

### Answer 2

The collection subject of agency export needs to be consistent with the operating unit on the customs declaration. If the operating unit is the agency company but the collection subject is the factory, it may cause customs to question the ownership of the goods and trigger inspection.

Especially for high-value goods, customs will focus on verifying the matching of capital flow and goods flow. It is recommended to clarify the collection subject before customs declaration, and note the relevant agency relationship in the remark column of the customs declaration, to avoid goods detention or delayed customs clearance caused by inconsistent information.

### Answer 3

Although there is no direct correlation between the collection subject and the consignee information on the bill of lading, if the agency company is the collection party, it needs to ensure that the notifier or shipper information on the bill of lading is consistent with the agency agreement.

If the principal collects foreign exchange by itself, it needs to inform the logistics provider in advance to avoid subject confusion during bill of lading endorsement, which affects the transfer of goods ownership. In addition, if delayed collection leads to failure to pay logistics fees in time, it may incur container detention fees or warehouse storage fees, it is recommended to choose a collection subject with high capital turnover efficiency.

### Answer 4

From the tax perspective, the collection subject of agency export needs to match the issuer of the special value-added tax invoice. If the factory collects foreign exchange directly, but the invoice is issued by the agency company, it will violate the compliance of the VAT deduction chain, leading to the agency being unable to declare tax refund normally.

If the principal collects foreign exchange by itself, it needs to provide agency agreement, foreign exchange receipt, customs declaration and other materials to the tax authority to prove the correlation between capital flow and business flow, otherwise it may be identified as false VAT invoicing.

### Answer 5

According to the 2026 foreign exchange management regulations, agency export foreign exchange collection must be declared through the foreign exchange monitoring system, and the declaration subject should be the agency company. If the principal collects foreign exchange by itself, it needs to indicate the agency relationship when declaring and upload the scanned copy of the agency agreement.

In addition, when using a third-party collection platform, it needs to ensure that the platform has foreign exchange business operation qualification, so as to avoid capital freezing or inability to settle exchange caused by non-compliance of the platform.

### Answer 6

The collection subject should be clearly agreed in the agency agreement to avoid subsequent disputes. If the agreement stipulates that the agency company collects payment, but the factory actually collects it, it may constitute a breach of contract, and the client has the right to hold the principal liable.

In addition, if the collection subject is inconsistent with the contract signing party, you need to inform the client in advance and obtain the client's written confirmation, so as to avoid the client refusing to pay on the grounds of inconsistent payment object.

### Answer 7

During on-site inspection, customs may require the provision of collection vouchers to verify the authenticity of the business. If the collection subject is inconsistent with the operating unit on the customs declaration, you need to provide the agency agreement and capital transfer certificate on site, otherwise the goods may be detained.

It is recommended that enterprises prepare copies of collection vouchers together with customs declaration materials before goods export, so as to respond to inspection quickly.

### Answer 8

There is no direct correlation between collection subject and packaging compliance, but delayed collection may affect the procurement of packaging materials and production progress. If the agency company has low collection efficiency, it may lead to the enterprise being unable to pay the packaging supplier in time, affecting the timely shipment of goods.

It is recommended that when selecting an agency company, investigate its capital turnover capacity and collection efficiency, so as to avoid affecting the packaging link due to collection problems.

### Answer 9

In export tax refund audit, consistency of four flows is the core inspection point. If the collection subject is inconsistent with the operating unit on the customs declaration, auditors will require detailed capital chain proof, including bank statements, agency agreement, transfer vouchers, etc. If complete proof cannot be provided, the tax refund application may be rejected.

In addition, change of collection subject requires advance filing with the tax authority, otherwise it will be regarded as abnormal business and trigger correspondence investigation.

### Answer 10

From the supply chain perspective, collection by agency company can simplify the capital chain, reduce intermediate links and improve capital turnover efficiency. If the principal collects foreign exchange by itself, it needs to additionally handle foreign exchange declaration and capital transfer procedures, which increases operating costs.

It is recommended that enterprises choose the collection subject according to their own scale and business complexity: small enterprises should give priority to collection by agency company, large enterprises can consider self-collection, but need to establish a complete foreign exchange management system.
