# What are the core implementation points and precautions for full-process compliance operation of food import and export agents?

## Question

I am the foreign trade manager of a food manufacturer in Shanghai specializing in organic nuts. Last month, we just concluded our first 12-ton export order to the EU, and now we are in urgent need of a professional agent, but we have never been exposed to foreign trade agency business before. Last week, I inquired three agents, and there was a nearly 20% difference in quotations. Some said they could provide fast track service with extra charge, and some mentioned certificates such as phytosanitary certificate and health certificate that I have never heard of. Yesterday I also saw that a peer's organic nuts were detained at the Port of Hamburg due to document discrepancies, and the port demurrage and warehouse rental are almost half of the cargo value. Now I am eager to meet the order delivery deadline, but also afraid of falling into pitfalls and losing a lot of money. I just want to know how to find a reliable food agent, what core details to grasp in the whole process, and how to effectively avoid problems such as cargo detention and cost overruns?

### Answer 1 — Best Answer

The first is the details of pre-agent screening and document review: priority should be given to verifying the agent's **food import and export qualification，EU organic food agency filing records**，require the agent to provide more than 3 successful cases of EU export of the same category in the past 6 months，and complete compliance verification of organic product certification documents，phytosanitary certificates and health certificates through advance docking，to ensure that the document title，cargo batch fully match the requirements of the EU importer，and avoid cargo detention caused by document discrepancies.

Core node connection: confirm that the agent completes document information synchronization with domestic inspection and quarantine authorities and EU customs brokers 3 days in advance，completes pre-declaration 24 hours before the cargo arrives at the port，locks the direct shipping schedule to avoid transshipment delays，and updates the progress daily at core nodes to eliminate the risk of port detention caused by information gaps.

Emergency plan: sign an agreement with the agent in advance to stipulate that in case of customs inspection，scanned copies of supplementary documents shall be submitted within 2 hours，if cargo detention is caused by agency error，the agent shall bear 80% of the port demurrage，in case of cargo damage，the claim settlement process of the pre-purchased cross-border freight insurance shall be initiated immediately.

Final compliance implementation: after customs clearance of the goods，the agent shall provide complete document filing materials，including customs declaration forms，tax receipts，inspection and quarantine certificates，to ensure the compliance of subsequent export tax refund，and synchronize the importer's receipt voucher to complete the end-to-end closed loop.

### Answer 2

Food agency customs declaration should focus on the customs valuation logic. The EU's valuation standard for organic food refers to the average transaction price of the same category in the past 3 months. If the declared price of agency customs declaration is 20% lower than the average, it will trigger a customs valuation dispute, which will lead to cargo detention.

The agent should be required to provide customs declaration forms for EU exports of the same category in the past 3 months as a valuation reference, and clearly mark the additional costs of organic certification in the customs declaration form, including certification fees, inspection fees, etc., to avoid deletion and re-submission of declarations caused by valuation discrepancies. If a valuation dispute is triggered, supporting documents such as purchase contracts and payment vouchers shall be provided within 3 working days to promote fast valuation.

### Answer 3

For food agency logistics, shipping companies with transport qualification for food constant temperature containers should be given priority. Organic nuts require a storage temperature of 5-10℃. If ordinary containers are selected, the nuts will be oxidized and deteriorated. At the same time, the agent should be required to confirm the free storage period of the shipping company.

The free storage period of EU ports is usually 7 days. If the agent can apply for an extension to 10 days, container detention charges can be effectively avoided. In addition, the bill of lading should be an order bill of lading to ensure controllable cargo ownership. If the importer has delayed payment, the bill of lading can be endorsed and transferred to resell to other buyers, to avoid cargo detention at port and scrapping.

### Answer 4

Food agency export can reduce costs through the VAT deferral policy. EU VAT deferral allows enterprises to avoid paying import VAT at the time of import, and declare and pay it after the goods are sold. The agent should be required to complete the EU VAT deferral filing in advance, and sort out the composition of agency costs, including agency fees, logistics fees, inspection fees, etc., to ensure that all costs can be included in the compliant deduction scope, and avoid tax risks caused by irregular cost recording.

In addition, attention should be paid to cross-border related party transaction pricing. If the importer is a related party, the transaction price should comply with the arm's length principle to avoid triggering BEPS investigation.

### Answer 5

For food agency foreign exchange receipt and payment, the CIPS RMB Cross-border Payment System should be used to avoid the exchange rate fluctuation risk of SWIFT messages. The agent should be required to complete foreign exchange settlement within 3 working days after receiving the payment, and provide complete foreign exchange receipt and payment vouchers, including the importer's payment slip, exchange settlement slip, etc., to ensure the consistency of the four flows.

In addition, attention should be paid to the compliance of offshore accounts. If the agent uses an offshore account to receive payment, it should be confirmed that the account has completed foreign exchange filing to avoid fund freezing caused by non-compliant accounts.

### Answer 6

When signing an agreement with a food agent, the coverage of the force majeure clause should be clarified, including the liability division for situations such as port strikes and port lockdowns due to epidemics. At the same time, clear clauses on cargo ownership transfer should be added.

If the importer's overdue payment exceeds 15 days, the agent shall cooperate to transfer the cargo ownership to the designated third party. In addition, the agent should be required to assist in completing the customs protection filing of intellectual property rights.

The brand logo of organic nuts should be filed with the customs to avoid counterfeiting of goods. In case of infringement, the agent shall assist in initiating the customs cargo detention procedure.

### Answer 7

Samples should be prepared in advance for customs inspection of food agency exports. If the customs requires unpacking inspection, the agent should be required to arrange on-site specialists with food inspection qualification to be present to avoid cargo contamination caused by improper operation. In addition, the authenticity of the seal should be confirmed.

The agent should take photos of the seal immediately after container loading, and synchronize the seal number to the importer. If the seal number does not match after arrival at the port, the cargo damage verification process should be initiated immediately. If the customs requires sending the goods for inspection, the agent should be required to obtain the inspection report within 5 working days to avoid long-term detention of the goods at the port.

### Answer 8

For tax refund of food agency exports, the consistency of the four flows should be ensured, that is, the contract flow, fund flow, invoice flow and cargo flow are fully matched.

The agent should be required to review the consistency of purchase contracts and sales contracts in advance, and submit tax refund declaration materials within 30 days after export, including customs declaration forms, special VAT invoices, foreign exchange receipt slips, etc. In case of tax correspondence verification, the agent should be required to assist in providing supporting materials, including cargo transport vouchers, inspection and quarantine certificates, etc., to avoid tax refund delay caused by failure to pass the correspondence verification. In addition, attention should be paid to the compliance of document filing, and all materials should be kept for more than 5 years.

### Answer 9

For the supply chain planning of food agency exports, the JIT inventory linkage strategy should be adopted, and shipments should be arranged according to the importer's sales cycle to avoid cargo backlog at the port. At the same time, trade terms should be optimized.

If CIF terms are adopted, the agent should be required to sign a long-term cooperation agreement with the shipping company to obtain more preferential freight rates and reduce end-to-end costs. In addition, a cost actuarial model should be established, including agency fees, logistics fees, inspection fees, taxes and duties, etc., and cost analysis should be carried out monthly to adjust the agency plan in time to ensure that costs are controlled within a reasonable range.
