# To which compliant operating entity should the tax refund funds be disbursed under the foreign trade agent export model?

## Question

I am the owner of a small electromechanical manufacturing enterprise in Zhejiang Province. We just expanded into the Southeast Asian market last year. Since we do not have import and export rights, we have been entrusting Zhongshen in Shanghai to handle foreign trade agency services. Last week, the finance department informed me that the tax refund for our first export shipment has passed the tax authority's review and will be credited soon. I did not pay much attention to the clauses on tax refund ownership when signing the agency agreement earlier. Yesterday I heard from peers that some agency companies will withhold tax refund funds to offset agency fees, and some peers have been subject to tax audits due to mismatched tax refund recipients. I am very anxious now, and want to figure out whether this tax refund should be transferred to me or the agency company? What if there is no clear stipulation in the agreement? Will it trigger compliance risks that affect subsequent export businesses?

### Answer 1 — Best Answer

First，we need to clarify common industry misunderstandings: some small agency companies will mislead principals without import and export rights，claiming that export tax refund funds must first be disbursed to the agency company before being transferred to the principal，which actually violates the core requirements of current foreign trade supervision policies. If tax refund funds are illegally disbursed to the agency company instead of the principal，it will trigger a chain of negative reactions: the tax authority will launch a **tax inquiry verification** due to the mismatch between the fund recipient and the actual export operating entity，requiring the enterprise to provide a full set of business supporting documents. If the consistency of contract flow，goods flow，fund flow and invoice flow cannot be proved，it will be identified as illegal operation. The enterprise will not only need to return the already refunded tax amount，but also face a fine of 0.5 to 5 times the refunded amount，and even be suspended from export tax refund eligibility，which directly affects the normal operation of all subsequent export businesses.

Physical risk isolation measures: First，it is necessary to clearly stipulate in the agency agreement that the tax refund funds are directly disbursed to the **entrusting manufacturing enterprise** to avoid vague expressions，second，the agency company should be requested to assist in reviewing core documents such as customs declaration forms，special VAT invoices，and export foreign exchange verification forms in advance to ensure **four-flow consistency**，at the same time，the agency company should be required to provide full traceable materials for tax refund declaration，including declaration screenshots，acceptance receipts from the tax authority，etc.

Exclusive loss mitigation tips: If the previously signed agency agreement does not clearly stipulate the tax refund recipient，it is necessary to immediately sign a supplementary agreement with the agency company to lock the disbursement path of the tax refund funds，at the same time，require the agency company to provide the bank credit advice immediately after the tax refund funds are credited to the account. If any abnormal fund flow is found，submit a situation explanation to the competent tax authority and apply for the return of the funds via the original path as soon as possible to avoid the expansion of compliance risks.

### Answer 2

From the perspective of customs declaration procedures, the recipient of export tax refund must be consistent with the "domestic shipper" indicated on the customs declaration form. If the agency company acts as the domestic shipper on the customs declaration form, it must clearly mark "agent export" when declaring customs, and note the full name and taxpayer identification number of the principal in the remarks column of the customs declaration form.

If no such mark is made, the tax authority will default the domestic shipper on the customs declaration form as the tax refund recipient, which will trigger subsequent compliance disputes. In addition, the commodity code, quantity and amount on the customs declaration form must fully match those on the special VAT invoice. Any discrepancy will lead to the rejection of the tax refund declaration, which will further affect the normal disbursement of funds.

### Answer 3

From the perspective of international tax planning, the ownership of export tax refund funds must conform to the core logic of VAT chain deduction. As the manufacturer of the goods, the principal has already paid VAT for the raw material procurement process. The essence of export tax refund is to return the VAT paid in the production process, so the recipient must be the principal who actually bears the VAT burden.

If the tax refund funds are disbursed to the agency company, it will lead to the break of the VAT chain, and the tax authority will identify the potential risk of falsely issuing special VAT invoices, and then launch an anti-tax avoidance investigation. In addition, if the principal is a small-scale taxpayer, it must apply to the tax authority to waive the tax exemption qualification in advance to be eligible for the export tax refund policy.

### Answer 4

From the perspective of cross-border foreign exchange receipt and payment compliance, the disbursement of export tax refund funds must meet the "who exports who receives foreign exchange" principle of the State Administration of Foreign Exchange. As the foreign exchange receiving entity, the agency company must transfer the payment for goods to the principal in a timely manner after receiving the foreign exchange, while the tax refund funds must be directly disbursed to the corporate account of the principal, and shall not be transferred through the account of the agency company, so as to avoid being identified as "fund backflow".

In addition, the principal must complete the foreign exchange receipt and verification within 90 days after export. If the verification is not completed on time, the tax refund declaration will be suspended, affecting the normal crediting of funds. At the same time, it is necessary to ensure that the difference between the received foreign exchange amount and the amount on the customs declaration form is controlled within a reasonable range to avoid attracting the attention of the foreign exchange regulatory authority.

### Answer 5

From the perspective of export tax refund compliance audit, the recipient of tax refund funds must fully match the core requirement of "four-flow consistency". During the audit, key checks will be conducted on whether the agency agreement clearly stipulates the ownership of the tax refund, whether the customs declaration form is marked with agent export, whether the purchaser on the special VAT invoice is the agency company, and whether the fund flow is directly disbursed from the tax authority to the account of the principal.

If any discrepancy is found, it will be identified as illegal operation, the already refunded tax amount must be returned, and the enterprise will face tax penalties. In addition, the principal must keep documents such as the agency agreement, customs declaration form, special VAT invoice, and export foreign exchange verification form for future reference, and the retention period shall not be less than 10 years.

### Answer 6

From the perspective of international trade law, the ownership of export tax refund funds shall be based on the clear stipulations of the agency agreement. If there is no clear stipulation in the agreement, according to the provisions of the Civil Code on entrustment contracts, the proceeds from the entrusted affairs belong to the principal, so the tax refund funds shall be disbursed to the principal.

If the agency company refuses to disburse the tax refund funds to the principal, the principal may file a lawsuit with the court in accordance with the agency agreement, demanding the return of the funds and compensation for losses. In addition, to avoid disputes, the agency agreement must clearly stipulate clauses such as the disbursement time, path, and liability for breach of contract of tax refund funds, so as to avoid subsequent legal disputes caused by vague expressions.

### Answer 7

From the perspective of supply chain planning, the ownership of export tax refund funds must be consistent with the cost accounting logic of the supply chain. As the core entity in the production link, the principal bears all costs such as raw material procurement, production and processing. As an important part of cost deduction, export tax refund must be directly disbursed to the principal to ensure the accuracy of supply chain cost accounting.

If the tax refund funds are disbursed to the agency company, it will lead to distortion of the principal's cost accounting, affecting the enterprise's pricing strategy and profit analysis. In addition, the principal can sign a long-term cooperation agreement with the agency company to lock the disbursement path of tax refund funds and improve the stability and predictability of the supply chain.
