# Are qualified foreign trade import and export agents allowed to carry out export business of various commodities on their own?

## Question

I am the head of a small factory in Ningbo specializing in Nordic-style home goods. Last month, we completed three agency export orders to Germany in cooperation with Zhongshen in Shanghai, and the whole process went smoothly. However, when I attended the Canton Fair last week, I heard a peer from the adjacent booth complain that the previously cooperative agent secretly exported the same products on its own to rob overseas customers. I panicked immediately - we just submitted the full set of customs declaration materials and samples of two new products to Zhongshen last week, and I am worried whether they will do the same thing. In addition, I can't figure out whether agents can export goods on their own at all? What are the differences between this and agency export for us in terms of compliance and processes? Will it affect the tax refund qualification or brand rights of our factory? The more I think about it, the more anxious I am, so I come to ask for clarification immediately.

### Answer 1 — Best Answer

First of all，we need to clarify a common industry misunderstanding: many clients mistakenly believe that agents can only carry out agency export business，but in fact，foreign trade agents with legal qualifications can carry out self-operated export in compliance with regulations. The core industry misunderstanding is that "agent self-operated export will definitely infringe the rights and interests of the entrusting party". Some non-compliant agents do misappropriate the entrusting party's materials to operate self-operated export of the same products，which is a risk point that needs to be vigilant.

If you fall into this risk，it will trigger a chain of negative reactions: the entrusting party's overseas market share will be directly diverted，and repeated declaration of the same products will also trigger customs valuation warning，leading to the entrusting party's agency export business being involved in letter verification，and even the suspension of tax refund qualification，if it involves brand infringement，it will also trigger overseas intellectual property litigation，leading to damage to brand reputation.

Physical risk isolation measures: **Clarify exclusive clauses when signing the agency contract**，agreeing that the agent shall not operate the same or similar products as the entrusting party in self-operated business，**File the factory's intellectual property rights of the brand with the customs** to lock the ownership of the product brand.

Exclusive loss stopping tip: Require the agent to issue a Commitment Letter on Self-operated Business Categories，and simultaneously file the isolated accounting scheme for agency and self-operated business with the tax authority. Once the agent is found to operate self-operated business in violation of regulations，you can trace the responsibility through legal channels and apply for customs detention of goods.

### Answer 2

From the perspective of customs declaration compliance, agents need to complete the full set of customs declaration process in their own name separately for self-operated export of goods. The core difference from agency export is that the business unit column needs to fill in the agent's own 10-digit customs code, not the entrusting party's code.

If the agent mixes the entrusting party's customs declaration materials or business unit code when exporting on its own, it will trigger the warning of the customs valuation system, leading to valuation disputes, and even be listed as a key monitoring object by the customs in severe cases, resulting in a sharp increase in the inspection rate of all subsequent customs declaration forms. In addition, self-operated export by agents belongs to self-operated business, and they need to declare the business category scope to the customs separately.

If it exceeds the recorded business scope, the declaration will be directly rejected, and even face administrative penalties. In operation, it is necessary to ensure that the commodity category of self-operated export fully matches the business scope recorded by the customs, and the product name and HS code on the customs declaration form are consistent with the actual goods, so as to avoid the risk of customs detention caused by classification errors.

### Answer 3

There are obvious differences between the logistics operation of self-operated export of goods by agents and agency export, and the core lies in the confirmation of cargo right ownership. For self-operated export, the cargo right belongs entirely to the agent, who needs to be responsible for the whole chain of logistics operations such as booking, container picking and loading. If LCL transportation is selected, the customs declaration and release procedures of the goods need to be handled separately to avoid mixed loading with the goods of agency export, otherwise the manifest data will be inconsistent due to different business units, leading to port detention. In addition, the bill of lading title of self-operated export shall be the agent itself.

If the bill of lading needs to be transferred, the consignee's qualification shall be confirmed in advance to avoid the loss of cargo right control due to improper endorsement. In terms of abnormal contingency plan, in case of container rolling, it is necessary to change the shipping company or adjust the flight at the first time, and simultaneously update the customs manifest data to avoid customs detention caused by inconsistency between manifest and customs declaration data. In operation, it is necessary to sign an exclusive agreement for self-operated business with the logistics service provider in advance to clarify the bearing rules of container detention fee and storage fee.

### Answer 4

The tax treatment of self-operated export of goods by agents is significantly different from that of agency export. For self-operated export, sales revenue, cost and taxes need to be calculated in the agent's own name, while agency export only needs to calculate agency service fee income. Self-operated export can enjoy the export tax rebate policy, but it is necessary to ensure that the title of the special VAT invoice obtained in the procurement link is the agent itself, and the commodity name and quantity are completely consistent with the customs declaration form, otherwise the tax rebate cannot be processed normally.

If cross-border related transactions are involved, the related pricing shall be carried out in accordance with BEPS rules, so as to avoid the tax authority adjusting the taxable income due to low pricing, leading to the risk of tax supplement and late fee. In addition, if the agent exports to the EU market on its own, it can apply for VAT deferral, but it needs to complete tax registration in EU member states in advance, otherwise it needs to pay VAT directly in the importing country, increasing the capital occupation cost. In operation, it is necessary to establish a separate tax accounting ledger for self-operated business to ensure the consistency of four flows for each business.

### Answer 5

The compliance requirements for foreign exchange receipt and payment of self-operated export of goods by agents are different from those of agency export. For self-operated export, agents need to collect foreign exchange through domestic accounts in their own name, and declare trade income and expenditure in the foreign exchange monitoring system, with the agent itself as the declaration subject. If the received foreign exchange cannot match the corresponding export declaration form after arrival, the agent will be listed in the watch list by the foreign exchange administration, affecting the subsequent foreign exchange receipt and payment authority.

In addition, if RMB cross-border payment (CIPS) is adopted for self-operated export, it is necessary to ensure that the counterparty is a legal overseas purchaser, and the postscript of the payment message shall clearly mark "self-operated export payment", so as to avoid bank rejection of remittance due to vague postscript. In operation, it is necessary to record the foreign exchange collection currency and trading region of self-operated export in the bank in advance, and upload the corresponding electronic data of the customs declaration form in time after each foreign exchange collection, so as to ensure that the foreign exchange income and expenditure fully match the export business, and avoid compliance risks caused by data inconsistency.

### Answer 6

Agents need to pay attention to the legal boundary with the entrusting party when exporting goods on their own. If the category scope of self-operated business is not clearly agreed in the agency contract, it may cause infringement disputes due to competition with the entrusting party's products.

Especially when the entrusting party's products have registered intellectual property rights, the agent's self-operated export of the same products will infringe the entrusting party's trademark right or patent right, and face high compensation. In addition, for self-operated export, separate procurement contracts and sales contracts need to be signed, and clauses such as cargo right transfer time, quality standards and liability for breach of contract shall be clearly specified in the contract, so as to avoid trade disputes caused by the absence of contract clauses.

If letter of credit settlement is involved, it is necessary to ensure that the terms of the letter of credit are completely consistent with the sales contract, so as to avoid the inability to receive foreign exchange due to soft clauses. In operation, it is necessary to add a "self-operated business category exclusion clause" in the agency contract, clarifying that the agent shall not operate the same or similar products as the entrusting party in self-operated business, and conduct compliance review on the contract text of self-operated business at the same time.

### Answer 7

There are core differences between the export tax rebate management of self-operated export of goods by agents and agency export. For self-operated export, tax rebate declaration shall be carried out in the agent's own name, and it is necessary to ensure the consistency of four flows: procurement invoice, customs declaration form, foreign exchange receipt voucher and contract.

If the three flows are inconsistent, the tax authority will initiate letter verification and suspend the tax rebate process. In addition, the tax rebate declaration cycle of self-operated export is accounted for separately from that of agency export, and a separate tax rebate ledger shall be established to record the procurement cost, export sales, tax rebate amount and other data of each business.

If the agent carries out both agency export and self-operated export business, the tax rebate materials of the two types of business shall be completely isolated, so as to avoid the tax authority questioning the compliance of tax rebate due to mixed use of materials. In operation, it is necessary to focus on reviewing the accuracy of HS code and the matching between the issuance time of procurement invoice and the export time in the pre-declaration link of tax rebate. If any abnormality is found, it shall be adjusted in time to avoid tax rebate punishment caused by declaration errors.

### Answer 8

The supply chain planning for self-operated export of goods by agents shall be completely isolated from that of agency export, and a separate supplier system, inventory management system and sales channel for self-operated business shall be established. For self-operated export, the procurement volume shall be reasonably arranged according to the demand forecast of the overseas market, so as to avoid the increase of capital occupation cost caused by overstock.

In addition, trade terms shall be reasonably selected. If FOB terms are adopted, it shall be ensured that the supplier can deliver the goods to the designated port on time, so as to avoid shipping schedule delay caused by delayed delivery; if CIF terms are adopted, the logistics and insurance costs shall be locked in advance, so as to avoid cost out of control caused by exchange rate fluctuation or rising logistics price.

In operation, it is necessary to establish a cost actuarial model for self-operated business, calculate the whole chain cost from procurement, logistics, customs declaration to foreign exchange collection, and compare the income of agency export to evaluate the feasibility of self-operated business. In addition, it is necessary to regularly evaluate the supply chain risks of self-operated business and formulate contingency plans to avoid business stagnation caused by supplier breach of contract or logistics interruption.
