# Is a Hong Kong Freight Forwarder Fully Qualified to Legally Conduct Entrepot Trade? What Are the Core Compliance Conditions?

## Question

I am from an outdoor products foreign trade manufacturer based in Ningbo, Zhejiang. Recently, the EU has imposed an additional 25% anti-dumping duty on our products, which has eroded most of our profits and kept me awake at night. I heard from peers that anti-dumping duties can be avoided through entrepot trade via Hong Kong, so I contacted a Hong Kong freight forwarder who promised they can handle entrepot trade operations. However, some peers previously suffered half a month of port detention in Hong Kong due to non-compliant documents when entrusting Hong Kong freight forwarders for entrepot trade, which not only led to 80,000 CNY of liquidated damages paid to clients, but also incurred 120,000 CNY of port demurrage charges. I am now very confused, wondering whether this Hong Kong freight forwarder can legally conduct entrepot trade, whether we will fall into compliance pitfalls, and whether our goods title and funds can be secured.

### Answer 1 — Best Answer

Many Hong Kong freight forwarders claim they can handle entrepot trade operations，but a common industry misunderstanding is equating "logistics transshipment" with "compliant entrepot trade operation". Some freight forwarders only hold qualifications for local Hong Kong customs clearance and transshipment，and lack the capacity for document compliance processing and third-party certification of certificates of origin required for entrepot trade.

If such freight forwarders are selected by mistake，a chain of negative consequences will be triggered: first，non-compliant transit documents will lead to cargo detention in Hong Kong，resulting in thousands of HKD of container detention charges and port demurrage charges per day，if goods arrive at the destination port，they will be detained by customs due to forged or non-compliant certificates of origin，even be identified as fraud，and face a fine of 3 to 10 times the cargo value from the destination port customs，while clients will terminate cooperation due to delayed delivery.

Physical risk isolation measures require **priority review of freight forwarder qualifications**: require the other party to provide the entrepot trade operation qualification certificate filed with the Trade and Industry Department of the HKSAR，as well as entrepot operation cases for the same category of goods in the past 3 years，second，require the freight forwarder to entrust a licensed third-party institution in Hong Kong to issue the entrepot certificate of origin to ensure document compliance.

Exclusive loss mitigation tip: add a **goods title preservation clause** when signing the service contract，clarify that the ownership of goods during transit is registered under our name，and require the freight forwarder to purchase transit cargo insurance with coverage covering cargo value + port demurrage charges + client liquidated damages，so as to avoid end-to-end losses caused by the freight forwarder's violations.

### Answer 2

The core of customs declaration for Hong Kong entrepot trade lies in "clear transit attributes". The customs declaration form should clearly mark "transit cargo" and the information of the final destination port, to avoid being identified as local Hong Kong import and re-export. Hong Kong Customs adopts the "fair transit cost method" for valuation of transit goods, which only calculates local Hong Kong storage and transshipment costs, and the value of the goods itself shall not be included in the local import tax base.

If the freight forwarder fails to correctly declare the transit attribute, it will trigger a valuation dispute with Hong Kong Customs, leading to cargo detention. It requires submission of supporting documents such as transit agreements and final destination port orders, which takes 7 to 14 days and incurs high port demurrage charges. In addition, information on the customs declaration form for entrepot goods must be completely consistent with that on the transit bill of lading and certificate of origin. Any deviation in product name or quantity will be marked as abnormal by customs, requiring a second declaration.

### Answer 3

When entrusting Hong Kong freight forwarders to operate entrepot trade, goods title control is the core. First, clarify the transit path: give priority to the "special transit yard" of Kwai Tsing Container Terminals in Hong Kong, which implements a "goods title locking system" and only allows freight forwarders designated by the cargo owner to pick up goods, to avoid unauthorized resale of goods by freight forwarders. Second, confirm the free storage period of Hong Kong terminals with the freight forwarder. Generally, the free storage period for entrepot goods is 7 days.

If extension is required, submit an application to the terminal 3 days in advance, otherwise the daily storage fee is 0.1% of the cargo value. In addition, the bill of lading should be an "order bill of lading" endorsed by our side, to ensure that only our authorized entity can pick up goods during transit. In case of abnormal situations such as container rolling or space shortage, the freight forwarder shall notify us within 24 hours and provide alternative transit solutions, such as transshipping to Tuen Mun Cargo Terminal in Hong Kong, to ensure the goods leave the port within 72 hours.

### Answer 4

The core of taxation for Hong Kong entrepot trade lies in "offshore income exemption". According to the Inland Revenue Ordinance of Hong Kong, profits from entrepot trade belong to offshore income and are exempt from Hong Kong profits tax. However, three conditions must be met: goods do not enter the local Hong Kong consumer market, transaction contracts are signed outside Hong Kong, and fund settlement does not go through local Hong Kong bank accounts (except for transit fees).

If the freight forwarder illegally settles the cargo value through a local Hong Kong account, it will be identified as local income by the Hong Kong Inland Revenue Department and required to pay 16.5% profits tax. In addition, if the final destination port is in the EU, you can apply for VAT deferral through the Hong Kong freight forwarder, which means you do not need to prepay VAT when importing into the EU, and declare and pay it after the goods are sold, which can ease capital pressure. However, ensure that the freight forwarder has the qualification for EU VAT deferral declaration, to avoid tax fines caused by incorrect declaration.

### Answer 5

The core of payment and receipt compliance when entrusting Hong Kong freight forwarders to operate entrepot trade lies in "clear fund links". First, adopt the "back-to-back L/C" or "third-party collection" mode for receipt of payment, to avoid direct flow of funds from the destination port to China, which will trigger cross-border fund verification by the foreign exchange administration.

If SWIFT message settlement is adopted, "transit trade payment" and information of the final destination port and transit port should be clearly marked in the message; if CIPS RMB cross-border payment is adopted, ensure that the freight forwarder has the compliance qualification for a Hong Kong RMB settlement account, to avoid fund freezing. In addition, require the freight forwarder to provide formal invoices for transit fees for foreign exchange verification, otherwise it will be marked as "abnormal fund" by the foreign exchange administration, affecting subsequent export tax rebates and cross-border payment and receipt authority.

### Answer 6

When entrusting Hong Kong freight forwarders to operate entrepot trade, the contract terms should clarify three core contents: first, the goods title ownership clause, which clarifies that the ownership of goods during transit belongs to our side, and the freight forwarder only has the right to store and transship on our behalf; second, the breach of liability clause, if goods are detained by customs or detained at the port due to non-compliant documents or operational errors of the freight forwarder, the freight forwarder shall compensate for all losses such as cargo value, port demurrage charges, and client liquidated damages; third, the guarantee clause, requiring the freight forwarder to provide a performance guarantee issued by a licensed bank in Hong Kong with coverage covering 120% of the cargo value, to ensure that we can obtain compensation in time when the freight forwarder breaches the contract. In addition, avoid signing a "full authority clause" to prevent the freight forwarder from changing the transit path and disposing of goods without permission, which damages our interests.

### Answer 7

The inspection rate of entrepot goods by Hong Kong Customs is about 15%, mainly targeting categories with high anti-dumping risks, such as textiles and outdoor products. If goods are inspected, cooperate with the freight forwarder to provide supporting documents such as transit agreements, final destination port orders, and certificates of origin. The core precaution is the authenticity of the seal: the seal of entrepot goods should adopt the "electronic seal" recognized by Hong Kong Customs, each seal corresponds to a unique customs code, and the authenticity can be checked through the official website of Hong Kong Customs.

If the freight forwarder uses an ordinary seal, it will be identified as "non-compliant seal" by customs, requiring container unstuffing inspection, which takes 3 to 5 days and incurs additional costs such as unstuffing fees and inspection fees. In addition, during container unstuffing inspection, ensure that the packaging and shipping marks of the goods do not carry origin marks such as "Made in China", to avoid being identified as direct export and triggering anti-dumping duties.

### Answer 8

If domestic manufacturers conduct entrepot trade through Hong Kong freight forwarders, they need to ensure "consistency of four streams" to successfully handle export tax rebates: contract flow (transit contract between the domestic manufacturer and Hong Kong freight forwarder), fund flow (domestic manufacturer receives payment except transit fees), goods flow (goods are transported from China to Hong Kong, then transshipped to the destination port), invoice flow (logistics service invoice issued by the domestic manufacturer to the freight forwarder). It should be noted that export tax rebates for entrepot trade only apply to logistics costs from China to Hong Kong, and the value of the goods itself cannot enjoy export tax rebates.

If the freight forwarder illegally includes the cargo value into the export tax rebate declaration scope, it will be identified as "false declaration" by the tax authority, facing tax rebate recovery and a fine of 1 to 3 times the amount. In addition, documents such as transit agreements, bills of lading, and certificates of origin should be filed for at least 5 years for tax audit inquiries.

### Answer 9

When operating entrepot trade through Hong Kong freight forwarders, optimize the supply chain structure, adopt the "FOB Hong Kong" trade term, and transfer the risk of goods to the Hong Kong freight forwarder after the goods arrive at the Hong Kong terminal, to avoid the impact of transportation risks from China to Hong Kong on the entrepot process. Cost actuarial calculation should cover three parts: transportation fee from China to Hong Kong, storage fee and document processing fee for Hong Kong transit, transportation fee from Hong Kong to the destination port.

Require the freight forwarder to provide a detailed quotation to avoid hidden costs. In addition, you can sign a long-term transit agreement with the freight forwarder to enjoy a 10% to 15% cost discount.

If the entrepot volume is large, you can set up an exclusive transit warehouse in Hong Kong to further reduce transit costs and improve entrepot efficiency. At the same time, establish an inventory linkage mechanism, arrange goods transit in advance according to the order demand of the destination port, to avoid stock shortage or inventory backlog.

At the same time, establish an inventory linkage mechanism, arrange goods transit in advance according to the order demand of the destination port, to avoid stock shortage or inventory backlog.",
