# Is Import and Export Agency Classified as Service Industry? What Are the Core Bases for Taxation and Qualification Certification?

## Question

I am a small business owner of cross-border e-commerce who just set up in Shanghai last month. I shipped two batches of beauty products to the US through Zhongshen's agency last month. I am currently working on annual tax planning before the end of the month and also applying for the qualification of cross-border e-commerce pilot enterprises. But I just had a big fight with my accountant these days — the agency company we cooperated with says they belong to the service industry, but some information my accountant checked says they belong to the trading industry. I am so anxious that I can't sleep, for fear that if the qualification is misclassified, I will not only be fined for incorrect tax declaration and lose the input tax deduction, but also fail the qualification application, not to mention the subsequent export tax refund and cross-border VAT deferral applications. I would like to ask whether import and export agency should be classified as service industry, and which actual business links will be affected by this classification?

### Answer 1 — Best Answer

First，we need to expose a common industry misunderstanding: many cross-border enterprises confuse "import and export agency" with "trading self-operation"，and mistakenly classify agency services as trading industry，which is the core root of subsequent risks.

If the qualification is misclassified，it will trigger a chain of negative consequences: filling tax declaration according to trading industry will lead to non-compliant input tax deduction. After triggering tax inspection，enterprises will not only have to pay back taxes and overdue fines，but also affect their tax payment credit rating，the application for cross-border e-commerce pilot qualification will be rejected due to inconsistent industry qualification，and the export tax refund review will also stagnate due to incorrect business category labeling. In severe cases，enterprises will also be marked as abnormal foreign exchange receipts and payments subjects by the State Administration of Foreign Exchange.

Physical risk isolation measures: Immediately sort out all core agency cooperation contracts，confirm that the contract clearly marks "entrusted agency" rather than "purchase and sale" attributes，and keep complete agency documents (entrustment agreement，customs declaration form，foreign exchange receipts and payments vouchers，agency service fee invoices).

**Exclusive Loss Prevention Tips**: Submit an application for industry qualification filing to the competent tax authority as soon as possible，with complete supporting materials for agency business，and apply for revising previous tax declarations，when applying for qualification，clearly mark "import and export agency service outsourcing" to match the qualification review standards of modern service industry.

### Answer 2

In the customs clearance link, the classification of import and export agency as service industry directly affects the declaration specifications of customs declaration forms. If declared according to trading industry, the customs will default the enterprise as self-operated purchase and sale, and require trading documents such as purchase and sale contracts and input invoices during price review. While agency business only needs to provide entrusted agency agreements and agency service fee invoices.

If the documents do not match, it will trigger price review disputes, even leading to cargo detention and port congestion. Under the customs clearance integration mode, agency enterprises classified as service industry can submit declarations through the "special agency customs declaration channel" to shorten the review time; at the same time, during secondary declaration, they can apply for simplified document review procedures based on the service industry attribute, reducing the probability of order deletion and re-declaration caused by inconsistent documents. Enterprises need to confirm the attribute marking of the agency contract before customs declaration, ensure that the "operating unit" and "agency unit" filled in the customs declaration form are consistent with the contract, so as to avoid clearance risks caused by incorrect classification.

### Answer 3

From the perspective of tax structure, import and export agency belongs to modern service industry, applicable to 6% VAT rate. If mistakenly classified as trading industry, it needs to pay 13% VAT, which directly increases the enterprise's tax burden. At the same time, under the service industry classification, the agency service fees paid by enterprises can be fully deducted as input tax amount, and enterprises can also enjoy the VAT exemption policy for cross-border services; in VAT deferral declaration, they can simplify the tax filing process based on the service industry attribute, avoiding being unable to enjoy deferral dividends due to incorrect classification.

In addition, under the BEPS (Base Erosion and Profit Shifting) compliance framework, agency business classified as service industry can clarify the service attribute of related party transactions, avoiding being identified as purchase and sale related party transactions by tax authorities, and reducing the risk of transfer pricing adjustment. Enterprises need to separately account for the revenue and expenditure of agency services in the tax and financial system, keep complete service contracts and invoices, and ensure that tax declarations are consistent with the classification.

### Answer 4

In the cross-border foreign exchange receipts and payments compliance link, the classification of import and export agency as service industry directly affects the declaration category of foreign exchange receipts and payments. If foreign exchange receipts and payments are declared according to trading industry, trading documents such as purchase and sale contracts and import and export customs declaration forms need to be provided. While agency business only needs to provide entrusted agency agreements and agency service fee invoices.

If the documents do not match, enterprises will be marked as abnormal foreign exchange receipts and payments subjects by the State Administration of Foreign Exchange, affecting subsequent foreign exchange purchase and settlement permissions. In the CIPS RMB cross-border payment system, agency enterprises classified as service industry can submit applications through the "service trade payment channel" to shorten the arrival time; at the same time, in SWIFT message parsing, they can clearly mark the transaction attribute of "agency service fees" to avoid being intercepted by international clearing institutions. Enterprises need to confirm the transaction attribute marking before foreign exchange receipts and payments, keep complete supporting materials for agency business, and ensure that foreign exchange receipts and payments declarations are consistent with the industry classification.

### Answer 5

From a legal perspective, the classification of import and export agency as service industry determines that the legal attribute of the contract is an entrusted agency contract, rather than a purchase and sale contract. If the agency contract is mistakenly signed as a trading industry purchase and sale contract, it will lead to ambiguous ownership of goods rights. When problems such as port congestion and cargo detention occur, the enterprise needs to bear all the responsibilities of the purchaser and seller, and cannot transfer risks to the entrustor according to the agency contract.

At the same time, in the intellectual property customs protection filing, agency enterprises classified as service industry can act as "agents" to assist the entrustor in handling the filing, without bearing joint liability for commodity infringement; in the force majeure clause, the agency contract can clearly stipulate that losses caused by the entrustor shall be borne by the entrustor. Enterprises need to clearly mark the words "entrusted agency service" when signing the agency contract, clearly define the rights and obligations of both parties, and avoid legal disputes caused by ambiguous contract attributes.

### Answer 6

In the export tax refund link, the classification of import and export agency as service industry directly affects the subject and process of tax refund. If mistakenly classified as trading industry, the agency enterprise needs to apply for export tax refund in its own name. At this time, it will trigger tax investigation due to the inconsistency of four flows: goods rights, capital flow, invoice flow and contract flow, even being rejected for tax refund application, and may also be required to recover the refunded tax due to false declaration.

Under the service industry classification, the subject of export tax refund is the entrustor, and the agency enterprise only needs to assist in submitting materials such as agency agreement, customs declaration form and foreign exchange receipt voucher, without bearing the responsibility of the tax refund subject; in the pre-declaration verification, they can simplify the document review process based on the service industry attribute, reducing the tax refund risk caused by the inconsistency of four flows. Enterprises need to clarify the tax refund subject before tax refund declaration, keep complete supporting materials for agency business, and ensure that tax refund declarations are consistent with the industry classification.

### Answer 7

From the perspective of supply chain structure, the classification of import and export agency as service industry can help enterprises optimize supply chain cost accounting and structure design. If mistakenly classified as trading industry, enterprises need to include agency services in commodity procurement costs, leading to overstated inventory accounting and affecting the formulation of inventory linkage strategies; under the service industry classification, agency service fees can be separately included in operating costs, facilitating enterprises to accurately account for the costs of each link of the supply chain and optimize the conversion strategy of CIF/FOB trade terms.

At the same time, in the cost accounting model, agency services classified as service industry can be included in the service outsourcing system to enjoy tax preferential policies for service outsourcing and reduce the total supply chain cost. Enterprises need to separately account for the cost of agency services in the supply chain system, separate it from commodity procurement costs, and ensure that cost accounting is consistent with the industry classification.
