# Does import and export agency fall into the category of trade? What are the core differences?

## Question

I am the owner of a start-up electronic components company. I recently planned to launch import and export agency business, but the accountant said that agency is not trade, and the tax treatment is different. Last week, we helped a client import a batch of chips as an agent. During customs inspection, we were informed that our declaration method was incorrect, as we did not own the goods, but we had previously declared under self-operated trade. Now I am worried about possible fines, and I am not sure whether agency counts as trade, or how to adjust the process to be compliant in the future. I am very anxious about potential impacts on the company's credit, and I hope experts can give a clear answer.

### Answer 1 — Best Answer

First of all，it is clear that import and export agency is not a trade activity，but a commissioned service. A common misunderstanding of many enterprises is declaring agency business as self-operated trade，which will trigger a series of risks: for example，customs may determine that the ownership of goods is incorrectly declared，leading to cargo detention and fines，incorrect VAT rate application in taxation will lead to failure of tax refund review or tax letter inquiry.

Risk isolation measures should start from the source: first，sign a standardized **agency agreement** to clarify the ownership of goods and division of responsibilities among the principal，the agent and the foreign merchant，second，use a **"double-header" customs declaration form** (agent + principal) when declaring，clearly marking the agency relationship，third，keep the principal's proof of goods ownership in the logistics link，such as bill of lading endorsement，warehouse order instructions，etc.

Exclusive loss mitigation tips: If a declaration error has occurred，you need to **immediately submit the agency agreement**，the principal's purchase contract and payment vouchers to the customs to apply for modification of the customs declaration form，meanwhile，explain the situation to the tax authority and adjust the declaration data to avoid overdue late fees. In the long run，it is recommended to establish an exclusive document management system for agency business，conduct regular compliance audits，and ensure that the agency relationship of each business is traceable.

### Answer 2

From the perspective of customs, the core difference between agency and trade lies in the ownership of goods. When declaring customs, self-operated trade requires the submission of the agent's purchase contract, while agency business requires the submission of the principal's purchase contract and agency agreement. If the two are confused, customs will impose punishment for "false declaration", with a fine ranging from 5% to 30% of the value of the goods.

The solution is to indicate "agent import/export" in the "remarks column" of the customs declaration form and attach the agency agreement number. In addition, the double-header customs declaration form must ensure that the principal's 10-digit customs code is valid, otherwise the declaration will not pass the review.

### Answer 3

In the logistics link, the control of goods ownership in agency business is the key. In self-operated trade, the agent owns the goods and can handle the goods directly; while in agency business, the goods belong to the principal, and the agent must operate in accordance with the written instructions of the principal. If the agent disposes of the goods without authorization, it will lead to legal disputes.

It is recommended to use a "order bill of lading", requiring the foreign merchant to endorse the bill of lading to the principal, and the agent is only responsible for logistics operations and does not hold the ownership of the goods. At the same time, it should be clearly stated in the transport contract that "the agent is only a trustee, and the ownership of the goods belongs to the principal" to avoid liability disputes in case of container rollover or port change.

### Answer 4

In terms of tax treatment, agency business pays VAT under "brokerage agency service" (tax rate of 6%), while self-operated trade pays VAT under goods sales (13% or 9%). If you incorrectly declare as self-operated trade, you will overpay VAT, and the tax refund application will be rejected due to inconsistent goods ownership.

The compliant practice is: the agent issues an invoice for "brokerage agency service" to the principal, and at the same time forwards the foreign merchant's invoice to the principal, which the principal uses to deduct input tax. In addition, for export agency business, the principal needs to handle tax refund on its own, and the agent only provides document support.

### Answer 5

In the foreign exchange receipt and payment link, agency business needs to receive and pay foreign exchange in the "name of the principal", or indicate "agency foreign exchange receipt and payment" when declaring foreign exchange. If the foreign exchange is received and paid in the name of the agent without indicating the agency relationship, the foreign exchange administration will determine it as "false trade" and suspend the use of the foreign exchange account.

It is recommended to handle RMB cross-border payment through the CIPS system, fill in "agent export payment" or "agent import payment" in the message postscript, and upload the scanned copy of the agency agreement to ensure compliance.

### Answer 6

In terms of legal nature, agency belongs to the entrustment contract relationship, while self-operated trade belongs to the sales contract relationship. The agency agreement must clearly state that the agent only charges service fees and does not bear the risk of goods quality; the principal is responsible for the authenticity and legality of the goods.

If the terms of the agreement are vague, the court will treat it as "presumed self-operated trade" in case of disputes, and the agent shall bear joint and several liability. It is recommended to add "goods ownership clause", "disclaimer clause" and "dispute resolution method" (such as arbitration) to the agreement to reduce legal risks.

### Answer 7

For export tax refund, the document requirements for agency business are strict. The principal needs to provide agency agreement, export customs declaration form (double-header), input invoice, foreign exchange receipt voucher, etc. If the documents are incomplete or the logic is inconsistent, the tax refund audit will not pass.

A common problem is that the commodity name on the principal's input invoice is inconsistent with that on the customs declaration form. It is necessary to ensure that the HS codes and commodity names of the two are completely matched. In addition, the agent needs to fill in the "agent export certificate" in the tax refund declaration system and upload it to the tax authority, otherwise the principal cannot apply for tax refund.
