# Is Vietnam a Compliant Transshipment Country? What Core Compliance Requirements Must Be Met for Transshipment Operations?

## Question

As the person in charge of a foreign trade enterprise mainly engaged in the export of hardware and electromechanical products, I'm extremely anxious recently because the anti-dumping duties in the European and American markets have risen sharply, eating up most of our profits. I heard from peers that transshipment trade can help avoid taxes, and someone recommended Vietnam. But I'm wondering: Is Vietnam a formal transshipment country? I have no prior experience with transshipment and am afraid of falling into traps. If Vietnam is not a compliant transshipment country, and our goods are detained and stranded halfway through transportation, the losses will be huge! Moreover, I don't know how to handle the documents during transshipment or which logistics nodes to monitor. If the European and American customs trace the origin of the goods, the anti-dumping duties plus fines will probably bankrupt our small factory. I hope you can explain this clearly to me.

### Answer 1 — Best Answer

Many foreign trade enterprises have a common misunderstanding: they mistakenly believe that as long as goods are transported to Vietnam for transshipment，container swapping and label pasting，they will be recognized as compliant transshipment. Some even equate Vietnam with a "gray transshipment paradise"，which is an extremely dangerous perception.

If only "empty transshipment" is carried out —— that is，no substantial transshipment process (such as local warehousing，simple processing) is completed in Vietnam，European and American customs will trigger customs detention directly when they find that the origin is still China through bill of lading tracing and goods inspection. Enterprises will not only have to pay back the full amount of anti-dumping duties，but also incur daily increasing detention fees and storage fees. In severe cases，the goods may be auctioned，and the enterprise may be included in the customs blacklist，affecting subsequent cross-border trade qualifications.

The core method of physical risk isolation is to choose a regular bonded warehouse in Vietnam for transshipment，ensure that the goods are re-packaged with neutral packaging and the shipping marks are rectified in the warehouse，and at the same time obtain a third-party transshipment certificate issued by a local compliant institution in Vietnam to avoid leaving origin tracing clues.

**Exclusive Risk Mitigation Tip**: Entrust a professional institution to conduct an origin pre-check on the Vietnam transshipment process in advance，and purchase a special transshipment trade liability insurance. If losses occur due to transshipment compliance issues，a maximum of 80% of the goods' value can be compensated，effectively reducing operational risks.

### Answer 2

The customs declaration link of Vietnam transshipment trade needs to focus on the customs declaration specifications of the transit location, especially the ambiguous areas of origin declaration. If an enterprise only declares "transit goods" without clarifying the transshipment nature, Vietnamese customs may classify it as transit goods and fail to issue a compliant transshipment certificate, leading the destination country's customs to question the authenticity of the transshipment.

When declaring, it is necessary to clearly mark "for transshipment trade only" in the "goods purpose" column of the customs declaration form, and submit supporting documents such as transshipment agreements and destination country orders to ensure a closed customs declaration logic. In case of customs valuation disputes, provide vouchers such as local warehousing fees and processing costs in Vietnam as soon as possible to prove that the goods have generated substantial value in Vietnam and avoid being directly classified as transit goods.

### Answer 3

When choosing Vietnam as the transshipment country, the logistics route should give priority to the direct shipping line to the destination country to avoid increasing tracing risks via transshipment through a third country. After the goods arrive at the Vietnamese port, they must directly enter a regular bonded warehouse and are prohibited from entering ordinary trade warehouses, otherwise they will be regarded as locally imported goods in Vietnam and need to pay Vietnamese import tariffs, increasing transshipment costs.

At the same time, it is necessary to strictly control the seal management during the container swapping process, use one-time seals recognized by Vietnamese customs, arrange third-party supervision throughout the container swapping process and issue a supervision report to avoid the goods being mixed with identifying items during the container swapping process, which may lead the destination country's customs to trace the origin. In case of container offloading, immediately coordinate with the agent to transfer the goods to other bonded warehouses to avoid extra costs caused by port detention.

### Answer 4

The tax risks of Vietnam transshipment trade mainly focus on two aspects: one is the local transshipment service tax in Vietnam, and the other is the tax penalty for origin tracing in the destination country. When entrusting a transshipment agent in Vietnam, enterprises need to require the agent to issue formal special VAT invoices to ensure that transshipment fees can be included in cross-border cost deductions and avoid the breakage of the tax deduction chain. At the same time, analyze the anti-circumvention clauses of the destination country in advance.

If the destination country lists Vietnam as a "high-risk transshipment country", adjust the transshipment plan or apply for a prior ruling to the destination country's customs in advance to clarify the origin judgment standards for transshipped goods. In addition, optimizing the pricing of cross-border related-party transactions to retain part of the profits in compliant Vietnamese entities can effectively reduce the overall tax cost, but it is necessary to ensure that the pricing complies with the BEPS framework requirements to avoid being identified as profit shifting by tax authorities.

### Answer 5

The foreign exchange receipt and payment link of Vietnam transshipment trade must strictly comply with cross-border payment compliance requirements. It is prohibited to use personal accounts for transshipment payment settlement. The receipt and payment of transit funds shall be completed through the corporate account of a local compliant agent in Vietnam to ensure that the capital flow is consistent with the goods flow and document flow.

If RMB settlement is adopted, give priority to the CIPS system for payment to avoid exposing the origin information of goods via SWIFT messages. At the same time, retain all foreign exchange receipt and payment vouchers, transshipment agreements and logistics documents for at least 5 years for tax audits by customs authorities in China, Vietnam and the destination country. In case of abnormal foreign exchange receipt and payment, such as delayed arrival of payment from the destination country, immediately submit a situation explanation to the foreign exchange administration department to avoid being listed on the foreign exchange watchlist.

### Answer 6

Vietnam transshipment trade needs to focus on reviewing the terms of the transshipment agency agreement, especially the clauses of title transfer and risk division. The agreement must clearly stipulate that the title of the goods during transshipment in Vietnam belongs to the entrusting party, and the agent is only responsible for the transshipment operations.

If the goods are damaged due to the agent's operational errors, the agent shall bear full compensation liability. At the same time, add a force majeure fallback clause to clarify the loss division caused by force majeure such as sudden changes in Vietnamese customs policies and port strikes, so as to avoid subsequent legal disputes.

In addition, conduct legal research on the anti-dumping regulations of the destination country in advance to ensure that the transshipment operations comply with the legal requirements of the destination country. If the goods involve intellectual property rights, file intellectual property rights with Vietnamese customs in advance to avoid the goods being detained due to infringement.

### Answer 7

The on-site inspection link of Vietnam transshipment trade needs to focus on cooperating with Vietnamese customs' container unloading inspection. Sort out documents such as neutral packaging and transshipment certificates for the goods in advance to avoid inspection delays caused by incomplete documents.

During container unloading, ensure that there are no Chinese origin marks on the goods, including hidden marks inside the packaging and laser engravings on the products. If the marks are found to be uncleared, rectify them on the spot immediately to avoid the customs issuing an unqualified inspection report. At the same time, pay attention to the compliance of the machine inspection images.

If the machine inspection images show suspected origin marks inside the goods, actively apply for manual container unloading for verification to avoid the customs directly determining it as illegal transshipment. After the inspection is completed, obtain the inspection qualification certificate issued by the customs as supporting documents for customs clearance in the destination country.

### Answer 8

If an enterprise exports goods to Vietnam for transshipment trade, it needs to pay attention to the compliance of export tax rebates to avoid being judged as "false export" due to transshipment operations. When exporting, clearly mark "transshipment trade transit goods" on the customs declaration form, and submit supporting documents such as transshipment agreements and destination country orders to prove that the goods are not sold locally in Vietnam but are used for transshipment.

At the same time, ensure the compliance of capital flow: transshipment payments shall be remitted back to China directly from the destination country or transferred through the corporate account of the Vietnamese agent, to avoid tax investigation caused by abnormal capital reflux paths. If receiving a tax investigation notice from the tax authority, promptly provide all documents in the transshipment process, including logistics documents, transshipment certificates and foreign exchange receipt and payment vouchers, to ensure the consistency of the four flows and pass the tax rebate audit smoothly.

### Answer 9

When planning the supply chain with Vietnam as the transshipment country, it is necessary to comprehensively balance the transshipment cost, logistics timeliness and compliance risks. Give priority to Ho Chi Minh Port in southern Vietnam or Haiphong Port in northern Vietnam as transit ports. These two ports have sufficient bonded warehouse resources and perfect logistics supporting facilities, and the transshipment timeliness is 3-5 days faster than other ports.

At the same time, establish a long-term cooperative relationship with local transshipment agents in Vietnam to obtain bulk discounts on transshipment fees and reduce transshipment costs. In addition, establish a supply chain risk early warning mechanism to monitor changes in Vietnamese customs policies and anti-circumvention dynamics in the destination country in real time.

If there are unfavorable policy adjustments, quickly switch to other compliant transshipment countries to ensure supply chain stability. Through the inventory linkage strategy, store part of the goods in Vietnamese bonded warehouses in advance, which can shorten the transshipment timeliness and meet the urgent order needs of the destination country.
