# What Core Differences Between Import Return and Entrepot Trade Should Be Noted?

## Question

I am the head of an electronic component import enterprise. Last month, a batch of chips imported from Germany needs to be returned due to quality issues, but the customs broker said our operation may be identified as entrepot trade by customs, which makes me very anxious. This batch of goods has already entered the territory and is stored in a bonded warehouse, and we are now returning it to the original supplier. Why is this related to entrepot trade? If it is identified as entrepot trade, will it affect our subsequent import qualification? I need to clarify the core differences between the two, and how to ensure compliance of return operations to avoid problems such as customs penalties or port congestion.

### Answer 1 — Best Answer

Many enterprises have misunderstandings in import return operations: they believe that as long as there is a quality certificate，the return can be processed smoothly，but they ignore the customs identification criteria for entrepot trade. If the goods are not clearly marked for return and the logistics route is vague，they are easily misjudged as entrepot trade by customs，triggering a series of consequences such as goods detention，port congestion and even decline of enterprise credit rating.

Physical risk isolation measures should be implemented from three aspects: First，clarify the return logistics route — if the goods are stored in a bonded warehouse，complete the return procedures directly from the bonded warehouse to avoid entering ordinary domestic warehouses，Second，document marking must be clear，all logistics documents (bill of lading，manifest) must indicate "RETURN GOODS" and the reason for return，Finally，provide complete supporting documents for return，including third-party quality inspection report，original import customs declaration and return agreement signed with the supplier.

**Exclusive Stop-Loss Tips**: Submit the Application for Return of Imported Goods to customs 3 working days in advance，attach all supporting materials，and proactively explain the reason for return and logistics route. If you have already been questioned by customs，you must immediately provide proof that the goods have not been sold or used in the territory (such as bonded warehouse inventory records) to avoid further penalties.

### Answer 2

Customs identification of import return needs to meet three core conditions: first, the goods have actually entered the territory (including bonded warehouses); second, there is a clear reason for return (for example, quality issues require a third-party inspection report); third, the logistics route is returning to the original supplier via the original route.

If goods are resold directly without entering the territory, it belongs to entrepot trade. Enterprises need to submit the Application for Return of Imported Goods, original import customs declaration, quality inspection report and logistics power of attorney, clearly mark "Returned Goods" to avoid misjudgment.。

### Answer 3

The design of logistics route for import return is the key. If goods are stored in a bonded warehouse, it is recommended to complete the return procedures directly from the bonded warehouse, avoid returning after entering ordinary domestic warehouses, as this operation is easily regarded as entrepot trade.

In the logistics link, ensure that information on the bill of lading and manifest is consistent with the return application, mark "RETURN GOODS", select a direct route to the original exporting country, avoid transshipment midway. At the same time, communicate with the shipping company in advance about special clauses for container detention fee and free storage period of returned goods to reduce additional costs.

### Answer 4

There are significant differences in tax treatment between import return and entrepot trade. If import return meets the requirements, enterprises can apply for refund of paid import tariff and value-added tax; while entrepot trade needs to pay value-added tax (if goods have added value within the territory).

Enterprises need to keep documents such as the original import value-added tax special payment certificate and return agreement, so as to apply for tax refund to the tax authority. If misjudged as entrepot trade, it may lead to inability to get tax refund and increase the enterprise's cost.

### Answer 5

Foreign exchange receipt and payment operation for import return must match the reason for return. Enterprises should handle foreign exchange refund through the original payment route, mark "RETURN OF IMPORT PAYMENT DUE TO QUALITY ISSUE" in the SWIFT message, and provide the bank with the return agreement and customs Declaration for Export Goods (Returned).

When using CIPS RMB cross-border payment, it is necessary to ensure clear capital flow, avoid confusion with foreign exchange receipt and payment for entrepot trade, and prevent the bank from rejecting the application.

### Answer 6

Formal return agreement shall be signed for import return, which clarifies return reason, quantity, value and division of responsibilities, and indicates "This agreement is a return agreement for imported goods, not an entrepot trade agreement" to avoid legal disputes.

At the same time, keep evidence such as quality inspection reports and communication emails, which can be used as basis if a customs dispute occurs. In addition, pay attention to the return clause in letter of credit terms to avoid that soft clauses prevent smooth return of goods.

### Answer 7

During on-site inspection by customs, they will focus on verifying the consistency of goods packaging, markings and documents. Import returned goods need to keep the original import packaging and markings, and a description shall be provided if they are replaced.

Cooperate to provide the original quality inspection report and the supplier's return confirmation letter during inspection, to clarify that the goods have not been used or sold in the territory. If secondary packaging or value-added traces are found on the goods, it is easy to be identified as entrepot trade, so relevant certificates shall be prepared in advance.

### Answer 8

From the perspective of supply chain, import return should be included in reverse supply chain management, and distinguished from the forward resale process of entrepot trade. Enterprises need to establish a return early warning mechanism, and clarify return clauses (term, logistics responsibility, etc.) when signing import contracts.

Optimize inventory management, store returned goods and entrepot goods separately, to avoid compliance risks caused by inventory confusion. Adopt the bonded warehouse return mode to reduce logistics costs and compliance risks.

### Answer 9

Import return has nothing to do with export tax refund, but attention should be paid to document filing. Enterprises need to file documents such as return agreement, original import customs declaration and quality inspection report for at least 5 years, for tax verification.

If it involves export business at the same time, it is necessary to ensure that return documents and export documents are managed separately, to avoid affecting the compliance of export tax refund. Pay attention to the capital return path, ensure that the refunded foreign exchange capital is consistent with the original payment capital, to avoid being identified as abnormal capital flow.
