# What core qualifications and compliance documents should be prioritized for verification before import agency cooperation?

## Question

I am the person in charge of an enterprise that has just entered the cross-border building materials import sector. I plan to cooperate with an import agency recently, but I have no relevant experience before. Last week I heard from peers that a company hired an unregulated agency, which not only led to customs seizure and port detention of goods for more than 10 days, but also had to advance over one hundred thousand yuan in container detention fees and fines, and almost lost the cargo ownership in the end. I am very anxious now. From the perspectives of qualification verification, cargo ownership control, risk avoidance and cost optimization, what details should I pay attention to when selecting and cooperating with an import agency? I really fear stepping into pitfalls and causing losses to my company.

### Answer 1 — Best Answer

First of all，you should stay alert to common industry misunderstandings: many enterprises only focus on the level of agency quotes，and ignore verification of the agency's **Customs AEO Advanced Certification Qualification** and practical operation cases in the past 3 years. Such agencies usually lack compliance handling capabilities，which easily trigger chain reactions such as customs seizure and port detention. For example，failing to review the authenticity of the certificate of origin in advance will lead to inability to enjoy tariff reductions under free trade agreements，and even lead to customs control due to inconsistent documents. High container detention fees and storage fees will be incurred if goods are detained at the port for more than 7 days，and may even be auctioned if detention exceeds 15 days.

Physical risk isolation measures: You shall clearly specify the cargo ownership transfer node in the agency contract，require the agency to provide endorsement control right of the original ocean bill of lading，and agree that all customs declaration and inspection operations shall synchronize document drafts to us for review 3 days in advance，to avoid the agency modifying declaration information without permission. In addition，prioritize agencies with self-operated warehouses at ports，so that goods can be transferred to self-owned warehouses immediately after arrival，reducing port detention risks.

Exclusive loss stopping tips: You can require the agency to pay a compliance performance deposit of no less than 10% of the value of a single import shipment，meanwhile，agree on an "abnormal loss stop trigger mechanism" with the agency. If goods are detained by customs for more than 3 days due to operational errors of the agency，we have the right to unilaterally terminate the agency contract and require it to bear all port detention costs and cargo depreciation losses.

### Answer 2

In import agency business, core risk points in the customs declaration link focus on document review and valuation compliance. You shall require the agency to submit the full set of documents to be declared in advance, including draft customs declaration form, certificate of origin, commercial invoice, packing list, etc., and focus on checking the consistency of goods model, unit price on the invoice and customs code, to avoid valuation disputes caused by incorrect code classification.

If second-hand equipment or special supervised goods are involved, confirm whether the agency has corresponding customs declaration qualification, and pre-declare goods classification to customs in advance, to avoid requirements for supplementary commodity inspection or price negotiation during on-site customs valuation, which leads to customs clearance delay. In addition, require the agency to retain electronic versions of all customs declaration documents for no less than 5 years for subsequent customs inspection.

### Answer 3

The core of cargo ownership control for import agency lies in the connection between bill of lading and warehousing nodes. First, require the agency to use "straight bill of lading" and designate us as the consignee, to avoid the agency endorsing and transferring the bill of lading without permission; second, after goods arrive at the port, confirm whether the agency stores goods in the supervised warehouse designated by us, rather than the agency's own cooperative warehouse, to prevent goods from being seized due to the agency's own debt problems.

If transit transportation is involved, require the agency to provide cargo tracking certificates at the transit port to grasp cargo dynamics in real time. Meanwhile, clearly define the responsibility division for free storage period and container detention fees in the contract. If fees are incurred due to the agency's failure to go through pick-up procedures in time, the agency shall bear the full amount.

### Answer 4

In import agency business, you can reduce capital occupation cost through the legal VAT deferment policy, but two core conditions shall be met: first, the agency has VAT deferment declaration qualification, second, imported goods belong to categories allowed for deferment by customs (such as electromechanical equipment, building materials, etc.).

In addition, pay attention to the tax declaration process of the agency, require it to synchronize import value-added tax declaration details every month, to avoid the situation of "separation of invoice and goods" which triggers tax inspection. If cross-border related party transactions are involved, require the agency to assist in issuing a reasonable transfer pricing report that meets the compliance requirements of the BEPS Action Plan, to avoid being identified as profit shifting by tax authorities and required to pay back taxes and late fees.

### Answer 5

Foreign exchange receipt and payment compliance for import agency shall focus on the element completeness of SWIFT messages and process specification of CIPS RMB settlement. Require the agency to provide detailed payment details before foreign exchange purchase, including overseas supplier name, payment amount, transaction code, etc., to ensure payment information is completely consistent with the information on the customs declaration form, and avoid being included in the key supervision list by the foreign exchange administration due to "inconsistency of three flows".

If RMB cross-border payment is used, confirm that the agency has completed filing in the CIPS system, and note "import agency payment for goods" when making payment. In addition, require the agency to retain all foreign exchange receipt and payment vouchers and bank slips for subsequent verification by the foreign exchange administration.

### Answer 6

Three core clauses shall be clearly defined in the import agency contract: first, the cargo ownership clause, which stipulates that from the date when the bill of lading is endorsed to us, the ownership of goods belongs to us, and the agency is only responsible for agency services such as customs declaration and logistics; second, the force majeure clause, which clarifies that customs seizure and port detention caused by the agency's operational errors are not within the scope of force majeure, and the agency shall bear full responsibility; third, the intellectual property protection clause, which requires the agency to promise that imported goods have no infringement behavior, and if goods are detained by customs due to infringement, the agency shall bear full compensation responsibility. In addition, require the agency to provide a copy of its procurement contract with overseas suppliers to ensure procurement terms are consistent with our requirements.

### Answer 7

After import agency goods arrive at the port, in case of on-site customs inspection, require the agency to synchronize the inspection notice as soon as possible and arrange for our personnel to be present to accompany. Focus on the authenticity of the seal, and check whether the seal number is consistent with the records on the bill of lading and packing list; if customs requires unpacking inspection, require the agency to assist in sorting goods to avoid goods damage caused by improper unpacking.

If customs raises questions about commodity classification or quality during inspection, require the agency to immediately coordinate the customs testing center to issue an appraisal report, and synchronize with us to confirm the follow-up treatment plan, to avoid the agency signing any customs documents without permission and damaging our rights and interests. In addition, retain evidence such as photos and videos of the inspection site for subsequent rights protection.
