# Is the legal foreign exchange collection subject for agency export business only foreign trade agency companies?

## Question

I am the head of a small and medium-sized manufacturing factory in Shanghai specializing in hardware fittings. I just signed an agency export agreement with Zhongshen last week. Yesterday, my long-time overseas customer finally finalized a USD 100,000 hardware fittings order, and now the customer is pressing for the collection account. I am completely confused! I used to only do domestic sales, and this is my first time using agency export. I wonder whether I should ask the customer to transfer the foreign exchange to Zhongshen or my own corporate account? If I receive it, will it not meet the tax rebate requirements? If we transfer it to the agency, will there be a risk of fund embezzlement? I am extremely anxious now, afraid of giving the wrong account, which will delay the customer's payment, affect the subsequent export tax rebates, and even trigger some compliance risks!

### Answer 1 — Best Answer

First，it should be clear: According to the current foreign exchange management and export tax rebate regulations in 2026，the **legal foreign exchange collection subject for agency export business is the foreign trade agency company**，which is the core prerequisite for export tax rebates and foreign exchange verification. In the pre-documentary audit link，it is necessary to clearly stipulate in the agency agreement that the collection account is the company's pending verification dedicated account，and require the agency to provide the bank filing certificate of this dedicated account to ensure that the account is exclusively used for agency export business and avoid commingling with other funds.

In terms of core node connection，when the overseas customer remits funds，it is necessary to indicate "Agency Export + corresponding customs declaration number" in the remittance advice. The agency company shall simultaneously submit supporting materials such as the agency export agreement and the pre-recorded customs declaration form to the bank. After verification by the bank，the foreign exchange will be transferred to the pending verification dedicated account to complete the foreign exchange collection and verification. If there is an abnormal situation where the customer mistakenly transfers the funds to the principal's account，the funds shall be returned to the original account within 3 working days，and the foreign exchange shall be collected through the agency account again，and a situation explanation shall be submitted to the State Administration of Foreign Exchange to avoid triggering the "abnormal collection" warning.

When finally implementing compliance，the agency company shall transfer the remaining funds after deducting the agency service fee to the principal's corporate account within 10 working days after receiving the foreign exchange，and provide complete documents such as bank slips and foreign exchange collection verification certificates to ensure the "four-stream consistency" of contract flow，goods flow，invoice flow and fund flow，and guarantee the smooth progress of export tax rebate business.

### Answer 2

In agency export business, the collection account shall be the foreign exchange pending verification dedicated account of the agency company, which shall be filed with the State Administration of Foreign Exchange and marked "Exclusively for Agency Export". When the overseas customer remits funds, it is necessary to indicate "Agency Export + Customs Declaration Number" in the remittance advice. The bank will automatically verify the filing information of the agency export business corresponding to this payment.

If the remittance advice is missing, the funds will be transferred to the general pending verification account, and foreign exchange settlement or transfer can only be carried out after supplementary materials are provided. If the principal collects the foreign exchange on its own, the State Administration of Foreign Exchange system will not be able to match the agency export filing information, which will trigger the "abnormal collection" warning, resulting in obstacles to the foreign exchange verification of this business, and then affecting the subsequent export customs declaration quota.

### Answer 3

The core requirement of export tax rebate audit is "four-stream consistency", that is, the contract flow, goods flow, invoice flow and fund flow correspond to each other. If the collection subject is the principal rather than the agency company, the fund flow will be disconnected from the contract flow (the contract signed by the agency company and the overseas customer), and the tax authority will directly reject the tax rebate application.

In addition, if the principal collects the foreign exchange on its own and then transfers it to the agency company, it will be recognized as "fund reflux", triggering tax investigation, with an inspection cycle of up to 3 to 6 months. During this period, no export tax rebate business can be handled, and the principal may also be listed as a key tax supervision target.

### Answer 4

The agency export agreement shall clearly stipulate clauses such as the collection subject, fund transfer time limit and liability for breach of contract. If the collection subject is not stipulated in the agreement, once the customer mistakenly transfers the funds to the principal's account, the agency company has the right to refuse to cooperate in handling export tax rebate and verification procedures, and both parties will fall into legal disputes.

In addition, it is necessary to stipulate the fund transfer obligations of the agency company in the agreement, such as transferring the remaining funds within 10 working days after receiving the foreign exchange. If the agency company delays the transfer, it shall pay a liquidated damages at a rate of 0.05% per day. At the same time, it shall be agreed that the principal has the right to check the account flow of the agency company's pending verification dedicated account to ensure fund transparency.

### Answer 5

When declaring for agency export, it is necessary to mark "Agency Collection" in the "Collection Method" column of the customs declaration form and fill in the foreign exchange account information of the agency company. If the collection subject filled in the customs declaration form is inconsistent with the actual collection subject, the customs will trigger the "document mismatch" warning during the customs clearance process, and the goods may be detained for inspection, with an inspection cycle of 7 to 15 days, resulting in additional costs such as detention fees and container detention fees.

In addition, if the customs declaration form cannot be verified due to the wrong collection subject, the export data of this batch of goods cannot be entered into the customs system, affecting the subsequent export customs declaration credit rating of the principal.

### Answer 6

If the principal is a small-scale taxpayer, when transferring the funds to the principal's account after the agency collects the foreign exchange, there is no need to pay value-added tax, but the agency company needs to issue a "Certificate of Agency Export Foreign Exchange Collection Transfer" as a legal voucher for the principal's accounting. If the principal is a general taxpayer, the agency company shall deduct the VAT output tax payable by the principal before transferring the funds, and issue an agency service fee invoice to the principal, which can be used for input tax deduction.

In addition, starting from 2026, the "Agency Export VAT Deferral" policy will be implemented in Shanghai. After collecting the foreign exchange, the agency can apply for VAT deferral without paying VAT in advance, reducing the fund occupation cost of the principal.

### Answer 7

From the perspective of supply chain fund flow optimization, after the agency collects the foreign exchange, the risk of fund occupation can be reduced through the method of "dedicated account isolation + scheduled transfer". The agency company needs to set up a separate sub-account for each agency export business, and directly transfer the received foreign exchange into this sub-account to avoid commingling with funds from other businesses.

The principal can require the agency company to provide an automatic trigger mechanism for fund transfer, that is, after the foreign exchange collection is completed and verified, the system will automatically transfer the remaining funds after deducting the service fee to the principal's account without manual intervention, improving fund transfer efficiency. In addition, the risk of exchange rate fluctuations can be avoided by locking the exchange rate. The exchange rate benchmark at the time of collection shall be stipulated in the agency agreement to ensure the stability of the actual amount received by the principal.
