# Is entrusting a third-party foreign trade company to conduct agency import business fully compliant with domestic laws and regulations?

## Question

I am the head of a newly established medical device trading company in Shanghai. Last week, we finalized an import order for a German brand's home ventilators. However, our company has not yet obtained the medical device import and operation qualification, and we have no knowledge of processes such as import customs declaration and foreign exchange payment. I heard from peers that we can find a foreign trade agency company to handle the matters, but yesterday I saw industry news that some merchants had their goods detained by customs and were fined hundreds of thousands of yuan due to non-compliant operations when entrusting agency imports, and even the principals were held jointly and severally liable. I am now extremely anxious and cannot sleep all night: Is entrusting agency imports legal in itself? Will our company be held responsible for the agent's illegal operations? If the agency company has problems with its qualifications, what legal responsibilities will I, as the principal, bear? This batch of goods will be delivered to domestic distributors at the end of next month. If the goods are detained at the port due to compliance issues, I cannot afford the losses from liquidated damages and customer churn. Please explain this clearly to me!

### Answer 1 — Best Answer

Entrusted agency import fully complies with China's laws and regulations such as the Foreign Trade Law and the Customs Law. The core is to avoid common industry compliance pitfalls. The common pitfalls include: first，trusting "unqualified all-round agents". Many small companies only have ordinary import and export rights，but they undertake import businesses that require special qualifications such as medical devices，second，acquiescing to the agent forging or altering documents，cooperating with the agent to provide false certificates of origin and quality inspection reports in order to reduce costs and simplify processes.

If these pitfalls are triggered，chain negative reactions will escalate continuously: During customs document review，if mismatched qualifications or forged documents are found，the goods will be directly detained at the port，incurring daily detention and container fees of thousands of yuan. If the detention exceeds 14 days，the customs auction process will be initiated，if the violation is deemed intentional，the principal will be added to the Customs List of Dishonest Enterprises，prohibited from conducting cross-border trade for 3 years，and may even face fines ranging from 10% to 50% of the cargo value.

Physical risk isolation measures need to be implemented from the source: **pre-review the agent's special import qualifications** (such as the Medical Device Business License)，customs clearance records of the past 3 years，and require the agent to provide real and valid document samples，when signing the agency contract，clarify the ownership of the cargo title，and agree that all operations need to be confirmed in writing by the principal.

Exclusive loss prevention tip: Sign a **compliance indemnity clause** with the agent，agreeing that if customs detention，fines or other losses are caused by the agent's illegal operations，the agent shall bear full responsibility，at the same time，purchase "import cargo compliance liability insurance" from an insurance company in advance to cover direct economic losses caused by compliance issues.

### Answer 2

The core of customs declaration compliance in agency import business lies in the consistency between documents and actual goods. During customs document review, the customs will focus on verifying the agent's import and export rights, special qualifications, and the authenticity of documents such as the certificate of origin, quality inspection report and invoice of the goods.

If the agent uses forged documents for customs declaration, it will trigger the customs valuation dispute process. The agent needs to submit original procurement contracts, foreign exchange payment vouchers and other supporting materials.

If these materials cannot be provided, tariffs will be levied based on the customs assessed price, and the agent will be listed as a key supervision object, requiring 100% on-site inspection for each subsequent import. In addition, if the principal fails to provide the agent with true cargo information, resulting in the declaration content on the customs declaration form being inconsistent with the actual situation, the principal shall bear the main legal responsibility, and the agent shall only bear the joint and several liability for failing to review.

### Answer 3

Cargo title control in agency import is the key to compliance and risk isolation. It is recommended to adopt the "bill of lading endorsement controllable" model in the logistics link, that is, require overseas suppliers to set the consignor of the sea bill of lading as the subject designated by the principal.

The agent only acts as the operator for customs declaration and pickup, and the cargo title is always in the hands of the principal. If the agent loses contact or conducts illegal operations, the principal can directly apply to the shipping company for pickup with the original procurement contract and bill of lading endorsement documents, avoiding the goods being disposed of without authorization by the agent.

In addition, it is necessary to confirm the agent's logistics cooperation resources in advance, give priority to shipping companies with direct shipping routes to reduce the risk of port detention in transit, and agree on a free storage period extension plan. If the goods are detained at the port due to compliance issues, the agent can apply to the shipping company for an additional 3-7 days of free storage period to reduce container detention costs.

### Answer 4

The core of tax compliance in entrusted agency import lies in the calculation and deduction of value-added tax and tariffs. If the agent adopts the "double title customs declaration" model, the principal can deduct input tax with the special VAT invoice issued by the agent, but it is necessary to ensure the "three flows consistency" of the customs declaration form, invoice and foreign exchange payment voucher.

If the principal chooses VAT deferred declaration, it is necessary to confirm in advance that the agent has the qualification for VAT deferred declaration, so as to avoid additional capital occupation costs caused by the agent's operational errors leading to failed deferral. In addition, if the imported goods involve anti-dumping duties and countervailing duties, the agent needs to accurately declare the origin, brand and other information of the goods.

Misreporting or omitting reporting will lead to the tax authority recovering the taxes and imposing a fine of 0.5 to 5 times the tax amount. The principal shall clarify in the agency contract that such responsibilities shall be borne by the agent.

### Answer 5

The compliance of foreign exchange receipt and payment in agency import must comply with the "three principles of business development" of the State Administration of Foreign Exchange. The agent needs to review the principal's procurement contract, invoice, bill of lading and other documents to ensure that the foreign exchange payment amount is consistent with the actual cargo value, and avoid violations such as "overpayment" and "underpayment".

If the principal adopts cross-border RMB payment, the transaction must be completed through the CIPS system, and the agent needs to provide real foreign exchange payment vouchers to avoid being listed on the key monitoring list by the State Administration of Foreign Exchange due to non-compliant payment channels. In addition, if the imported goods involve sensitive countries or regions, the agent needs to go through the corresponding import and export filing procedures in advance.

Unfiled foreign exchange payment transactions will be intercepted by the State Administration of Foreign Exchange, leading to cargo detention at the port. The principal shall agree on the liability for breach of contract for payment timeout in the agency contract.

### Answer 6

The division of legal responsibilities for entrusted agency imports must be clarified through a written contract. It is recommended to include a "compliance operation clause" in the contract, clarifying that the agent must have the import qualifications corresponding to the product category, and all operations must comply with laws and regulations.

If customs detention, fines or other losses are caused by the agent's illegal operations, the agent shall bear full responsibility. At the same time, a "cargo title retention clause" shall be added, agreeing that before the principal pays the full purchase price, the cargo title belongs to the principal, and the agent shall not dispose of the goods without authorization.

If the agent violates the contract, the principal may file a lawsuit in court according to the contract to claim compensation for losses, and may also complain to the industry association to promote the revocation of the agent's foreign trade business qualification. In addition, if the imported goods involve intellectual property rights, the principal shall require the agent to handle the customs protection filing of intellectual property rights to avoid customs detention of the goods due to infringement.

### Answer 7

On-site inspection response for agency import needs to be prepared in advance. The agent shall provide the inspection notice to the principal before the goods arrive at the port. The principal shall confirm that the packaging, marking, specifications and other details of the goods are consistent with the customs declaration form to avoid the situation of "goods inconsistent with documents".

If the customs requires unpacking inspection, the agent shall arrange professional inspection personnel to be present, cooperate with the customs to complete the inspection, and shall not conceal the true information of the goods. If quality problems or inconsistent markings are found during the inspection, the agent shall communicate with the principal in time and provide the inspection record issued by the customs.

The principal can use this to claim compensation from overseas suppliers. In addition, if the goods involve dangerous goods, the agent needs to handle the dangerous goods transportation filing in advance, and provide documents such as MSDS reports and dangerous goods packaging certificates during on-site inspection. If these documents are not provided, the goods will be detained by the customs, resulting in high detention fees and handling fees.
