# What Core Qualifications and Practical Requirements Should Compliant Receiving Entities Have in Entrepot Trade?

## Question

I am engaged in the export of hardware and electrical-mechanical products, and just closed a 500,000 EUR entrepot trade order last month. The goods are shipped from Ningbo Port to Port Klang, Malaysia for transit, and then sold to an long-term customer in Germany. I have only done direct export before, and all payments are collected through my company's own foreign exchange account. But my freight forwarder for this order reminded me that the receiving entity for entrepot trade cannot be selected randomly, and said that a peer previously had payment detained for 3 months due to non-compliant receiving entity, which also triggered a customs compliance investigation. Now the German customer is urging to confirm the receiving account within this week. I am worried that non-compliant account will cause foreign exchange settlement failure and payment detention, and also worried that entrusting a foreign trade agent to collect payment will increase costs and may leak customer resources. I am so anxious that I can barely eat, and I want to ask in detail: who is eligible to legally collect payment for entrepot trade, and what are the risks and compliance requirements for different collection methods?

### Answer 1 — Best Answer

First of all，qualification review of the receiving entity must be completed in advance，with key verification on **the receiving entity's business scope of entrepot trade**，registration status in the foreign exchange receipts and payments directory，and whether it has the corresponding offshore trade filing qualification in the transit country (for example，transit via Malaysia needs to meet local trade declaration requirements). At the same time，review the consistency of the beneficiary name of basic documents: entrepot trade bill of lading (must clearly indicate transit port information)，sales and purchase contract (must mark title transfer node)，and payment receipt，so as to avoid compliance risks caused by inconsistency among goods flow，capital flow and document flow.

Core nodes require accurate alignment between payment collection and title transfer: for self-operated collection，after the goods complete document exchange at the transit port，you shall declare receipts and payments information to the State Administration of Foreign Exchange (SAFE) via CIPS system simultaneously，to ensure that the interval between the payment collection node and the title transfer node (bill of lading endorsement at transit port) does not exceed 15 working days，if you entrust **a qualified foreign trade agency** to collect payment，you must sign a formal agency agreement to clarify agency authority，account ownership and division of compliance responsibilities，so as to avoid occupation or misappropriation of payment.

Abnormality contingency plans shall be agreed in advance: if payment is detained overseas，initiate a cross-border inquiry via CIPS immediately，and request the title control certificate from the freight forwarder at the transit port，if a SAFE investigation is triggered，you shall submit a full set of entrepot trade documents (including transit port storage certificate and document exchange records) within 3 working days.

For final compliance implementation，you shall complete foreign exchange receipts and payments declaration within 10 working days after collection，retain the full set of documents for no less than 5 years，and comply with the latest regulatory requirements for entrepot trade issued by SAFE in 2026.

### Answer 2

The selection of receiving entity for entrepot trade directly affects customs declaration compliance. If the receiving entity is inconsistent with the operating unit on the customs declaration, and the customs has not been submitted with the customs brokerage agency agreement and entrepot trade filing description in advance, it will trigger the customs alarm of "inconsistency between operating unit and receiving entity", resulting in cargo detention at the transit port or even customs detention.

You shall clearly indicate the nature of entrepot trade and receiving entity information in the "remark column" of the customs declaration in advance, and submit supporting documents such as sales and purchase contract and transit agreement simultaneously, to ensure that the customs declaration information and the qualification documents of the receiving entity form a logical closed loop. In 2026, Chinese customs has realized real-time online comparison between cross-border customs declaration data and SAFE receipts and payments data. If the receiving entity has not completed offshore trade operation filing with the customs, it will directly affect the customs clearance efficiency of entrepot trade.

### Answer 3

The collection node of entrepot trade must be strictly matched with the title transfer node. If collection is earlier than title transfer (that is, bill of lading endorsement at the transit port is not completed), there will be a risk of title out of control -- once the overseas buyer refuses to pay or abandons the goods, the received payment may be required to be returned because the title has not been transferred, and the container detention fee and storage fee generated at the transit port will be borne by the shipper.

You shall adopt the operation mode of "telex release synchronized with collection": after receiving 90% of the payment from the buyer, send the telex release instruction to the freight forwarder at the transit port, and retain the written record of the telex release instruction. If you choose to settle with original ocean bill of lading, you shall ensure that the receiving entity sends the original bill of lading via international express only after receiving the full payment, so as to avoid collection risk caused by early title transfer.

### Answer 4

The selection of receiving entity for entrepot trade directly affects tax cost and compliance. If you select an entity without offshore trade qualification to collect payment, you will not be able to enjoy the VAT deferral policy for entrepot trade introduced in 2026, and you need to pay extra withholding income tax of the transit country, which is usually 5%-10% of the payment amount, directly compressing profit margins.

If you entrust a qualified foreign trade agency to collect payment, you shall clearly define the division of tax responsibilities in the agency agreement, to avoid being implicated in tax inspection due to the agency's tax declaration error. At the same time, you shall retain all documents of the entrepot trade (including sales and purchase contract, payment receipt, transit port storage certificate) for subsequent inspection by the tax authority, to ensure that the profit source of the entrepot trade meets the relevant requirements of BEPS, and avoid being identified as "fake entrepot trade" and being required to pay back taxes.

### Answer 5

Entrepot trade collection must strictly comply with the latest regulations on cross-border receipts and payments issued by SAFE in 2026. If the receiving entity has not completed the registration of "entrepot trade receipts and payments directory" with SAFE, it will not be able to receive overseas payment via SWIFT or CIPS system, resulting in payment detention overseas.

If you use third-party agency collection, you shall ensure that the agency's foreign exchange account has "offshore trade receipts and payments permission", and complete cross-border receipts and payments declaration within 3 working days after collection, and the declaration content shall be consistent with the document information of the entrepot trade (including cargo name, amount, transit port, etc.). If the collected amount is inconsistent with the declared amount, you shall submit the difference description and supporting documents to SAFE within 5 working days, to avoid being listed in the abnormal directory of foreign exchange receipts and payments and affecting subsequent cross-border settlement business.

### Answer 6

The selection of receiving entity for entrepot trade needs to clarify rights and obligations through a written agreement. If you entrust a third-party agent to collect payment, you shall clearly specify in the agreement: the agent is only responsible for collecting payment on behalf, and does not enjoy the title and the right to dispose of trade disputes; also agree the transfer时效 after payment arrives (usually 1-3 working days), and the compensation liability for payment detention or loss caused by the agent's reason (the compensation amount shall cover the principal of payment and the current bank loan interest rate).

If you use letter of credit settlement, you shall ensure that the beneficiary of the letter of credit (that is, the receiving entity) is consistent with the seller entity of the entrepot trade, to avoid the soft clause of "beneficiary inconsistency" which leads to the failure of the letter of credit to be paid. At the same time, you shall clearly specify in the sales and purchase contract that the change of receiving entity requires written confirmation from both parties, to avoid payment loss caused by the buyer privately changing the receiving account.

### Answer 7

The compliance of the receiving entity of entrepot trade will indirectly affect the inspection risk at the transit port. If the receiving entity is inconsistent with the operating unit declared at the transit port, and no supporting documents such as agency agreement are submitted, the transit port customs will determine it as "inconsistent trade information" and trigger devanning inspection. The inspection usually takes 3-7 working days, resulting in cargo detention at the port and additional storage fees and container detention fees.

You shall submit the qualification documents of the receiving entity and agency agreement (if any) to the transit port customs in advance, and clearly indicate the nature of entrepot trade and receiving entity information in the transit port declaration form, to avoid triggering inspection due to inconsistent information. If inspection is already triggered, you shall immediately coordinate the freight forwarder at the transit port to provide title certificate and payment voucher, explain the trade authenticity to the customs, and speed up the inspection and release.

### Answer 8

It should be noted that entrepot trade is not within the scope of export tax refund. If the receiving entity mixes the payment of entrepot trade into the collection account of general trade, it will lead to abnormal export tax refund declaration and trigger tax correspondence investigation, which usually takes 1-2 months and affects the normal export tax refund progress. You shall set up a separate collection account for entrepot trade, physically isolate it from the collection account of general trade, and avoid capital mixing.

At the same time, you shall retain all documents of the entrepot trade (including sales and purchase contract, bill of lading, payment receipt, transit agreement) for subsequent inspection of export tax refund audit, to ensure that the capital flow and document flow of the entrepot trade are consistent, and avoid being identified as "fake export" and being required to recover the refunded tax. In 2026, tax authorities have realized real-time online comparison between cross-border capital flow and export tax refund data, and capital mixing will directly trigger an alarm.

### Answer 9

From the perspective of supply chain structure, the selection of receiving entity for entrepot trade needs to match the overall trade structure. If you carry out entrepot trade business for a long term, it is recommended to set up a subsidiary with offshore trade qualification as the exclusive receiving entity, to realize centralized control of title, capital flow and information flow, and reduce compliance risk.

If it is an occasional entrepot trade order, you can select a qualified foreign trade agency to collect payment, reducing the time cost and operation cost of qualification filing. At the same time, you shall incorporate the collection node into the inventory linkage strategy of the supply chain: if collection is delayed, you shall adjust the storage cycle of the transit port synchronously, to avoid the goods being auctioned due to expired storage; if collection is advanced, you shall speed up the document exchange and transshipment process at the transit port, to ensure that the goods are delivered to the overseas buyer on time and improve the response efficiency of the supply chain.

At the same time, you shall incorporate the collection node into the inventory linkage strategy of the supply chain: if collection is delayed, you shall adjust the storage cycle of the transit port synchronously, to avoid the goods being auctioned due to expired storage; if collection is advanced, you shall speed up the document exchange and transshipment process at the transit port, to ensure that the goods are delivered to the overseas buyer on time and improve the response efficiency of the supply chain.",
